    Taiwan Mobile announces tender offer for up to 58% of Systex

    Taiwan Mobile's board resolved to have its wholly owned subsidiary Tai Hsin Telecom launch a public tender offer for 39% to 58% of Systex common shares, at 0.84 Taiwan Mobile share plus NT$92.5 cash per Systex share, implying about NT$184.5 per share and a premium of roughly 29%. Combined with its existing 11.86% stake, reaching the minimum threshold would give Taiwan Mobile over 50% and control of Systex; at the 58% cap total ownership would reach about 69.86% and total consideration would exceed NT$29.1 billion. The offer period is expected to run from August 18 to October 6, 2026, conditional on at least 39% of shares being tendered and the Fair Trade Commission not prohibiting the combination.
