FFR signs final agreement to merge FFAI robotics assets and business in all-stock deal valued at about US$200 million
Jia Yueting announced on October 14 that FFR (formerly AIxCrypto Holdings Inc., a NASDAQ-listed technology infrastructure company) and FFAI formally signed a final agreement under which FFR will merge FFAI's robotics assets and business in an all-stock transaction at US$2.246 per share, a premium of roughly 55% over the prior day, at an estimated valuation of about US$200 million; FFR's fully diluted pre-closing equity value is about US$60 million. The transaction was approved by a special committee of independent directors unrelated to the interests of FFAI and FFR, supported by a fairness opinion from an independent financial adviser, and the parties expect to complete closing by the end of the month. Faraday Future is FFR's controlling shareholder.
