IonQ agrees to acquire Elisity in all-stock deal worth up to $1.3 billion
Quantum computing company IonQ announced on Monday (2026-10-12) that it agreed to acquire enterprise security company Elisity in an all-stock transaction valued at up to $1.3 billion, including up to $150 million in earnout consideration. The share consideration is based on a 20-trading-day VWAP before closing, with a collar of no more than $49.61 and no less than $33.07 per share. The transaction is expected to close in the fourth quarter of 2026, subject to customary closing conditions and regulatory approval, and Elisity CEO James Winebrenner is expected to remain after closing.
