Shaanxi regulator issues warning letter to Maike Group

The Shaanxi regulatory bureau said Maike Group improperly transferred 408 million yuan of bond proceeds to another company account and failed to disclose a material increase in borrowing in a timely manner. The bureau determined that the conduct violated bond-management rules and issued a regulatory warning letter to Maike Group and two employees.

二、重大事项披露不及时。截至2019年3月末，迈科集团累计新增借款已超过上年末净资产的20%，公司直到2019年7月5日才披露2019年5月末累计新增借款超过上年末净资产20%的情况，未及时履行相关临时公告义务。
一、募集资金专户使用不规范。“18迈科02”募集资金到位后，迈科集团将募集资金4.08亿元由专户直接划转至公司另一账户使用，导致募集资金与自有资金混同使用，募集资金的存储、划转未在指定专项账户进行。
上述行为违反了《公司债券发行与交易管理办法》第十五条、第四十五条的规定，袁兵兵、郑锐分别作为迈科集团金融事业部副总监和经办人员，对相关问题负有主要责任。依据《公司债券发行与交易管理办法》第五十八条的规定，陕西证监局决定对迈科集团及袁兵兵、郑锐采取出具警示函的监管措施。
