Huge goodwill impairment from Life-Space acquisition; disclosure violations draw warning and criticism

After By-health acquired Australia's Life-Space, it was hit by the E-commerce Law; in 2019 it recognized goodwill impairment of RMB 1.009 billion and intangible asset impairment of RMB 562 million, its first annual loss. Regulators found it did not adequately disclose policy risks and that impairment testing was non-standard. In addition, in 2014 it was fined for fish oil advertising beyond scope, and spokesperson Yao Ming was sued by consumers. In 2021 the Guangdong Securities Regulatory Bureau issued warning letters to the company and executives including Liang Yunchao; in 2022 the Shenzhen Stock Exchange issued a notice of criticism.
