Overview
AB InBev, formally Anheuser-Busch InBev SA/NV, is a Belgian multinational brewing and beverage company headquartered in Leuven. It is one of the largest brewing groups in the world and manages a broad portfolio of international, regional and local brands across a large number of markets. Its best-known international names include Budweiser, Corona and Stella Artois, while its wider portfolio has included or includes brands such as Bud Light, Michelob, Beck’s, Leffe, Hoegaarden, Modelo Especial, Victoria, Brahma, Quilmes, Cass and Jupiler, subject to market-specific ownership and subsequent divestments. The modern group emerged through a sequence of major brewing-industry combinations. Interbrew was created in 1987 through the merger of Belgian brewers Artois and Piedboeuf and later expanded through acquisitions in Europe, Canada, Asia and other markets. In Brazil, Antarctica and Brahma combined in 1999 to form AmBev. Interbrew and AmBev merged in 2004 to create InBev, combining European brewing heritage with a substantial American and Latin American operating base. In 2008, InBev acquired Anheuser-Busch, the St. Louis-based American brewer, creating Anheuser-Busch InBev and bringing Budweiser and other major US beer brands into the group. AB InBev’s largest later expansion was the acquisition of SABMiller, completed in October 2016 after extensive regulatory review. The transaction made the group still larger, but required significant disposals and licensing arrangements to address competition concerns. Businesses and brands sold or transferred in connection with the transaction included Miller-related interests in the United States and a number of European brands subsequently sold to Asahi. The company has continued to adjust its portfolio through investments, partnerships and disposals, including moves into non-alcoholic beer, flavored beverages, energy drinks and ready-to-drink occasions. The company’s operating model combines global brand building with local-market execution. International brands are marketed through common positioning and cross-border sponsorships, while local brands depend on regional taste preferences, local production and established distribution relationships. Brewing remains the core activity, supported by procurement, manufacturing, logistics, wholesaling, retail relationships, digital marketing and consumer research. AB InBev has also used data and innovation initiatives to improve assortment, marketing and demand forecasting. AB InBev is listed primarily on Euronext Brussels under ABI, with additional securities or listings associated with Mexico, South Africa and the United States. Its scale has brought recurring regulatory, labor, governance and competitive scrutiny. The company has faced investigations concerning distributor relationships, alleged anti-competitive conduct and compliance with anti-bribery rules. It has also faced public controversy over marketing and business practices in particular markets. Because the portfolio, ownership of brands, geographic structure and executive lineup can change through transactions and reorganizations, current brand availability and market rankings should be verified against the company’s latest filings.
History
AB InBev’s history is rooted in the consolidation of Belgian, Brazilian, North American and other brewing businesses. Artois, one of the principal predecessors, traced its brewing history to the medieval period, while Piedboeuf was established in the nineteenth century. In 1987, Artois and Piedboeuf merged to form Interbrew. Interbrew initially strengthened its Belgian base and then pursued international expansion, including the acquisition of Labatt in Canada, investments in Central and Eastern Europe, and purchases of Bass, Whitbread, Beck’s, Diebels, Gilde and Spaten. It also developed interests in Asian brewing operations. Interbrew became publicly listed in Brussels in 2000. In Brazil, Antarctica and Brahma merged in 1999 to form Companhia de Bebidas das Américas, commonly known as AmBev. The company became a major brewer in Brazil and expanded through much of the Americas. Its portfolio included Brahma, Antarctica and other beer brands, alongside soft drinks and related beverages. Interbrew and AmBev merged in 2004, creating InBev. The combination connected Interbrew’s European and international assets with AmBev’s strong Latin American platform and created a brewer with operations across several continents. In 2008, InBev acquired Anheuser-Busch. The transaction created Anheuser-Busch InBev and added Budweiser, Bud Light, Michelob and other brands, as well as Anheuser-Busch’s US production and distribution infrastructure. The group subsequently expanded and reorganized through acquisitions and disposals. It acquired a controlling stake in Cervecería Nacional Dominicana in 2012, purchased Grupo Modelo in 2013, and reacquired Oriental Brewery in South Korea in 2014. The Grupo Modelo transaction brought Corona into the group, although US antitrust requirements led to the sale of Grupo Modelo’s US business and related rights to Constellation Brands. AB InBev announced its acquisition of SABMiller in 2015 and completed the transaction in 2016. Regulators required the parties to sell or transfer a number of assets, including MillerCoors interests in the United States and several European brands. Asahi acquired the former SABMiller businesses in Poland, the Czech Republic, Slovakia, Hungary and Romania, including brands such as Pilsner Urquell, Tyskie, Lech and Dreher. AB InBev also formed a Russia-focused joint venture with Anadolu Efes in 2017. After the SABMiller transaction, the company concentrated on integrating a large multinational portfolio, reducing leverage, developing premium and international brands, and pursuing growth in non-alcoholic beer and adjacent beverages. It opened a data and analytics initiative at the University of Illinois, invested in energy drinks, explored cannabis-related non-alcoholic beverages with Tilray, and later sold several smaller US craft and energy brands. The group’s continuing history is characterized by scale-building mergers, regulatory divestitures, portfolio management and attempts to adapt beer brands to changing consumer occasions.
