Overview

Atos SE is a French multinational information-technology services and consulting company headquartered in Bezons, near Paris. Its activities have included technology consulting, systems integration, managed infrastructure, cloud computing, unified communications, cybersecurity, big-data services, high-performance computing and digital workplace operations. The company has served corporate, government and public-sector customers across multiple regions and has operated through several brands, notably Atos, Syntel and Eviden. Atos was created in 1997 through the merger of the French IT companies Axime and Sligos. It expanded its European base in 2000 by combining with the Dutch company Origin B.V., itself formed from BSO and the Philips Communications & Processing division, and adopted the name Atos Origin. The company subsequently pursued an acquisition-led strategy. It bought the United Kingdom and Netherlands operations of KPMG Consulting in 2002, acquired SchlumbergerSema in 2004 and later purchased Siemens IT Solutions and Services. The Siemens transaction, agreed in 2010 and completed in 2011, substantially increased Atos's scale and led to the removal of the Origin suffix from the corporate name. During the 2010s, Atos broadened its portfolio through acquisitions and partnerships. It took control of Bull, a French specialist in computing and advanced technology, in 2014; acquired Xerox's information-technology outsourcing business that same year; and bought the United States-based digital-services company Syntel in 2018. It also established a global relationship with Google Cloud, created cloud and collaboration initiatives such as Canopy and blueKiwi-related internal social-networking operations, and developed high-performance-computing capabilities. Its payments subsidiary Worldline was progressively separated from the group as Atos pursued a more focused digital-services profile. In 2023, Atos introduced Eviden as a brand bringing together activities in digital, big data, cybersecurity, consulting and related professional services. The company considered a major carve-out involving Eviden and its remaining technology and infrastructure operations, although the proposed restructuring was not immediately approved. Atos then entered a period of severe financial and strategic pressure. It faced high debt, falling market value, management turnover and competing proposals for asset sales, refinancing and control. Negotiations concerning a potential sale to Czech businessman Daniel Křetínský ended without agreement in February 2024, while discussions with other prospective investors and creditors continued. In July 2024, Atos announced a restructuring plan involving the conversion of approximately €2.8 billion of debt into equity and a further contribution of about €233 million of new equity from creditors. The plan was intended to stabilize the group and complete the principal restructuring operations by the end of 2024. In October 2024, the French government also considered acquiring Atos's advanced-computing activities for an initial €500 million, potentially increasing to €625 million through earn-outs, reflecting the strategic importance of supercomputing and related technologies. Atos therefore remains an operating technology company, but its current identity is shaped as much by financial restructuring and portfolio reorganization as by its longstanding role as a global IT-services provider.

History

Atos emerged from a series of European IT-industry mergers. Axime and Sligos combined in France in 1997 to create Atos, while Origin B.V. had been formed in the Netherlands in 1996 through the merger of BSO and Philips Communications & Processing. Atos and Origin joined in 2000, creating Atos Origin and giving the group a broader European platform. The company expanded through acquisitions during the early 2000s. It purchased KPMG Consulting's United Kingdom and Netherlands operations in 2002 and acquired SchlumbergerSema, the IT-services division of Schlumberger, in 2004. That transaction added infrastructure, consulting and technology capabilities. Atos also created Atos Worldline and renamed its consulting operations Atos Consulting. Various regional operations were subsequently sold, including Nordic activities transferred to WM-data and Middle Eastern operations sold to local management. Leadership and ownership tensions became visible in the late 2000s. Philippe Germond replaced Bernard Bourigeaud as chief executive in 2007, while hedge funds Centaurus Capital and Pardus Capital sought greater influence through the supervisory board. The dispute ended in 2008 when Thierry Breton became chairman and chief executive. The defining expansion of the next period was the acquisition of Siemens IT Solutions and Services. Agreed in 2010 for €850 million and completed in 2011, the deal included Siemens taking a 15% stake in Atos. The company then removed Origin from its name. Atos also pursued new technology initiatives, including the Zero Email program, the Canopy cloud business and the Yunano joint venture with UFIDA. It acquired blueKiwi in 2012 to support enterprise social-networking and collaboration efforts. Atos strengthened its advanced-computing position by acquiring Bull in 2014 and expanded its outsourcing footprint through the purchase of Xerox's IT outsourcing business. In 2018 it acquired Syntel, adding a large North American digital-services platform, and announced a strategic partnership with Google Cloud focused on artificial intelligence and secure cloud solutions. The company later bought Maven Wave, a Google Cloud specialist, and completed the separation of much of its Worldline ownership in 2019. Atos continued to participate in high-performance computing and research infrastructure. In 2020 it joined GENCI and CEA in presenting the Joliot-Curie supercomputer for open academic and industrial research. In 2021, however, it abandoned talks over a possible acquisition of DXC Technology. The group introduced Eviden in 2023 as a brand for digital, big-data, cybersecurity and consulting activities. The intended carve-out was part of a broader effort to simplify the portfolio, but the plan remained unsettled. Atos subsequently experienced acute financial difficulties, including substantial debt, declining equity value, repeated changes in senior leadership and pressure to sell or separate major businesses. A proposed transaction involving Daniel Křetínský failed in February 2024. During 2024, Atos negotiated with investors and creditors and announced a debt-for-equity restructuring. The French state also explored purchasing the advanced-computing division, emphasizing the national importance of supercomputing and strategic technology. These developments marked a major transition from acquisition-led expansion toward financial stabilization and preservation of selected technology assets.
