Overview

CITIC Group Corporation is a major Chinese state-owned conglomerate established in 1979 as the China International Trust & Investment Corporation. It was created during the early period of China's reform and opening under the leadership of Rong Yiren, with approval from Deng Xiaoping. The original purpose was to attract foreign capital, introduce advanced technology and management methods, and help connect China's developing economy with international markets. Over time, CITIC developed from a relatively focused investment and trust institution into a diversified business group. Its activities have included banking, trust services, securities, asset management, insurance-related financial services, resources, energy, engineering contracting, infrastructure, real estate, manufacturing, consumer products and international investment. Important subsidiaries and affiliated businesses have included China CITIC Bank, CITIC Trust, CITIC Securities and CITIC Limited, the Hong Kong-listed platform that contains many of the group's international and industrial interests. The group expanded its overseas presence particularly through Hong Kong. Its Hong Kong office formally opened in 1985, and the group subsequently acquired or invested in businesses including Ka Wah Bank, Cathay Pacific, Dragonair and Hong Kong Telecom. Some of those investments were later sold or reorganized. CITIC also used Hong Kong as a platform for capital raising, cross-border finance and international acquisitions. CITIC's industrial and infrastructure portfolio has included engineering construction, metals, mining, energy, property development and resource-related projects. From 2008, it played a leading role in the development of the Quilamba project in Angola, an arrangement associated with Chinese construction expertise and materials as well as Angolan natural-resource interests. The group's portfolio has also included consumer and media-related assets such as Amoy Food and CITIC Press. CITIC has faced important governance and financial-risk episodes. In 2008, its listed subsidiary CITIC Pacific disclosed unauthorized foreign-exchange positions that produced very large losses, leading to senior executive resignations and a sharp fall in the subsidiary's share price. A separate controversy involved CITIC CLSA's role as bookrunner for a 2016 CEFC Shanghai bond issue. Allegations concerning subscription disclosure and secondary-market activity were followed by the issuer's later payment difficulties and complaints from some Hong Kong retail bondholders. The group has also undertaken major structural and capital transactions. In 2015, a joint venture between Itochu and Charoen Pokphand acquired a 10 percent interest in CITIC Limited and subscribed for additional convertible preferred shares. In 2023, China Huarong Asset Management agreed to acquire a 5.01 percent interest in CITIC Limited from a CITIC subsidiary as part of a broader restructuring of Huarong. CITIC remains one of China's largest state-run business groups, combining financial and industrial operations and maintaining domestic and international activities through a broad network of subsidiaries.

History

CITIC Group was founded in 1979 as the China International Trust & Investment Corporation, making it one of the earliest major corporate vehicles created during China's reform and opening period. Rong Yiren, a businessman and political figure who remained in mainland China after the nationalization of his family's business, established the organization with government approval and support from Deng Xiaoping. Its mandate was to attract overseas capital, bring advanced technology into China and introduce internationally oriented approaches to business management. During the 1980s, CITIC broadened its role beyond trust and investment activities. China CITIC Bank was founded in 1984, and the group formally opened a Hong Kong office in 1985. Hong Kong became a major base for CITIC's overseas finance and investment operations. The group acquired Ka Wah Bank in 1986 and bought a 12.5 percent interest in Cathay Pacific in 1987. It also built interests in Dragonair and Hong Kong Telecom. Some of these holdings were later transferred, sold or reorganized as CITIC's portfolio evolved. In the 1990s, CITIC expanded through additional financial, property and corporate investments. It absorbed certain subsidiaries of China Kanghua Development Corporation in 1990 and acquired a Hong Kong-listed company that was renamed CITIC Pacific. CITIC Pacific became an important listed platform for the group's Hong Kong and international activities and later became known as CITIC Limited. The group developed a diversified operating model during the 2000s. Its activities included banking, securities, trust, construction, real estate, metals, resources, energy and consumer businesses. From 2008, CITIC took a leading role in the Quilamba development in Angola, reflecting the group's use of construction and industrial capabilities in overseas projects involving natural resources and infrastructure. CITIC Pacific experienced a major governance crisis in October 2008 after unauthorized foreign-exchange positions caused losses reported at approximately HK$14.7 billion on a mark-to-market basis. The episode led to the resignation of its financial controller and group finance director, and the company's share price dropped substantially when trading resumed. The incident became one of the most significant risk-management episodes in the group's history. CITIC's international corporate-finance activities later attracted scrutiny through its involvement with CEFC Shanghai's bond issue. CITIC CLSA acted as sole bookrunner for a 2016 US-dollar bond offering. Allegations later centered on the level of investor subscription disclosed at pricing and the handling of bonds held by the underwriter. In 2018, CEFC-related entities experienced repayment problems and a bond default, while some retail bondholders complained to Hong Kong regulators in 2020. The group continued to restructure its ownership and international platform. In 2015, Itochu and Charoen Pokphand formed a joint venture that acquired a 10 percent interest in CITIC Limited and subscribed for additional convertible preferred shares. In 2023, Huarong agreed to acquire a 5.01 percent interest in CITIC Limited from a CITIC subsidiary as part of Huarong's financial restructuring. CITIC Group remains a large state-owned conglomerate headquartered in Beijing, with financial and industrial subsidiaries operating in China and selected overseas markets.
