Overview

CMC Markets plc is a British financial services company focused on online trading and investing. Peter Cruddas founded the business in London in 1989 as Currency Management Corporation, a foreign-exchange market-making firm. The company later shortened its name to CMC and adopted the CMC Markets identity in 2005. Its early development was closely linked to technology: in 1996 it introduced a real-time internet foreign-exchange platform and developed MarketMaker software for electronic dealing. The business subsequently broadened from foreign exchange into contracts for difference (CFDs) in 2000 and online financial spread betting in 2001. CMC began international expansion in 2002, initially establishing a substantial presence in Australia and then opening or acquiring operations in North America, Canada and other markets. Its expansion included the acquisition of Canadian broker Shorcan Index in 2005, the purchase of financial-information and technology company Digital Look in 2007, and the acquisition of Australian stockbroker Andrew West in the same year. The company also operated the deal4free.com brand between 2001 and 2005, using it to promote low- or zero-commission spread-betting services before returning to the CMC Markets name and reinstating commissions. The global financial crisis placed pressure on CMC's profitability and prompted management restructuring, office closures and workforce reductions. The company subsequently invested in its proprietary Next Generation platform, launched in the United Kingdom in 2010. Next Generation became the main technological foundation of the group's retail trading business, supporting products linked to foreign exchange, shares, indices, commodities and other financial markets. CMC Markets floated on the London Stock Exchange in February 2016 and later joined the FTSE 250 Index. Its listed group operates through two broad reporting areas: Trading and Investing. Trading includes CFDs, UK and Ireland spread betting, foreign exchange, market access, treasury activities and related capital-markets services. Investing includes share dealing and stockbroking, including Australian stockbroking and investing services in the United Kingdom, the United States and Singapore. UK customers can access products such as investment accounts, individual savings accounts and self-invested personal pensions where available and appropriate. Alongside direct-to-consumer services, CMC supplies institutional and partner clients with trading technology, liquidity, execution, white-label and business-to-business-to-consumer services. This institutional and investing activity forms part of the group's effort to diversify revenue beyond retail leveraged trading. The company operates from its London headquarters and regional hubs including Sydney and Singapore, through subsidiaries subject to local regulatory regimes such as those administered by the UK Financial Conduct Authority, the Australian Securities and Investments Commission and the Monetary Authority of Singapore. In the 2020s, CMC expanded its digital investing and technology ecosystem. It launched CMC Invest in 2022, integrated third-party tools and payments capabilities, took an equity position in blockchain company StrikeX, and later increased that holding to a controlling interest according to company-related reporting. The group also pursued new regulatory permissions, partner arrangements and platform integrations, including TradingView connectivity. At the same time, weak trading conditions, regulatory remediation expenses and pressure on profitability led to cost reductions and substantial staff cuts in 2023. CMC remains an active, publicly traded financial-services group whose business mix combines leveraged trading, investment dealing, Australian stockbroking and institutional platform services.

History

CMC Markets began in 1989 when Peter Cruddas established Currency Management Corporation as a foreign-exchange market maker. The company obtained UK regulatory authorisation in 1992 and moved decisively toward electronic dealing in 1996, when it launched a real-time online foreign-exchange platform. Its MarketMaker technology was also licensed to banks through an affiliated software operation before being consolidated into CMC's internal technology organisation. The business added CFDs in 2000 and online spread betting in 2001. These products changed CMC from a specialist foreign-exchange intermediary into a broader retail derivatives provider. International expansion started in 2002 with an Australian office in Sydney, followed by a New York operation in 2003 and the purchase of Shorcan Index in Canada in 2005. The company rebranded from CMC and deal4free.com to CMC Markets in 2005. A proposed 2006 flotation was abandoned because of market conditions. In 2007, CMC bought Digital Look and Australian stockbroker Andrew West; Goldman Sachs acquired a minority stake later that year. The 2008–09 financial crisis weakened profits and led to management changes, office closures and headcount reductions. CMC's response included continued investment in its trading software. The Next Generation platform, introduced in the UK in 2010, improved pricing precision and execution functionality and became central to the group's online offering. Digital Look was sold to Web Financial Group in 2011. After a difficult period, Cruddas returned as chief executive in 2013, while the company undertook further restructuring. CMC returned to profitability in 2014 and introduced binary-option products in 2015. It finally listed on the London Stock Exchange in February 2016, although its valuation was below earlier expectations. The share price was subsequently affected by regulatory intervention in the leveraged retail-trading sector. The company continued to develop its international footprint, including operations in Europe, Asia-Pacific and the Middle East, and obtained or pursued local regulatory permissions in several jurisdictions. During the 2020s, CMC broadened its business beyond CFDs and spread betting. CMC Invest added share dealing and investment products, while the group developed institutional technology, partner distribution and payments capabilities. It also partnered with technology providers, integrated TradingView functionality, and invested in StrikeX to support work connected with tokenised assets. These initiatives took place alongside weaker market activity and higher operating costs. In 2023, CMC reported lower revenue and profit, reduced its workforce and faced Australian client-remediation requirements linked to CFD conduct and leverage rules. The company continued to pursue new products, partnerships and regulated-market expansion while retaining its core identity as a listed, technology-driven trading and investing group.
