Overview
COVRA N.V. is a Dutch naamloze vennootschap founded in 1982. Since 2002 all of its shares have been held by the State, placed with the Ministry of Finance, which acts as shareholder. Because relatively little radioactive waste is produced in the Netherlands and handling it requires specialist knowledge, COVRA operates as the single central facility for the collection, processing and storage of radioactive waste. Its purpose is to prevent radioactive waste from entering the living environment uncontrolled, which in practice means isolating, managing and controlling this waste. COVRA has a limited profit objective and works as cost-effectively as possible, without financial support from the government. Its daily management rests with the board of directors under the supervision of a Supervisory Board (RvC).
History
COVRA was founded in 1982 as a naamloze vennootschap. Since 2002 all shares have been held by the State and placed with the Ministry of Finance, which fulfils the role of shareholder. The company has a limited profit objective and works as cost-effectively as possible, with no financial support from the government. Daily management rests with the board of directors under the supervision of a Supervisory Board (RvC). The shareholder exercises influence through the statutory and articles-based powers assigned to the General Meeting. The articles of association were revised in 2016 and adjusted in line with the structure customary for state participations. Although COVRA is not listed on a stock exchange, its governance model complies, where applicable, with the Dutch Corporate Governance Code, version 2022, and its 'best practices' provisions; COVRA has a whistleblower scheme, a complaints procedure and a confidential adviser, and deviates from the Code only to a limited extent, with deviations explained under the 'apply or explain' principle.
