Overview

CYREN was a cybersecurity technology company whose roots reached back to Commtouch, an Israeli business incorporated in 1991 by Gideon Mantel. The company initially developed Internet communications and security technologies and later evolved toward cloud-delivered protection for businesses, telecommunications providers, original equipment manufacturers, and other technology partners. Its activities centered on detecting and blocking threats at the network, messaging, web, and endpoint layers rather than selling primarily through a conventional consumer-security retail model. The company became publicly traded in 1999. During its development, it received venture investment from Gemini Israel Ventures and attracted investment associated with Microsoft co-founder Bill Gates and Microsoft co-founder Paul Allen. In the following years, Commtouch expanded its security capabilities through acquisitions. It acquired Authentium's Command Antivirus division in 2010, purchased the antivirus business of FRISK Software International in 2012, and completed the acquisition of Eleven GmbH later in 2012. These transactions strengthened its antivirus, anti-spam, email-security, and private-label cloud-security offerings, particularly for service providers and OEM customers. Shareholders approved changing the corporate name from Commtouch to Cyren Ltd. in January 2014. Under the CYREN identity, the business presented itself as a provider of cloud security services and threat intelligence. Its portfolio included web and DNS security, URL filtering, phishing and malware detection, ransomware protection, anti-spam services, botnet-attack prevention, and related threat-analysis capabilities. It also offered endpoint protection for mobile devices and security functions intended for Internet of Things gateways. The company supplied technologies to enterprise and channel customers and counted organizations such as Microsoft, Google, Check Point, Dell, T-Mobile, and Intel among its reported major clients. At its peak, CYREN employed approximately 220 people and maintained operations or offices in McLean, Virginia; Herzliya, Israel; Berlin, Germany; Bracknell, United Kingdom; and Reykjavík, Iceland. Its international footprint reflected a business model combining Israeli security research and engineering with North American corporate operations and relationships with global technology and telecommunications companies. The company experienced severe financial and operational pressure in early 2023. In February, it announced a plan to eliminate approximately 121 positions, representing substantially all of its workforce, citing market conditions and difficulties raising additional capital. On February 22, 2023, CYREN announced that it had ceased operations and begun insolvency proceedings aimed at liquidating subsidiaries. Its Nasdaq shares were delisted on March 3, 2023. In December 2023, Data443 Risk Mitigation completed the acquisition of certain CYREN assets, including threat-intelligence, URL-categorization, and email-security technologies. CYREN therefore remains primarily a defunct cybersecurity company and technology portfolio, with selected assets continuing under a later acquirer rather than as an operating standalone brand.

History

CYREN originated as Commtouch, an Israeli company incorporated on February 10, 1991, by Gideon Mantel. The early business developed in an Israeli technology and security environment and received investment from Gemini Israel Ventures, a fund associated with Israel's Yozma-era venture-capital ecosystem. During the 1990s, the company expanded its commercial profile. Isabel Maxwell became president in 1997, and the company later attracted investment from Microsoft co-founder Bill Gates and Microsoft co-founder Paul Allen. Commtouch went public in 1999. The company's later history was shaped by a move toward integrated, cloud-based security services and by acquisitions that broadened its technology base. In September 2010, it acquired the Command Antivirus division of Authentium. In October 2012, it completed the acquisition of the antivirus business of FRISK Software International. In November 2012, it completed the acquisition of Eleven GmbH, a transaction that strengthened its ability to provide private-label cloud security services to OEMs and service providers. These deals expanded the company's capabilities across antivirus, email security, anti-spam, and related Internet-threat defenses. In January 2014, shareholders approved changing the corporate name from Commtouch to Cyren Ltd. The CYREN brand was subsequently associated with cloud security and threat intelligence delivered to businesses and technology partners. Its service range covered web and DNS security, URL categorization and filtering, phishing and malware detection, ransomware protection, anti-spam, botnet prevention, and endpoint protection for mobile devices and IoT gateways. The company operated internationally, with headquarters in McLean, Virginia, and offices in Herzliya, Berlin, Bracknell, and Reykjavík. Reported customers and technology partners included major companies such as Microsoft, Google, Check Point, Dell, T-Mobile, and Intel. CYREN was listed on Nasdaq under the symbol CYRN. In January 2019, it announced a voluntary delisting from the Tel Aviv Stock Exchange. The company nevertheless continued to face the challenges of operating as a specialized cybersecurity provider in a competitive market dominated by larger security vendors and platform companies. The business entered its final phase in early 2023. In mid-January, Jeffrey Dauer was appointed chief financial officer and chief accounting officer. On February 1, CYREN announced a workforce reduction of approximately 121 employees, described as substantially all of its workforce, and attributed the decision to market conditions and difficulties securing additional capital. On February 22, the company announced that it had ceased operations and started insolvency proceedings to liquidate its subsidiaries. Nasdaq delisted its shares on March 3, 2023. In December of that year, Data443 Risk Mitigation acquired selected CYREN assets, particularly technologies related to threat intelligence, URL categorization, and email security. The corporate operating company is defunct, although portions of its technology portfolio entered another company's asset base.
