Overview

Delek US Holdings is a publicly traded American downstream energy company headquartered in Brentwood, Tennessee. Founded in 2001 as a wholly owned subsidiary of Israel-based Delek Group, the company developed from a retail-fuel and convenience-store platform into a broader refining, logistics, asphalt, and renewable-fuels business. Its shares began trading on the New York Stock Exchange in 2006, after which Delek Group progressively reduced its ownership. The company’s principal operating platform has historically consisted of petroleum refining, logistics, and renewable fuels. Delek owns and operates inland refineries in Tyler and Big Spring, Texas; Krotz Springs, Louisiana; and El Dorado, Arkansas. Together, these facilities have approximately 302,000 barrels per day of crude-throughput capacity. The refineries primarily process light crude obtained from the Permian Basin, East Texas, the Gulf Coast, and nearby production areas. Their output includes transportation fuels and other refined products, including gasoline, diesel, and asphalt-related materials. Delek’s logistics activities include crude-oil gathering, transportation, storage, and marketing, as well as the distribution, transportation, and storage of refined products. These activities operate principally in West Texas and the southeastern United States and are supported by pipelines, terminals, storage assets, and gathering systems. Delek Logistics Partners, LP has been an important vehicle for the company’s midstream expansion, including the acquisition of 3Bear Energy in 2022. That transaction added crude and natural-gas gathering, processing and transportation, and water-disposal and recycling operations in New Mexico’s Delaware Basin. Renewable fuels form a smaller but distinct part of the portfolio. Delek has owned and operated biodiesel facilities in Cleburne, Texas; Crossett, Arkansas; and New Albany, Mississippi, with combined capacity described at approximately 40 million gallons per year. The company has also maintained an integrated asphalt business and has participated in pipeline joint ventures and other transportation infrastructure investments. The company’s portfolio has changed materially over time. It entered refining through the acquisition of the Tyler refinery in 2005 and expanded its Arkansas presence through the 2011 acquisition of Lion Oil Company. Delek later acquired Alon USA Energy, first purchasing a large minority stake in 2015 and then the remaining shares in 2017. That combination broadened its refining, asphalt, renewable-fuels, and retail operations. It subsequently divested several assets, including the MAPCO retail-related assets in 2016 and California refining properties between 2018 and 2020. In October 2024, Delek sold its retail network to FEMSA, further emphasizing its refining and logistics activities. Delek US is therefore best characterized as an integrated inland refining and midstream operator rather than a global integrated oil major. Its competitive position depends on access to crude supply, refinery utilization, regional product demand, transportation infrastructure, commodity-price spreads, and the ability to integrate logistics with refining operations. Its business remains concentrated in the United States, with particular exposure to the central, southern, and southeastern refining and logistics markets.

History

Delek US was established in 2001 as a wholly owned subsidiary of Delek Group, an Israeli conglomerate. Its initial platform included MAPCO Express, a retail fuel and convenience-store business acquired in May 2001 with 198 stores. The company subsequently moved into refining and infrastructure. In April 2005 it acquired the Tyler refinery and related assets in Texas. During 2006, Delek expanded its retail footprint through the purchase of 40 Fast Petroleum stores and strengthened its refining and logistics platform by acquiring equipment, pipelines, storage tanks, and terminals from Pride Companies. Delek became a publicly traded company in 2006 when it was introduced on the New York Stock Exchange. Delek Group reduced its stake over the following decade, allowing Delek US to operate as a separately listed American energy company. The company expanded its Arkansas refining and logistics presence in October 2011 by acquiring sole ownership of Lion Oil Company. Lion Oil brought a refinery and associated pipeline, terminal, and crude-oil assets around El Dorado, Arkansas, together with product terminals in Memphis and Nashville, Tennessee. Renewable fuels became part of the portfolio during the 2010s. Delek announced the purchase of a biodiesel facility in Cleburne, Texas, in 2013 and a second facility in Crossett, Arkansas, in 2014. The company later added a biodiesel plant in New Albany, Mississippi. These facilities gave Delek a renewable-fuels manufacturing presence alongside its conventional refining operations. A major strategic turning point came through the company’s relationship with Alon USA Energy. In May 2015, Delek acquired approximately 33.7 million Alon USA shares, representing about 48 percent of the company at that time. In July 2017, it acquired the remaining shares. Alon added refining, retail, asphalt, renewable-fuels, and specialty petroleum assets, including Paramount Petroleum. The transaction expanded Delek’s operating scope but also increased the complexity of its asset portfolio. Delek then pursued selective divestitures and infrastructure investments. It completed the sale of MAPCO retail-related assets in November 2016. In March 2018 it sold the Paramount and Long Beach refineries to World Energy LLC, and in May 2020 it sold the Bakersfield refinery to Global Clean Energy Holdings. At the same time, Delek developed its midstream position. It announced the Big Spring Crude Oil Gathering System in the Permian Basin in 2018, acquired a 33 percent interest in the Red River pipeline joint venture and a 15 percent interest in Wink to Webster Pipeline LLC in 2019, and continued investing in crude and refined-product transportation and storage. In June 2022, Delek Logistics Partners acquired 3Bear Energy. The transaction expanded Delek’s Delaware Basin presence through crude-oil and natural-gas gathering, processing and transportation, and water-disposal and recycling operations in New Mexico. This reinforced the company’s strategy of linking upstream gathering and midstream services with its broader refining and logistics platform. In October 2024, Delek sold its retail network to FEMSA. The disposal marked another significant portfolio adjustment and reduced Delek’s exposure to direct consumer retail. Delek US is now principally associated with U.S. inland petroleum refining, crude and refined-product logistics, asphalt, and renewable fuels. Its four principal refineries are located in Tyler and Big Spring, Texas; Krotz Springs, Louisiana; and El Dorado, Arkansas, with combined crude-throughput capacity reported at approximately 302,000 barrels per day.
