Overview
DNick Holding Ltd. ("DNick") is a holding company incorporated under English law with its registered and administrative office in London, United Kingdom. It serves as the parent holding organisation for the DNick Group, whose core operating business is Deutsche Nickel GmbH, a German manufacturer of specialty nickel-based materials headquartered in Schwerte, North Rhine-Westphalia. DNick was founded on 18 March 2005 as a public limited company (plc) under the law of England and Wales, and effective 12 March 2018 it was restructured as a private company limited by shares (Limited). As part of Brexit, DNick was converted into a pure financial holding organisation. Its issued share capital is GBP 567,131.80, divided into 5,671,318 shares with a nominal value of GBP 0.10 each. The group traces its industrial roots to Deutsche Nickel GmbH, whose origins date back to 1861. In 1878 the company founder Theodor Fleitmann made the breakthrough discovery that nickel could be made malleable and suitable for hot-rolling and forging by adding magnesium to the melt — a discovery that remains the basis of the industrial nickel production process to this day. The present DNick Holding acquired the shares of the operating companies of the non-ferrous metals business segment of the former VDN Vereinigte Deutsche Nickel-Werke in 2005. After restructuring its financial liabilities into equity, the holding was taken public in 2006 on the open market (Freiverkehr) of the Frankfurt (XETRA) and Berlin stock exchanges. DNick Holding is one of the world's leading manufacturers of specialty materials made from nickel and nickel alloys. From its administrative seat in Schwerte, the company bundles the entire business activities of the DNick Group as a holding company. The group is organised into the product areas of bars and wires. In the bars and wires product area, the group operates through its operating subsidiary Deutsche Nickel GmbH, based in Schwerte. Deutsche Nickel America Inc. serves primarily the North American market as a pure sales and trading company for the entire product portfolio, while Deutsche Nickel Asia Trading Co., Ltd. is a sales office in Shanghai covering China, Hong Kong and Taiwan. The group also includes DN Meditech GmbH, a sales company for specialised medical products made from stainless steel, titanium and cobalt-chrome, and DN Real Estate GmbH, which handles property development and administration. Deutsche Nickel GmbH describes itself as a quality leader in the manufacture of wire and bar products from nickel, nickel-base, copper-nickel and iron-nickel alloys, employing around 200 people worldwide with an annual turnover of about 100 million Euros. It positions itself among the top 10 manufacturers of round products in the global nickel industry. Its key markets include oil and gas, automotive, aerospace, the fastener industry, electronics and lighting, energy and environmental technology, the chemical industry, furnace industry, stockholding and distribution, medical technology, metal processing, offshore and shipbuilding, raw material for forging, and welding. Product forms include bars, wire, filler metals and material solutions across nickel alloys, iron-nickel alloys, nickel-copper alloys, nickel-chrome-iron alloys, copper-nickel alloys, and nickel-chrome alloys / high-performance alloys, supported by services such as hire-work, bar production, wire production, laboratory analytics, a welding laboratory, technical advice and logistics. Ownership of the group has changed over time. In April 2011 the company sold its subsidiary Saxonia Eurocoin. At the end of June 2011 it became known that Wickeder Westfalenstahl and its shareholders had acquired a total stake of 50.8% in DNick Holding via the stock exchange. In December 2012 the Frankfurt exchange as well as the Berlin and Stuttgart trading venues discontinued the listing of DNick Holding shares, and the shares have since been tradable only over the counter.
History
The industrial origins of the DNick Group lie with Deutsche Nickel GmbH, whose history dates back to 1861. In 1878 the company founder Theodor Fleitmann achieved the first breakthrough discovery that nickel could be made into a malleable material suitable for hot-rolling and forging by adding magnesium to the melt. This discovery remains the basis of the industrial process used in nickel production to this day. The group emerged from the Deutsche Nickel sub-group of the former VDN Vereinigte Deutsche Nickel-Werke. The current DNick Holding acquired the shares of the operating companies of the non-ferrous metals (NE-Metalle) business segment of VDN in 2005. DNick Holding Limited itself was founded on 18 March 2005 as a public limited company (plc) with limited liability under the law of England and Wales, with its registered and administrative office in London, UK. After restructuring its financial liabilities into equity, the holding was taken public in 2006 on the open market (Freiverkehr) of the Frankfurt (XETRA) and Berlin stock exchanges. In April 2011 the company sold its subsidiary Saxonia Eurocoin. At the end of June 2011 it became known that Wickeder Westfalenstahl and its shareholders had acquired a total stake of 50.8% of the capital of DNick Holding via the stock exchange. In December 2012 the Frankfurt exchange as well as the Berlin and Stuttgart trading venues discontinued the listing of DNick Holding shares; since then the shares have been tradable only over the counter. Effective 12 March 2018, DNick was restructured as a private company limited by shares (Limited). Also in 2018, through a management buy-out (MBO), the management of Deutsche Nickel GmbH bought back the shares held by Wickeder Westfalenstahl. As part of Brexit, DNick was converted into a pure financial holding organisation. Today DNick Holding serves as the holding company for the group with a Board of Directors. Its issued share capital equates to GBP 567,131.80, split into 5,671,318 shares each with a nominal value of GBP 0.10. The group's corporate structure comprises DNick Holding Ltd. (holding company for the group with Board of Directors), Deutsche Nickel GmbH (factory and head office of the Deutsche Nickel Group), Deutsche Nickel America, Inc. (sales office and warehouse for the North American market), Deutsche Nickel Asia Trading, Co., Ltd. (sales office in Shanghai for China, Hong Kong and Taiwan), DN Meditech GmbH (sales company for specialised medical products made from stainless steel, titanium and cobalt-chrome) and DN Real Estate GmbH (property development and administration).
