Overview
EBN Banco de Negocios, S.A. is a Spanish private bank headquartered in Madrid. It was originally incorporated on 30 April 1982 under the name Ibérica de Descuento, S.A. (Descontiber, S.A.), and over the following decades it changed its corporate name several times: it became Bancaja, S.A. in 1991, Sociedad Española de Banca de Negocios, S.A. (EBN Banco) in 1992, and finally EBN Banco de Negocios, S.A. in 2004, keeping the EBN Banco anagram. The bank is part of Grupo EBN, which also includes EBN Capital, S.G.I.I.I.C., S.A. and EBN Titulización, S.A.U., S.G.F.T. The bank positions itself as a specialist in savings and investment solutions for individuals and as a corporate bank. Its product range includes structured notes, fixed-term deposits from €5,000, reverse mortgages, personal loans, consumer loans for investors, and discretionary portfolio management. It also offers a fund supermarket where clients can invest in clean share classes, claiming average savings of more than 30% in fees, and a mobile app for iOS and Android. EBN Banco de Negocios, S.A. is affiliated with the Spanish Deposit Guarantee Fund for Credit Institutions, which covers up to €100,000 per depositor per entity for cash deposits. Historically, EBN Banco was owned by several Spanish savings banks and banks, including Unicaja Banco, Ibercaja Banco, Banco CEISS, Banco Mare Nostrum (BMN) and Banco Sabadell. In November 2013 these shareholders mandated the sale of the entity, and after a segregation of syndicated assets, the bank was reduced to a platform with staff and a banking licence. In 2014 Banco Sabadell sold its 15.624% stake to EBN Banco itself for treasury shares. On 27 November 2014 it was announced that investors José Gracia Barba and Santiago Fernández Valbuena had signed an agreement with Unicaja Banco, Ibercaja Banco, Banco CEISS and BMN to acquire 100% of EBN Banco for around €50 million. The purchase was completed on 29 September 2015 for approximately €47 million, after approval by the European Central Bank, with the two investors taking the presidency and vice-presidency respectively. Following a capital reduction in March 2016, José Gracia Barba and Santiago Fernández Valbuena and his wife came to hold 100% of the shares. Today EBN Banco operates as a private Spanish bank focused on personalised savings and investment products, with a stated emphasis on specialisation, trust built over more than 40 years, innovation and customised solutions. It integrates sustainability risks into its investment advice and portfolio management policies, although it states that it does not currently analyse principal adverse impacts in product selection due to lack of information and due diligence policies.
History
EBN Banco de Negocios, S.A. was constituted on 30 April 1982 under the denomination Ibérica de Descuento, S.A. (Descontiber, S.A.). By deed of 10 September 1991, the company changed its name to Bancaja, S.A. On 18 February 1992, its corporate name was modified again to Sociedad Española de Banca de Negocios, S.A. (anagram EBN Banco). On 25 May 2004, the name was changed once more to EBN Banco de Negocios, S.A., maintaining the same anagram (EBN Banco). In November 2013, the shareholders of EBN Banco (Unicaja Banco, Ibercaja Banco, Banco CEISS, Banco Mare Nostrum (BMN) and Banco Sabadell) commissioned its sale. Before the sale could be closed, a process of segregation of the entity's syndicated assets had to be carried out, which would subsequently be acquired by the shareholders themselves at market prices. EBN Banco would thus be reduced to a platform with staff and a banking licence. On 15 January 2014, EBN Banco and Banco Sabadell signed an agreement whereby the latter sold 15.624% of EBN Banco's capital to the entity, which bought it for its treasury shares. In June 2014, five candidates had passed the last cut and presented offers. Among them were the Chinese bank China Development Bank (CDB), the Spanish securities firm Auriga and the Andorran bank Morabanc, the latter later discarded. On 27 November 2014, it was announced that investors José Gracia Barba and Santiago Fernández Valbuena had signed an agreement with Unicaja Banco, Ibercaja Banco, Banco CEISS and Banco Mare Nostrum (BMN) to acquire 100% of EBN Banco for around €50 million. The agreement was formalised after a second round of offers from entities interested in the bank. Finally, on 29 September 2015, José Gracia Barba and Santiago Fernández Valbuena closed the purchase of the entity, sharing the presidency and vice-presidency respectively. The two investors signed the purchase deed after the ECB's approval of the operation, valued at around €47 million, and appointed the new board of directors. More specifically, the sale was carried out by José Gracia Barba and Santiago Fernández Valbuena and his wife, who acquired 84.376% of the shares, representing 100% of effective voting rights, since the remaining 15.624% of the capital formed part of the treasury shares held by the bank at that date. On 3 March 2016, a reduction of share capital by amortisation of own shares was registered in the Mercantile Registry. As a consequence, José Gracia Barba and Santiago Fernández Valbuena and his wife came to hold 100% of the shares of the new share capital. Since then, EBN Banco has operated as a private Spanish bank focused on savings and investment solutions for individuals and on corporate banking. Its current product range includes structured notes, fixed-term deposits from €5,000, reverse mortgages, personal loans, consumer loans for investors, discretionary portfolio management and a fund supermarket offering clean share classes. The bank also provides a mobile app for iOS and Android. It is affiliated with the Spanish Deposit Guarantee Fund for Credit Institutions, which guarantees up to €100,000 per depositor per entity for cash deposits. The bank states that it has more than 40 years of experience generating lasting relationships.
