Overview
EG Group is an American-British multinational operator of fuel stations, convenience stores, roadside services and franchised food outlets. The business began in 2001 when brothers Mohsin Issa and Zuber Issa bought a BP forecourt in Bury, Greater Manchester. Initially known as Euro Garages, it expanded by acquiring petrol stations from oil companies and adding convenience retail, coffee, restaurants and other services to traditional forecourts. Its early growth combined acquisitions with partnerships and franchise agreements. The company added Subway concessions in 2006, developed relationships with Shell, Texaco, Spar and Costcutter, and acquired its first motorway service area in 2009. Starbucks and Burger King franchise agreements followed in 2010, while a series of Esso and Shell forecourt acquisitions between 2013 and 2015 significantly increased its British estate. The business also experimented with roadside food and hospitality formats, including conversions of former Little Chef locations and the development of lodge accommodation. TDR Capital acquired a minority interest in Euro Garages in 2015. In 2016, Euro Garages merged with TDR's European Forecourt Retail business, creating a larger group initially known as Intervias Group and later renamed EG Group. The enlarged company pursued rapid international expansion through acquisitions in continental Europe, Australia and the United States. Major transactions included Esso networks in Germany and Italy, Woolworths' Australian fuel and convenience estate, Kroger's convenience stores in the United States, Minit Mart, Fastrac and Cumberland Farms. EG Group's operating model combines fuel retail with higher-margin convenience products and branded food-to-go. Its locations have hosted franchises and concessions from brands including Starbucks, Burger King, KFC, Subway, Greggs, Krispy Kreme, Cinnabon and Sbarro. The group also acquired Leon Restaurants and Cooplands, expanding beyond forecourts into restaurant and bakery operations. Its purchase of Asda with TDR Capital and the Issa brothers in 2020 further connected EG's forecourt strategy with supermarket convenience formats such as Asda on the Move and Asda Express. The acquisition-led strategy was substantially debt funded. By 2023, reported debt had approached £8 billion, prompting asset sales, sale-and-leaseback transactions and a restructuring of the group's geographic footprint. In 2023, most of the British forecourt business was transferred to Asda, while EG sold American properties in a transaction with Realty Income. EG later sold its UK and Ireland KFC restaurants to Yum! Brands and separated much of its remaining British estate into EG On The Move. French, Italian and Australian operations were also reported as being divested during the subsequent restructuring. Following these disposals, EG Group's remaining activities have centered primarily on its United States business and a reduced set of British operations, including Starbucks franchises and, for part of the period, Cooplands and Evpoint. The group has considered alternative ownership and financing options, including a possible US public offering and a potential sale of its American operations. Its later corporate structure and exact asset base remain subject to continuing transactions and therefore warrant periodic review.
History
EG Group originated in March 2001 when Mohsin and Zuber Issa purchased a BP petrol station in Bury, Greater Manchester, for £150,000. Trading as Euro Garages, the company quickly acquired additional forecourts and built a regional network across northern England and the Midlands. Rather than treating petrol retail as its sole business, it added convenience products, branded coffee and food, and partnerships with supermarket and fuel brands. The company introduced Subway concessions in 2006 and formed partnerships with Shell, Texaco, Spar and Costcutter by 2007. By 2009 it operated 73 sites and had acquired Rivington motorway services, where it invested in refurbishment. Coffee Nation equipment, Starbucks franchising and Burger King franchising broadened the food and beverage proposition. Between 2013 and 2015, Euro Garages acquired substantial Esso and Shell forecourt portfolios, making it one of Britain's largest independent operators. TDR Capital took a minority stake in October 2015. In 2016, Euro Garages merged with TDR's European Forecourt Retail Group, creating Intervias Group with operations in the United Kingdom, France, the Netherlands, Belgium and Luxembourg. The group adopted the EG Group name as its international expansion accelerated. It acquired Little Chef properties, German Esso stations, Italian and Dutch sites, and American convenience-store networks. The 2018 acquisition of Kroger convenience stores and the purchase of Woolworths' Australian fuel and convenience sites in 2019 were among its most significant international transactions. EG expanded its food and hospitality portfolio during this period. It converted former Little Chef sites into franchised locations, created EG Diner after the Little Chef licensing arrangement ended, opened lodge accommodation at selected service areas, and added KFC, Krispy Kreme, Cinnabon, Greggs, Leon and Cooplands to its wider brand portfolio. In 2020, the Issa brothers and TDR Capital acquired Asda, leading to cooperation between EG and Asda on smaller-format convenience stores and forecourt locations. The group’s acquisition program relied heavily on debt. As its obligations increased, management began reshaping the portfolio. In 2023, EG sold and leased back 415 US convenience stores to Realty Income and transferred most of its British forecourt operations to Asda. The business subsequently sold its UK and Ireland KFC restaurants to Yum! Brands and moved much of the remaining UK forecourt estate into EG On The Move. French, Italian and Australian operations were also placed into divestment processes. The restructuring reduced EG Group's geographic and operational scope. Reported remaining activities included a US convenience-store business and selected British businesses such as Starbucks franchises, Evpoint and, until its later divestment, Cooplands. The company has also considered a public offering in the United States or a sale of its US operations. Because several disposals and proposed transactions have occurred in close succession, the group's current ownership, headquarters and operating footprint should be checked against the latest corporate disclosures.
