Overview

Equitable PCI Bank, Inc. was a large Philippine banking institution that operated from 1999 until its merger with Banco de Oro Universal Bank in early 2007. It was formed when Equitable Banking Corporation, controlled by the Go family, combined with Philippine Commercial International Bank, commonly known as PCIBank. The merger brought together two institutions with substantial branch networks, corporate relationships, consumer-finance operations, overseas activities, and technology infrastructure. Equitable PCI Bank became one of the Philippines' largest banks and was described as the country's third-largest bank by assets at the time it ceased operating as an independent institution. The bank's heritage extended well beyond the 1999 merger. Equitable Banking Corporation had been founded in 1950 by Go Kim Pah as a commercial bank licensed by the newly established Central Bank of the Philippines. It expanded from its first branch in Divisoria, Manila, into provincial and international markets, opening a Cebu branch in 1965 and a Hong Kong branch in 1963. Equitable developed foreign-exchange capabilities, became a universal bank in 1987, and built a significant credit-card business. Its credit-card operations were placed in the wholly owned Equitable CardNetwork subsidiary, which became the largest Philippine credit-card issuer according to contemporary descriptions. PCIBank traced its origins to the Philippine Commercial Industrial Bank, founded in 1938. Through mergers with the Philippine Bank of Commerce and Merchants Banking Corporation in 1976, Insular Bank of Asia and America in 1985, and other institutional developments, PCIBank became a prominent Filipino-owned commercial bank. In the 1980s it changed the meaning of the initial “I” in its name from “Industrial” to “International,” reflecting its overseas network. It also pioneered or expanded several specialized services, including remittances through ExpressPadala, leasing, investment banking, consumer lending, insurance-related services, and securities-market activities. As a combined institution, Equitable PCI Bank offered retail deposits, commercial and corporate banking, loans, treasury and foreign-exchange services, credit cards, consumer finance, leasing, investment banking, remittances, insurance-related products, and electronic banking. It was connected with both major Philippine ATM networks of the period: Equitable's Megalink and PCIBank's BancNet. PCIBank was among the founders of BancNet and served as an operator alongside other major banks. These network affiliations strengthened the bank's reach across branches, ATMs, payment services, and card products. The institution also became nationally prominent during the impeachment proceedings against President Joseph Estrada. Senior vice president Clarissa Ocampo testified regarding an account identified as “Jose Velarde,” and the bank supplied records and witnesses in support of the contention that the account was connected to Estrada. The episode made Equitable PCI Bank an important participant in a major Philippine political and legal controversy, although the bank itself was not the subject of the alleged misconduct. In 2005, SM Investments and Banco de Oro announced the acquisition of a substantial Equitable PCI stake from the Go family and an interest in Equitable CardNetwork. Banco de Oro subsequently increased its position and submitted a merger proposal in January 2006. The transaction was completed in early 2007 with Banco de Oro as the surviving institution. Equitable PCI Bank's branches, operations, and customer relationships were subsequently integrated into the BDO identity, ending the independent Equitable PCI Bank brand.

History

Equitable PCI Bank was created in 1999 from the combination of Equitable Banking Corporation and Philippine Commercial International Bank. Its institutional history therefore drew on two major Philippine banking lineages. Equitable Banking Corporation began in 1950, when Go Kim Pah founded it as a commercial bank licensed by the Central Bank of the Philippines. The institution opened its first branch in Divisoria in 1955 and developed an international orientation early. In 1958 it established a direct telex connection with Japan, and in 1963 it opened a branch in Hong Kong, described as the first Philippine bank branch in that city. Equitable expanded domestically with a Cebu branch in 1965 and by 1972 had become one of the country's leading banks. It received a foreign-currency license in 1977, entered credit cards under the Visa brand in 1980, became a universal bank in 1987, and was appointed clearing house of the Makati Stock Exchange, now part of the Philippine Stock Exchange. In 1989 its credit-card department became Equitable CardNetwork, while Equitable also helped establish Megalink, one of the country's principal ATM networks. Equitable Savings Bank was formed in 1996, and the parent bank listed on the Philippine Stock Exchange in 1997. PCIBank originated in 1938 as the Philippine Commercial Industrial Bank, headquartered in Binondo, Manila. It moved its head office in 1966 and expanded significantly through a 1976 merger with the Philippine Bank of Commerce and Merchants Banking Corporation. In 1982 PCIBank formally adopted the historical identity of the Philippine Bank of Commerce, reinforcing its status as a Filipino-owned private commercial bank. The bank expanded remittance services through ExpressPadala, changed the meaning of its initial “I” from “Industrial” to “International” in 1983, and merged with Insular Bank of Asia and America in 1985. John Gokongwei acquired shares in 1987 and appointed Rafael Buenaventura as president and CEO. PCIBank also built subsidiaries and affiliates covering leasing, finance, investment banking, securities, consumer lending, credit cards, insurance, and overseas remittances. In 1991 it helped form BancNet, another important Philippine ATM network. The 1999 merger created a broad universal bank with retail, commercial, corporate, investment, treasury, card, remittance, leasing, and electronic-banking capabilities. Equitable PCI Bank's scale made it one of the largest banks in the Philippines. It was also drawn into the political crisis surrounding the impeachment of Joseph Estrada. Bank senior vice president Clarissa Ocampo testified about the Jose Velarde account, while the institution supplied a group of witnesses and records during the proceedings. The bank's ownership changed decisively in the mid-2000s. SM Investments and Banco de Oro acquired a major interest in Equitable PCI Bank in 2005, followed by further Banco de Oro purchases. In January 2006 Banco de Oro presented a merger offer, and the transaction was completed in early 2007 with Banco de Oro as the surviving entity. The Equitable PCI Bank name and standalone corporate identity consequently disappeared as the business was integrated and rebranded under BDO.
