Overview
Essar Group is an Indian multinational conglomerate founded in 1969 by brothers Shashi Ruia and Ravi Ruia. The group began as an engineering and construction contractor and developed into a diversified owner and operator of assets in sectors considered central to the economy, including oil refining, oil and gas exploration and production, power generation, ports, shipping, steel, mining, information technology, business-process services, and retail. Its corporate platform is commonly associated with Essar Global Fund Limited, which owns or has owned operating companies and investments in several countries. The group’s first major project was the construction of an outer breakwater for Chennai Port. From that base, Essar expanded into infrastructure and shipping before entering power generation, telecommunications, oil refining, steel, technology services, and consumer retail. Its growth strategy combined organic development with acquisitions. Major examples included the purchase of South India Shipping Corporation in 1992, entry into Indian mobile telecommunications in the 1990s, the acquisition of the Stanlow refinery in the United Kingdom in 2011, and expansion into North American steel and Indonesian coal assets. Energy became one of Essar’s most important operating areas. The group developed power plants in India and Canada, operated the Vadinar refinery in Gujarat through Essar Oil, and pursued coal-bed methane production in the Raniganj block of West Bengal through Essar Oil & Gas Exploration & Production. In the United Kingdom, Essar Oil UK operates the Stanlow refinery and associated infrastructure in northwest England. Essar has also developed energy-transition activities, including Vertex Hydrogen and plans connected with lower-carbon industrial energy and hydrogen supply. Essar’s steel business grew through the acquisition of processing and steel assets, including facilities purchased from Stemcor and the Minnesota Steel project in the United States. Essar Steel India later entered India’s corporate insolvency process. In 2019, the Supreme Court of India approved ArcelorMittal’s takeover of Essar Steel India, ending the group’s ownership of that major steel business. The group also exited several earlier activities: its stake in the Vodafone Essar telecommunications venture was sold in 2011, its outsourcing operations were disposed of in stages, and Essar Oil was sold in 2017 to a consortium led by Rosneft, Trafigura, and UCP Investment Group and subsequently rebranded as Nayara Energy. Essar’s present portfolio is concentrated around energy transition, refining and terminals, oil and gas production, power and infrastructure, metals and mining, technology services, shipping, and selected consumer businesses. The group has used asset sales and debt reduction to reshape its balance sheet and portfolio. It also operates the Essar Foundation, established in 1997, which supports initiatives in education, health, environmental protection, women’s empowerment, infrastructure, livelihoods, and entrepreneurship. During the COVID-19 pandemic, the foundation supported care facilities, vaccination efforts, and food distribution in India.
History
Essar Group was established in 1969 after Shashi Ruia won a contract valued at Rs. 2.3 crore to construct an outer breakwater for Chennai Port. The project gave the Ruia family a foothold in engineering, construction, and infrastructure. Essar subsequently broadened its activities into shipping, power, steel, energy, telecommunications, technology services, and retail, using a combination of project development and acquisitions. In 1991, Essar began developing a 515 MW combined-cycle power plant at Hazira. The group later built or operated power facilities in Indian states including Madhya Pradesh, Gujarat, and Odisha, as well as in Ontario, Canada. In 1992, it acquired South India Shipping Corporation, extending its infrastructure interests into maritime transport. Essar entered telecommunications in 1995 through a Swiss PTT joint venture branded Essar Cellphone and began GSM operations in Delhi. Through independent expansion and its Hutchison partnership, the group acquired additional Indian telecom circles. The activities were consolidated under Hutchison Essar, and after Vodafone acquired Hutchison’s stake in 2006, Essar retained a minority interest in Vodafone Essar. Essar sold that interest in 2011 and exited telecommunications. During the same broad period, the group developed The MobileStore, a chain of Indian mobile-phone retail outlets. The group’s energy and metals expansion accelerated in the 2000s. Essar Oil received its first major crude shipment at Vadinar, Gujarat, in 2006. Essar Steel acquired HGPL and SCGL from Stemcor in 2005 and became an integrated steel producer. Essar Global acquired Minnesota Steel in 2007 and coal mines in Indonesia in 2010. In 2011, Essar Energy purchased the Stanlow refinery in northwest England for a reported $1.3 billion. Stanlow became a central asset in Essar’s international refining and logistics portfolio. Essar also expanded into services and technology. It acquired Aegis Communication in 2003 and built an outsourcing business operating across multiple countries. Aegis USA was partly sold to Teleperformance in 2014, while remaining outsourcing operations were sold to Capital Square Partners in 2017. In 2019, Essar subsidiary AGC Networks acquired Black Box Corporation, expanding the group’s technology and communications-infrastructure activities. Essar Steel India faced financial distress and was included on a Reserve Bank of India defaulters’ list disclosed in 2017. The company entered insolvency proceedings, and in November 2019 India’s Supreme Court approved ArcelorMittal’s plan to take over the business and settle creditor claims. Essar Oil was also sold in 2017 and became Nayara Energy, marking the disposal of another major operating asset. Following these disposals, Essar placed greater emphasis on energy, terminals, exploration and production, infrastructure, metals and mining, technology, and energy transition. Essar Oil & Gas Exploration & Production operates a coal-bed methane block in Raniganj, West Bengal; it received an agreement with GAIL for gas offtake in 2018 and environmental clearance to explore shale-gas reserves in 2019. In the United Kingdom, Essar established Vertex Hydrogen and pursued hydrogen supply for industrial decarbonization. Essar Oil UK completed a 280 MW hydrogen offtake agreement with Vertex Hydrogen in 2022. The group has also reported substantial debt reduction and continued asset restructuring. Reference material describes the sale of power and captive-port assets to ArcelorMittal Nippon Steel in 2022 and reports that the group subsequently described itself as debt-free. The group’s philanthropic work is conducted in part through Essar Foundation, established in 1997. Its programs cover education, health, environment, women’s empowerment, infrastructure, livelihoods, and entrepreneurship; during the COVID-19 pandemic it supported a care centre, vaccination drives, and food assistance in Gujarat.
