Overview

Essel Group, also known as Zee Group, is an Indian diversified business group headquartered in Mumbai and controlled by the Goenka family. Its businesses have historically spanned mass media, television broadcasting, cable and direct-to-home distribution, packaging, amusement parks, education, financial services, infrastructure-related activities, lotteries and precious-metals marketing. The group’s best-known public-facing identity has been built around the Zee brand, particularly Zee TV and the wider portfolio of entertainment, news and regional-language channels associated with Zee Entertainment Enterprises and Zee Media Corporation. The group traces its origins to 1926, when Jagannath Goenka established Messrs Ramgopal Indraprasad as a food-grains trading business in Adampur, in the Hisar area of present-day Haryana. The enterprise later moved to Hisar after weak performance in Adampur. An attempt to establish a pulses-polishing factory in Delhi produced heavy losses, but machinery transferred to Hisar helped the business develop profitable trade in polished grains. By the mid-1960s, the family business operated a dal mill and cotton-ginning facilities. After a difficult period in the late 1960s, the business obtained contracts connected with the Food Corporation of India for polished pulses, cleaned barley and grain storage. Jagannath Goenka’s grandson, Subhash Chandra, assumed control in 1973. The group adopted the Essel name in 1976 and used its storage and trading capabilities as a platform for expansion. It established Lamina Packers, later incorporated as Essel Packaging, beginning a major move into laminated packaging tubes. Export contracts for rice and soya beans during the early 1980s further expanded the business. Essel’s move into entertainment began with investment in an amusement park project in Mumbai. EsselWorld opened in 1989 and became one of India’s earliest large amusement parks, although the attraction was reportedly unprofitable over its operating life and ultimately closed in 2023. The more consequential diversification came in television. Zee Telefilms was incorporated in 1992, and Zee TV began broadcasting on 1 October that year through an arrangement involving Asia Today and AsiaSat. The channel became an important early Hindi-language satellite service and helped establish the Zee brand as a national media platform. Essel later added cable distribution through Siti Cable, news broadcasting through Zee News and a broad range of entertainment and regional channels. The group reorganized several media activities during the 2000s. Zee News was separated from the principal entertainment business and later became Zee Media Corporation, while the former Zee Telefilms was renamed Zee Entertainment Enterprises. Essel also pursued direct-to-home television through Dish TV, education through Zee Learn, film and music activities through Zee-branded businesses, and sports broadcasting, including the Indian Cricket League. These ventures made media the group’s principal public identity, even as the wider organization retained interests outside broadcasting. By 2019, Essel faced substantial financial pressure. It sold or reduced interests in several assets, including Essel Propack and holdings connected with Zee Entertainment Enterprises, in efforts associated with debt repayment and creditor obligations. Further disposals or transfers included the sale of an Essel Finance MSME loan book to Adani Capital and the sale of Essel Mutual Fund to Navi Group. Promoter ownership in several listed affiliates declined materially, and some holdings were pledged or sold. The group’s structure and financial condition also became the subject of public scrutiny and regulatory or investigative reporting. Essel remains most closely identified with the Zee ecosystem, but its current corporate footprint is better understood as a family-controlled portfolio of businesses and residual interests rather than the vertically int…

History

Essel Group began in 1926 as Messrs Ramgopal Indraprasad, a food-grains trading firm founded by Jagannath Goenka in Adampur. The business moved to Hisar in 1946 after weak results in Adampur. A Delhi pulses-polishing venture launched in 1948 was closed after losses, but its machinery was relocated to Hisar, where the firm developed profitable grain-processing and trading operations. By 1966 it had a dal mill and two cotton-ginning factories. The late 1960s brought significant losses and left the family business in a weak financial position. During the following period, relationships with the Food Corporation of India helped the firm obtain supply and storage contracts involving polished pulses, cleaned barley and food grains. In 1973, control passed to Jagannath Goenka’s grandson Subhash Chandra. The business adopted the Essel Group name in 1976 and began broadening beyond commodities. Lamina Packers was established to manufacture packaging materials and was incorporated as Essel Packaging in 1982. The group also secured export contracts for rice and soya beans during the early 1980s. Essel entered leisure and entertainment infrastructure through investment in a Mumbai amusement park. EsselWorld opened in 1989 and was followed by other leisure activities, including Water Kingdom. Although these parks helped promote Essel as an entertainment company, EsselWorld was not consistently profitable and closed in 2023. The decisive transformation came in television. Zee Telefilms was incorporated in 1992, and Zee TV began broadcasting on 1 October 1992 through a satellite-transponder arrangement involving Asia Today and AsiaSat. It was among India’s earliest Hindi-language satellite channels and rapidly established a national audience. In 1994, Essel created Siti Cable as a distribution arm. Zee expanded into news in 1998 with Zee News, described in the reference material as India’s first 24-hour Hindi news channel, and continued to add entertainment, regional and specialist services. In 2000, Zee Telefilms bought out Star TV’s interest in Asia Today, ending the earlier partnership and intensifying competition in Hindi-language television. Further restructuring followed in 2006, when the news and cable operations were separated from the principal entertainment company. Zee News became a distinct listed entity, later renamed Zee Media Corporation, while Zee Telefilms became Zee Entertainment Enterprises. Essel also developed Dish TV, education businesses under Zee Learn, film and music operations, sports broadcasting and the Indian Cricket League. Other activities included online lottery operations, financial services, mutual funds and gold-related brand licensing. The group’s financial position deteriorated during the late 2010s. In 2019 and subsequent years, it sold or reduced interests in several businesses to meet obligations. Disposals and ownership reductions affected Essel Propack, Zee-related holdings, Essel Finance’s MSME loan portfolio and Essel Mutual Fund. Promoter stakes in listed affiliates declined, with some holdings pledged as collateral. These events changed Essel from a highly expansive operating group into a more financially constrained family-controlled portfolio. The Zee ecosystem remained the central source of Essel’s public identity. In 2021, a dispute between major investor Invesco and Zee’s board concerned an extraordinary general meeting, proposed leadership changes and an earlier possible transaction involving Reliance Industries. Litigation reached the Bombay High Court and the National Company Law Tribunal. In the same year, Zee’s board approved a proposed merger with Sony Pictures Networks India. Because group ownership and subsidiary relationships have changed over time, current interests should be distinguished from businesses historically associated with Essel.
