Overview

Finasucre is a Belgian family holding company whose roots lie in the sugar industry and whose controlling shareholder is the Lippens family. Established in 1929 as Société Financière des Sucres, the company was created partly to bring together family interests in Belgian sugar manufacturing. Over time, it developed from a shareholder vehicle connected with several sugar factories into an operating investment group with activities spanning beet sugar, cane sugar, agricultural products, food ingredients, biotechnology, biomaterials, real estate and other participations. Sugar remains the central element of the portfolio. Through Iscal Sugar, in which Finasucre held 87.6% in 2022, the group participates in the production and commercialization of sugar made from sugar beet. Iscal was established in 2003 through the combination of several Belgian sugar operations associated with Groupe Sucrier, Cosucra-Groupe Warcoing and Couplet. The group also owns Bundaberg Sugar in Australia, a wholly owned subsidiary involved in sugar and related agricultural businesses, including engineering and sweet-potato operations. In the Democratic Republic of the Congo, Finasucre owns 60% of Compagnie Sucrière Kwilu-Ngongo, a cane-sugar producer that is not consolidated in the group accounts. Sugar-related by-products also support other activities, including Kwilu Briques, which uses bagasse from cane processing as an energy source for brick production. Finasucre has pursued diversification beyond conventional sugar production. It owns a majority interest in Galactic, a Belgian multinational producer of lactic acid, lactates and natural antimicrobial preservation products. These products serve industrial, animal-feed, cosmetics and food-preservation applications. Through Galactic and its investment in Futerro, the group is also exposed to polylactic-acid biomaterials and the development of recyclable alternatives to conventional plastics. Other agricultural exposure includes Australian macadamia-nut businesses held through BBS Subsidiary and food-related activities connected with Bundaberg Sugar. The holding company has also made investments in decorative sugar products through Dutch subsidiary Alldra, in specialty and natural-ingredient businesses, in insect agriculture through Ÿnsect, and in investment funds. Its earlier participation in Naturex, a French specialty-ingredients company, was sold in 2018 following a tender offer by Givaudan. Finasucre has held real-estate interests in the Royal Saint-Hubert Galleries in Brussels and Compagnie Het Zoute, while also disposing of other property-related investments such as its stake in Aedifica. Finasucre is therefore best understood as a privately controlled investment and operating group rather than a consumer-facing product brand. Its public identity is closely associated with long-term family ownership, the Belgian and international sugar sectors, agricultural supply chains and selective diversification into industrial biotechnology and sustainable materials. Financial and employee figures cited for individual subsidiaries vary by year and should not be treated as consolidated Finasucre group figures without reference to the relevant annual report.

History

Finasucre was formed in 1929 as Société Financière des Sucres following a consolidation of Belgian sugar interests. The same restructuring produced Suikerfabrieken van Vlaanderen, bringing together the Moerbeke sugar factory, Sucrerie Frantz Wittouck in Selzate and Sucrerie de l'Espérance in Snaaskerke. The Lippens family contributed interests to the holding and retained a dominant role. The original purpose was both financial and organizational: to group family shareholdings and coordinate participation in the Belgian sugar sector. During the 1980s, Finasucre expanded its direct control of sugar assets. In 1982 it acquired the remaining shares in the Moerbeke Sugar Factory through an exchange involving its interest in Raffinerie Tirlemontoise. In 1986 it acquired Sogesucre, the listed owner of Compagnie Sucrière of Kwilu-Ngongo in what was then Zaire, first purchasing a substantial block and then making an offer for the remaining shares. In 1988 it prevailed over competing interest from Ferruzzi in the acquisition of Sucrerie de Frasnes. In 1989, the Belgian factories at Escanaffles, Moerbeke and Frasnes were organized within Groupe Sucrier, together with several Central African companies. The African portfolio included Compagnie Sucrière, a large cane-sugar operation, as well as beverage, trading and engineering activities. The Escanaffles factory was later closed; its site subsequently became associated with Galactic. Groupe Sucrier also acquired the Dutch Euro Star factory in Lelystad in 2003. Finasucre broadened its geographic footprint in 2000 by acquiring Bundaberg Sugar in Australia. In 2003, Iscal Sugar was created through a combination of Groupe Sucrier's Moerbeke and Frasnes operations with the Veurne and Fontenoy factories contributed by other Belgian sugar-sector partners. The Congo activities were kept outside Iscal. Several Belgian factories were subsequently closed: Frasnes in 2004, Veurne in 2005 and Moerbeke in 2007. In 2012 Finasucre bought out the small remaining minority in Groupe Sucrier and absorbed it, strengthening its direct position in Iscal Sugar. The group began a more visible diversification program during the 2010s. It acquired Alldra in the Netherlands in 2016, adding decorative sugar products, and established Kwilu Briques in the Democratic Republic of the Congo, using bagasse from cane processing as a fuel source for brickmaking. Finasucre also invested in Galactic, whose fermentation-based lactic-acid products serve food, industrial, animal-feed and cosmetics markets. Galactic became an important platform for Futerro, a biomaterials company producing polylactic acid and related products, including the RENEW material described as a recyclable alternative to some conventional plastics. Finasucre's investment portfolio during this period included agricultural businesses, Australian macadamia-nut interests, specialty ingredients, insect agriculture and investment funds. In 2011–2012 it acquired a majority interest in SGD, whose principal asset was a stake in Naturex. That participation was sold in 2018 when Givaudan made a tender offer for Naturex. The group also made and later adjusted real-estate investments, including interests in the Royal Saint-Hubert Galleries, Compagnie Het Zoute and Aedifica. By 2022, Finasucre remained a family-controlled holding company with sugar and agriculture at its core and a diversified collection of industrial and investment assets.
