Overview

Genius Group Limited is a Singapore-based education technology company focused on entrepreneurial and lifelong education. Its stated model combines online learning, in-person education, professional development, community-based networks and technology-enabled personalization. The group positions itself as an alternative pathway for learners who want practical skills in entrepreneurship, business, investment, leadership and related fields rather than a conventional, institution-centered education experience. The group traces its origins to initiatives developed by entrepreneur Roger James Hamilton from 2002 onward. Between 2012 and 2015, Hamilton and associated businesses developed programs under the Entrepreneurs Institute brand and created Talent Dynamics, a corporate-oriented adaptation of the Wealth Dynamics framework. Hamilton’s involvement with the Green School in Bali helped inform the development of GeniusU, an education technology platform launched in 2015. GeniusU became the group’s principal digital learning and community platform, intended to connect courses, mentors, entrepreneurs and education providers. Genius Group Limited was established as a Singapore public holding company in 2019. It acquired Wealth Dynamics and Entrepreneurs Institute and organized GeniusU as the group’s technology and learning platform. The group subsequently pursued an acquisition-led expansion strategy. In 2020 it acquired Entrepreneur Resorts Limited, a business associated with entrepreneur-focused resorts, beach clubs and coworking locations. In 2022 it completed acquisitions involving Education Angels in New Zealand, E-Squared Education in South Africa, Property Investors Network in the United Kingdom and the University of Antelope Valley in California. It also acquired Utah-based production company Revealed Films. These businesses gave the group exposure to early-childhood education, schools, vocational and higher education, investment education and educational media. Genius Group became a foreign issuer on the NYSE American on April 12, 2022, trading under the symbol GNS. Its public-market history has included significant financing activity, share issuance, litigation, exchange-related developments and controversy over the company’s allegations concerning naked short selling and possible market manipulation. In 2023 the company attempted to use share tracing, a proposed digital coupon and a temporary dual listing on the Upstream exchange as part of efforts to improve transparency around its shareholder base. The company also separated Entrepreneur Resorts Limited from the group through a corporate spin-off approved by the Singapore High Court and completed in 2023. The group’s education platform uses a freemium approach in which introductory material may be available without charge while advanced courses, events and other services require payment. Genius Group has described plans for a virtual campus incorporating gamification, virtual and augmented reality, artificial intelligence and personalized learning. Its broader technology strategy has included AI solutions for learners, companies, educational institutions and governments. In 2024 it acquired FatBrain AI and merged with OpenExO, expanding its stated focus on AI education, organizational transformation and enterprise solutions. The company’s history also includes substantial operational and governance challenges. The University of Antelope Valley, acquired in 2022, faced accreditation, financial-aid, property, student-services and regulatory problems before ceasing operations in February 2024 and losing accreditation later that year. Genius Group has also faced scrutiny over inconsistent public disclosures, financing arrangements, share dilution, its proposed but unsuccessful interest in Troika Media Group, and the appointment of an AI representation of Alan Turing as a nominal chief AI officer. Accordingly, Genius Group is best understood as a publicly traded education technology holding group whose strategy combines digital entrepreneurial education with acquired schools, networks, media and AI businesses, while its execution and financial-market communications have attracted continuing attention.

History

Genius Group’s origins lie in Roger James Hamilton’s entrepreneurial education initiatives, which date to 2002. During the 2012–2015 period, businesses associated with Hamilton developed the Entrepreneurs Institute brand and Talent Dynamics, a corporate-oriented version of the Wealth Dynamics methodology. Hamilton’s work with the Green School in Bali contributed to the concept of a technology platform that could support entrepreneurial and alternative education. GeniusU was created in 2015 as that digital learning and community platform. In 2019, Genius Group Limited was established in Singapore as a public holding company. It acquired Wealth Dynamics and Entrepreneurs Institute, while GeniusU became the group’s principal edtech operating business. The platform was designed to bring together digitized courses, mentors, communities and learning pathways. Its commercial model included free introductory content alongside paid premium courses and events. The group then expanded through acquisitions. Entrepreneur Resorts Limited was acquired in 2020 for a reported US$31 million and operated entrepreneur-oriented resorts, beach clubs and coworking spaces. GeniusU was converted into a public company in 2021. In 2022, the group completed acquisitions of Education Angels, E-Squared Education Enterprises, Property Investors Network and the University of Antelope Valley. It also acquired Revealed Films, a Utah-based production business. These transactions broadened Genius Group beyond online learning into childcare training, schools, vocational and higher education, property-investment education and documentary production. On April 12, 2022, Genius Group completed its initial public offering and began trading on NYSE American as a foreign issuer under the ticker GNS. The company’s public-market period was marked by funding requirements, convertible debt, equity issuance and disputes concerning trading in its shares. In late 2022 and early 2023, the company alleged that its stock had been affected by naked short selling and market manipulation. It retained legal and market-data advisers and appointed former FBI deputy director Timothy Murphy to lead a task force. The publicity surrounding the allegations contributed to intense retail-investor interest and a sharp movement in the share price. Genius Group attempted to address the shareholder-identification issue through a traceable digital coupon issued through Upstream and by dual listing its shares there in 2023. It later removed its shares from Upstream. The company also announced the separation of Entrepreneur Resorts Limited. The spin-off received approval from the Singapore High Court in August 2023 and was completed later that year, leaving ERL outside the Genius Group structure. The group experienced serious difficulties with the University of Antelope Valley. After its 2022 acquisition, the university was placed on accreditation probation, faced concerns regarding governance, financial strength and student outcomes, and encountered disputes over rent and its campus property. Federal and state student-aid actions followed, while the university’s leadership and employment arrangements deteriorated. In February 2024, California regulators ordered the institution to stop enrolling students, providing instruction, collecting tuition and operating degree programs. UAV closed and subsequently lost its accreditation. Genius Group continued to emphasize AI and technology. In March 2024 it completed the acquisition of FatBrain AI and merged with OpenExO. The resulting strategy connected entrepreneurial education with AI-enabled personalization, enterprise transformation and solutions intended for institutions and governments. The company also announced an AI representation of Alan Turing as chief AI officer, a move that generated criticism and debate about whether a simulated historical figure should be presented as a corporate executive. As a corporate brand, Genius Group therefore combines an education technology platform with a collection of acquired and affiliated education, media and AI businesses. Its history is characterized by rapid diversification, an alternative-education mission and repeated attempts to use technology and capital-market mechanisms to scale the model. At the same time, financing pressure, regulatory problems, litigation, disclosure issues and the collapse of the University of Antelope Valley have materially shaped its public profile.
