Overview

GTT Communications, Inc. is a United States-based communications provider focused on enterprise networking, Internet connectivity, managed networking, and network security. The company was originally built from telecom integration businesses founded in 1998 in McLean, Virginia, and London. It later adopted an acquisition-led strategy that transformed it from a services integrator into a global network operator with IP transit, Ethernet, wide-area networking, voice, video transport, and managed services capabilities. GTT's principal service areas include Internet access, IP transit, dedicated Internet access, broadband connectivity, Ethernet, MPLS, virtual private LAN service, software-defined wide-area networking, and related managed network services. It also provides network security and communications services, including managed security, voice transport, video transport, and Session Initiation Protocol trunking. Its offerings are aimed primarily at multinational enterprises, carriers, financial-services organizations, government customers, and other organizations that require connectivity across multiple countries. A central part of GTT's historic differentiation was its Tier 1 global IP network. The company strengthened this position through the acquisitions of PacketExchange, nLayer Communications, and Tinet, the latter acquired from Inteliquent in 2013. Subsequent acquisitions expanded GTT's enterprise connectivity, low-latency financial networking, subsea cable, fiber, cloud-networking, and managed-services capabilities. Major transactions included Hibernia Networks, Global Capacity, Interoute, and KPN International. Through these deals, GTT assembled a large international operating footprint with more than 450 points of presence across six continents and services available in more than 170 countries. The company's expansion also created substantial financial and operational complexity. In 2020, GTT agreed to sell its infrastructure division to I Squared Capital. The transaction covered the major European, North American, and subsea fiber assets and infrastructure businesses GTT had accumulated through earlier acquisitions. The sale closed in 2021 for approximately $1.74 billion in cash consideration, with additional amounts potentially payable. During the same period, GTT faced reporting delays, NYSE delisting, and a prepackaged Chapter 11 restructuring. The bankruptcy court approved the restructuring plan in December 2021, and GTT completed the process and emerged from Chapter 11 in December 2022. After the infrastructure divestiture and restructuring, GTT continued as a more focused enterprise communications provider. In 2024, it launched GTT Envision, a technology platform designed to connect, orchestrate, virtualize, and automate enterprise networks through a unified architecture. The platform combines EnvisionCORE and EnvisionEDGE capabilities and is managed through the EnvisionDX digital interface. GTT subsequently announced the virtualization of its Managed Dedicated Internet Access service using the platform. The company's current positioning emphasizes managed, programmable, and geographically extensive networking rather than ownership of a large infrastructure portfolio.

History

GTT Communications traces its origins to two telecom businesses established in 1998: Global Internetworking Inc. in McLean, Virginia, and European Telecom and Technology in London. A special-purpose acquisition company, Mercator Partners, acquired Global Internetworking in 2005 and European Telecommunications & Technology in 2006. The businesses were combined and renamed Global Telecom & Technology, Inc. The company began a major shift toward network operations in 2009, when it acquired Denver-based WBS Connect in a stock-and-cash transaction. This move expanded its role beyond telecom integration and toward IP transit and Ethernet services. GTT then acquired the United Kingdom-based PacketExchange in June 2011 for $20 million in cash and nLayer Communications in May 2012 for $18 million. Both transactions strengthened the company's international IP backbone capabilities. In April 2013, GTT acquired Tinet, formerly Tiscali International Network, from Inteliquent for $54.5 million. The transaction gave GTT a Tier 1 IP network position. GTT became publicly listed on the New York Stock Exchange in June 2013. On January 14, 2014, the company formally adopted the name GTT Communications, Inc. Its international presence continued to expand, including the opening of a Hong Kong office in February 2014. Later that year, GTT completed the acquisition of UNSi, a communications provider serving enterprise and carrier customers. In 2015, it agreed to acquire MegaPath's managed-services business and completed the acquisition of One Source Networks, which provided data, Internet, SIP trunking, and managed services. Telnes Broadband was acquired in 2016 for $18 million. In the same year, GTT received a General Services Administration IT Schedule 70 contract, giving it access to a major United States federal procurement vehicle. GTT's acquisition program accelerated in 2017. It completed the $590 million acquisition of Hibernia Networks, obtaining subsea cable assets including Hibernia Express, later associated with the GTT Express name. It also acquired Giglinx, an IP broker and aggregator, for $21 million; Perseus Telecom, a low-latency provider serving financial-market customers, for $37.5 million; and Global Capacity for $100 million in cash plus 1.85 million GTT shares. The Global Capacity transaction closed in September 2017. In 2018, GTT acquired Custom Connect, an Amsterdam-based provider of high-speed connectivity for multinational enterprises and financial-services firms. It also announced and completed the acquisition of Interoute for approximately €1.9 billion in cash. Interoute brought one of Europe's largest independent fiber networks and a cloud-networking platform into the GTT group. GTT further expanded its Canadian operations through the acquisition of Accelerated Connections and strengthened its United States communications footprint by acquiring Access Point. On December 2, 2019, GTT completed the acquisition of KPN International, a KPN division operating a global IP network for enterprise and carrier customers. The scale of the acquisition program contributed to a complex capital structure. In October 2020, GTT announced an agreement to sell its infrastructure division to I Squared Capital. The division included pan-European and North American fiber networks, subsea infrastructure, data-center assets, and related infrastructure services acquired through the Hibernia, Interoute, and KPN International transactions. The sale was completed on September 17, 2021, for approximately $1.74 billion in cash consideration, with additional amounts potentially payable on the achievement of specified milestones. GTT's financial difficulties became public during the divestiture period. On August 2, 2021, the NYSE delisted the company's shares after it failed to file quarterly and annual reports. On September 2, 2021, GTT announced that it and certain United States subsidiaries intended to seek Chapter 11 protection through a prepackaged insolvency arrangement. The company stated that it expected to continue operating while supported by its lenders. The bankruptcy court approved the plan on December 16, 2021, and GTT completed its financial restructuring and emerged from Chapter 11 on December 30, 2022. After restructuring, GTT continued as a focused enterprise networking provider. In September 2024, it launched GTT Envision, a platform designed to connect, orchestrate, virtualize, and automate enterprise networks. Envision combines EnvisionCORE and EnvisionEDGE capabilities and uses EnvisionDX as a single digital control interface. In November 2024, GTT announced virtualization of its Managed Dedicated Internet Access service through the platform. The company's operating model now emphasizes managed networking, software-defined services, Internet connectivity, and security across more than 450 points of presence spanning six continents.
