Overview
IMMSI S.p.A. is an Italian holding company headquartered in Milan and listed on the Borsa Italiana (ticker IMS). It was created in February 2000 following the split-up of the real estate branch of Sirti S.p.A., then part of the Telecom Italia Group. Initially focused on property management and rental, the company changed its mission after November 2002, when Telecom Italia sold its 45% stake to Omniapartecipazioni S.p.A., a vehicle controlled by Roberto Colaninno through Omniainvest S.p.A. and Omniaholding S.p.A. A public tender offer completed in January 2003 raised Omniapartecipazioni's stake to 50.35%, and a new strategy was implemented, including the disposal of real estate assets and the acquisition of industrial participations. Today IMMSI is the holding company of a group of over 40 companies operating in three main sectors: real estate, industrial, and naval. Its most significant industrial asset is the Piaggio Group, the largest European manufacturer of scooters and motorcycles, which has been controlled by IMMSI since 2003. Piaggio's brands include Vespa, Piaggio, Aprilia, Moto Guzzi, Gilera, and Derbi, and it also operates in light commercial vehicles (Ape, Porter) and robotics through Piaggio Fast Forward. In the naval sector, IMMSI controls Rodriquez Cantieri Navali. The group also maintains real estate activities. The group is controlled by the Colaninno family through Omniapartecipazioni S.p.A. (holding approximately 39.59% of IMMSI) and Omniainvest S.p.A. (4.04%). Roberto Colaninno served as chairman until his death in 2023; his sons Matteo Colaninno (Chairman) and Michele Colaninno (CEO and General Manager) now lead the company. The Board of Directors, appointed in April 2024, has 12 members and will serve until the shareholders' meeting approving the financial statements for the year ending December 31, 2026. IMMSI continues to pursue a strategy of enhancing its investments in businesses with significant growth prospects.
History
IMMSI S.p.A. was created in February 2000 following the split-up of the real estate branch of Sirti S.p.A., then part of the Telecom Italia Group. On February 11, 2000, its ordinary shares were listed on the Italian Stock Exchange (Borsa Italiana). At that time, IMMSI's activities were mainly related to the rental of real estate properties and buildings, both acquired on the market and belonging to the Telecom Italia Group. In November 2002, Telecom Italia sold its 45% stake in IMMSI to Omniapartecipazioni S.p.A., a company controlled by Roberto Colaninno through the holdings Omniainvest S.p.A. and Omniaholding S.p.A. Following this disposal, Omniapartecipazioni launched a public tender offer (PTO) on the residual outstanding ordinary shares, which ended on January 13, 2003, raising its stake to 50.35%. This marked a change in mission for IMMSI. During 2003, the company developed its business activities in line with a new operating strategy outlined by the new majority shareholders. Significant changes were made to the corporate mission, enabling the development of the traditional property management business through dynamic new investments with potentially high returns, while also pursuing the disposal of real estate assets. In 2003, IMMSI acquired control of the Piaggio Group, the largest European manufacturer of scooters and motorcycles, founded in 1884. Piaggio has been listed on the Italian Stock Exchange since 2006 and is controlled by IMMSI. Under IMMSI's control, the Piaggio Group expanded its brand portfolio, including the acquisition of the motorcycle brands Aprilia, Moto Guzzi, Gilera, and Derbi in 2004. Piaggio also operates in light commercial vehicles with Ape and Porter, and in robotics through Piaggio Fast Forward, based in Boston. In the naval sector, IMMSI controls Rodriquez Cantieri Navali. The group also maintains real estate activities. Roberto Colaninno served as chairman of IMMSI until his death in 2023. His sons Matteo Colaninno and Michele Colaninno now lead the company as Chairman and CEO/General Manager, respectively. The current Board of Directors was appointed by the Ordinary Shareholders' Meeting on April 29, 2024, and will remain in office until the shareholders' meeting approving the financial statements for the year ending December 31, 2026. The group is controlled by the Colaninno family through Omniapartecipazioni S.p.A. (approximately 39.59%) and Omniainvest S.p.A. (4.04%). IMMSI continues to operate as a diversified holding company with over 40 companies in its group.
