Overview

Implenia is a Swiss construction and real estate services group whose activities span property development, building construction, civil engineering, infrastructure and real estate management. The company operates from Switzerland and Germany in a broad range of construction and development activities, while maintaining specialist infrastructure capabilities in several other European markets, particularly tunnel construction and related underground works. The modern group was created in 2006 through the merger of Batigroup Holding AG, based in Basel, and Zschokke Holding SA, based in Geneva. The combination brought together complementary capabilities. Batigroup had developed from Swiss road, asphalt, civil engineering, tunnel and building contractors, while Zschokke traced its heritage to the nineteenth-century construction enterprise founded by Conrad Zschokke and had expanded into building construction, general planning, general contracting and real estate management. Implenia was therefore established not as a new entrant, but as a consolidated platform for several established Swiss construction traditions. Implenia became publicly traded in March 2006 after the shares of the predecessor companies were replaced by shares in the new group. During the following decade, it pursued international expansion through acquisitions and the development of operations outside Switzerland. These moves included the purchase of Norwegian infrastructure specialist Betonmast Anlegg in 2010, the integration of Bilfinger Construction in 2015 and the acquisition of Bilfinger Hochbau in 2016. The resulting group had activities in Germany, Austria, Sweden, Norway and other European markets, in addition to its Swiss base. In 2020, Implenia announced an accelerated restructuring and a strategic retreat from parts of its earlier internationalization program. The group cited weak profitability and the effects of past project and market expansion. It planned to leave or reduce exposure to unprofitable activities, including parts of its operations in Sweden, Norway and Romania, while concentrating more strongly on Switzerland and Germany. Its continuing international specialization was centered especially on tunneling and underground infrastructure. The restructuring included a planned reduction of approximately 750 employees and 2,000 full-time positions by 2023, and the transformation was reported as completed ahead of schedule. The group’s current business model combines construction delivery with development, planning, technical specialties and property services. Its Buildings division covers building construction and related specialist services, including timber construction, façade technology and construction logistics. Civil Engineering includes transport infrastructure, major civil works, underground construction and tunneling. Service Solutions includes supporting and property-related activities. Implenia also owns Wincasa, a major Swiss real estate services provider acquired in 2023, strengthening its presence in property management and related services. The company has participated in major Swiss and European infrastructure and building projects, including the Nant de Drance pumped-storage power plant and the Letzigrund Stadium in Zurich. Its work has received industry and corporate awards, including recognition for tunneling, project development, reporting and digital innovation. At the same time, Implenia has faced public scrutiny over construction defects alleged at Letzigrund Stadium, supplier-payment practices and reported governance and workplace problems connected with its SISAG quarry operation in Côte d’Ivoire. These matters form part of the company’s public record but do not alter its status as an active construction group.

History

Implenia’s history is rooted in the consolidation of Swiss construction companies. One important predecessor was Batigroup Holding, created in 1997 through the combination of Preiswerk Holding, Stuag Holding and Schmalz Holding. Batigroup brought together traditional construction capabilities such as road building, asphalt, civil engineering, tunneling and building construction. The other principal predecessor was Zschokke Holding. Its heritage reached back to Castor, Hersent et Zschokke, founded in Aarau in 1872 by Conrad Zschokke. The enterprise became a public limited company in 1909 and later expanded through acquisitions and mergers. Heinr. Hatt-Haller joined the group in 1982, while Locher & Cie became part of it in 1997. Zschokke developed a broader service offering that included building construction, general planning, general contracting and real estate management. Because their business areas were substantially complementary, Batigroup and Zschokke began merger discussions in 2005. The proposed combination was announced publicly in November of that year and approved by both companies’ shareholders at simultaneous meetings on 2 March 2006. The placeholder company ZB Didumos AG was renamed Implenia AG during the merger process, and Zurich became the headquarters of the new group. The predecessor companies’ shares were delisted from the SIX Swiss Exchange after trading ended on 3 March 2006. Implenia shares began trading on 6 March 2006 following the exchange of the predecessor shares, with the merger exchange ratio valuing the Zschokke contribution at 65 parts and the Batigroup contribution at 35 parts. Implenia subsequently pursued growth beyond Switzerland. In 2010 it acquired Betonmast Anlegg in Norway, adding infrastructure expertise. In 2015 it acquired Bilfinger Construction, whose operations covered Germany, Austria and Sweden, and in 2016 it acquired Bilfinger Hochbau. These transactions broadened the group’s European building and infrastructure platform, although the expansion also exposed Implenia to profitability and execution challenges in several markets. In October 2020 the company announced an accelerated restructuring. Implenia described the program as a strategic break from its previous internationalization policy. It reduced or exited unprofitable activities in selected markets, including Sweden, Norway and Romania, while concentrating its core construction and real estate activities in Switzerland and Germany. Outside those core markets, the group retained a particular emphasis on tunneling and underground infrastructure in countries including Austria, France, Sweden, Norway and Italy. The program involved substantial workforce reductions and was later described as completed ahead of schedule. Implenia continued to broaden its Swiss service platform. In May 2021 it completed the purchase of BAM Swiss AG, a healthcare construction services provider involved in projects such as the Aarau Cantonal Hospital, the BSSE research building in Basel, the Felix Platter Hospital and an ETH student residence in Zurich. In May 2023 it acquired Wincasa, a leading Swiss real estate services provider, reinforcing the group’s property-management capabilities. Today, Implenia is organized around Buildings, Civil Engineering and Service Solutions. Its activities include large building projects, transport and civil infrastructure, tunneling, timber construction, façade technology, construction logistics, development and property services. The group remains headquartered in Opfikon and operates as an active Swiss-listed construction and real estate services company.
