Overview
JAFCO is a Japanese venture-capital and investment-management group headquartered in Tokyo. Its operating model is based on raising capital from institutional and other investors, managing investment funds, and investing those funds in startups, unlisted companies and growth-stage businesses. The group seeks to increase the enterprise value of portfolio companies and realize returns through exits such as initial public offerings and mergers or acquisitions. The company was established in April 1973 in Chuo, Tokyo, as Japan Associated Finance Co., Ltd., with capital of ¥500 million. It was created with the participation of several major Japanese financial institutions, including Nomura Securities, Nippon Life Insurance and Sanwa Bank. Nomura was initially the largest shareholder. The business emerged during the formative period of Japan's organized venture-capital industry and is commonly described as the country's oldest and largest venture-capital company. JAFCO expanded its fund-management capabilities over the following decades. In April 1982 it established what is described as Japan's first venture-capital partnership fund. In April 1984 it created JAFCO America Ventures in San Francisco, beginning a more systematic international presence. The group later added buyout investing to its activities, establishing a buyout investment unit in 1998. It also developed operations in Asia through a Singapore joint venture formed with Nomura in 1990 and subsequently brought that operation under full JAFCO control. The company changed its name to JAFCO Co., Ltd. in August 1997 and completed an initial public offering in January 2001, listing its shares on the First Section of the Tokyo Stock Exchange. Its international venture activities later evolved through separate entities. JAFCO America Ventures was spun off in 2003 through a management buyout and became Globespan Capital Partners, while a separate US venture business, Jafco Ventures, was established in the same year. Jafco Ventures was rebranded as Icon Ventures in 2015. In July 2017, Nomura sold its entire stake in JAFCO. The parent company adopted the name JAFCO Group Co., Ltd. in October 2020. JAFCO's investment activities have included venture capital, buyout investments, management support, consultation and loans to investee companies. Its portfolio has included businesses in areas such as technology, healthcare, internet services and industrial innovation. Examples cited in reference material include Shintom, Nippon Cable, Cyberdyne and UUUM in Japan, as well as technology companies backed through its international operations. JAFCO Asia has invested in or supported companies including Tudou, Teabox, Bubbly, ChinaCache, Mistral Solutions, CustomerXPs and HiSoft. Icon Ventures has backed technology businesses including Bill.com, Teladoc, FireEye, Palo Alto Networks and Proofpoint. As of March 31, 2020, the largest portion of JAFCO's investment exposure consisted of Japanese venture-capital investments, followed by Japanese buyout investments, US venture-capital investments and venture investments elsewhere in Asia. In addition to its Tokyo headquarters, the group has had regional operations in Japan and international affiliates or offices serving markets in the United States and Asia. JAFCO therefore combines a Japanese institutional-investment heritage with a cross-border venture-capital platform.
History
JAFCO was founded in April 1973 in Chuo, Tokyo, under the name Japan Associated Finance Co., Ltd. Its initial capital was ¥500 million, and its formation involved multiple Japanese financial institutions, including Nomura Securities, Nippon Life Insurance and Sanwa Bank. Nomura was the largest shareholder at the outset. The company was established during the early development of Japan's modern venture-capital sector and later became identified with the country's institutional venture-investment industry. In April 1982, JAFCO established Japan's first venture-capital partnership fund, strengthening its role as a fund manager rather than only a direct investor. It expanded internationally in April 1984 with the creation of JAFCO America Ventures in San Francisco. In February 1996, the company moved its head office to Chiyoda, Tokyo. In August 1997, it adopted the shorter name JAFCO Co., Ltd., and in May 1998 it created a dedicated buyout investment unit, broadening its activities beyond conventional venture capital. JAFCO entered the public markets in January 2001 through an initial public offering on the First Section of the Tokyo Stock Exchange. In 2003, JAFCO America Ventures was separated through a management buyout and became Globespan Capital Partners. That same year, JAFCO established a second US venture subsidiary, Jafco Ventures. The latter was renamed Icon Ventures in 2015 as part of an effort to develop a stronger standalone US brand. The group also built an Asian platform. In 1990, JAFCO and Nomura created Nomura/JAFCO Investment (Asia) Ltd. in Singapore. JAFCO acquired full control in 1999, after which the business was renamed JAFCO Investment (Asia Pacific). It operated from Singapore and maintained additional offices in Beijing, Shanghai and Taipei. Its South Korean operation later separated through a 2019 management buyout and became BridgePole Investment Co., Ltd. A significant ownership change occurred in July 2017, when Nomura sold all of its shares in JAFCO. In October 2020, the listed parent adopted the name JAFCO Group Co., Ltd. The group's business has remained centered on raising investor capital, managing funds, investing in private companies and helping portfolio companies pursue value creation and exits. JAFCO's investment activities have covered Japanese venture companies, Japanese buyouts, US technology companies and businesses elsewhere in Asia. Its support for portfolio companies can include management assistance, consultation and loans in addition to equity financing. The stated economic objective is to generate capital gains when portfolio companies reach liquidity events such as public listings or M&A transactions. Reference material also describes allegations reported in 2024 concerning sexual assault and workplace harassment involving multiple JAFCO employees and a female contract worker. The allegations include harassment beginning after her recruitment, an assault following a company-related gathering, pressure connected with her employment and later termination. JAFCO reportedly disputed a connection between the termination and the worker's complaints. The case led representatives of the claimant to approach companies that co-invest with JAFCO, and several of those companies reportedly called for stronger human-rights protections and anti-harassment measures. The allegations and related legal dispute remain a reputational and governance issue associated with the company.
