Overview

Monrif S.p.A. is an Italian holding company and the financial vehicle of the Monti Riffeser family. Its name is a contraction of Monti-Riffeser. The company operates through a portfolio of subsidiaries in publishing, printing, advertising, new media, hospitality and real estate. It is listed on the Borsa Italiana and has been part of the FTSE Italia Small Cap index. Monrif was originally listed in 1986 under the name Editoriale - Società Generale Finanziaria Editoriale and adopted its current name in 1996. The group's publishing activities are carried out through Editoriale Nazionale S.r.l., which publishes the national daily newspapers Il Resto del Carlino, La Nazione and Il Giorno, collectively known as QN (Quotidiano Nazionale). Advertising is handled by Società Pubblicità Editoriale e Digitale S.r.l. (SpeeD). Printing operations are managed by Poligrafici Printing S.p.A., which controls Centro Stampa Poligrafici S.r.l. and operates production plants in Bologna and Capalle (Florence). The hospitality division operates through EGA Emiliana Grandi Alberghi S.r.l., which runs Monrif Hotels in Bologna, catering to both business and leisure travellers. New media activities are conducted through Robin S.r.l., which wholly owns GoSpeed S.r.l., a media agency providing digital consulting and services. Real estate interests are held through Editoriale Immobiliare S.r.l. and Compagnia Agricola Finanziaria Immobiliare S.r.l. Monrif has undergone significant corporate restructuring. In 2019, the board approved the merger by incorporation of Poligrafici Editoriale into Monrif, effective in June 2020. In December 2025, Leonardo Maria Del Vecchio, son of the founder of Luxottica, began negotiations to acquire Editoriale Nazionale, and the deal closed in May 2026 with Del Vecchio acquiring 80% of the publishing arm. Monrif remains a family-controlled holding company with a diversified portfolio.

History

The roots of the Monrif Group date back to 1941, when Attilio Monti began his entrepreneurial activity in the petrochemical sector, founding companies such as SAMA, Sarom and Raffineria Mediterranea. In 1966, his industrial group acquired control of Società Industrie Agricole Ligure Lombarda, owner of Eridania, the largest national sugar industry. Eridania in turn owned Società anonima Poligrafici «il Resto del Carlino», publisher of the newspapers Il Resto del Carlino and La Nazione. The Monti group thus entered the publishing market. In 1977, Poligrafici «il Resto del Carlino» was absorbed by Editoriale - Società Generale Finanziaria Editoriale, Monti's own financial company. Following the incorporation, the former changed its name to Poligrafici Editoriale. In 1979, Attilio Monti, burdened by debt, had to sell Eridania to the Ferruzzi group. The family holding, Editoriale - Società Generale Finanziaria Editoriale, kept Poligrafici Editoriale with its newspapers in its portfolio. In subsequent years, Monti progressively transferred control of activities to his daughter Maria Luisa Monti, married Riffeser. In May 1986, Editoriale - Società Generale Finanziaria Editoriale carried out a capital increase from 15 to 120 billion lire. The Monti family held 54.6% of the capital. Egidio Ortona was chairman, and Andrea Riffeser, son of Maria Luisa Monti Riffeser, was vice-chairman. In July, Editoriale was listed on the Italian Stock Exchange; in December, Poligrafici Editoriale followed. Between 1987 and 1988, Andrea Riffeser became chairman of Editoriale. In 1988, Editoriale's share capital was increased from 120 to 150 billion lire; concurrently, Poligrafici Editoriale's capital increased from 40 to 60 billion. Editoriale owned 67.6% of Poligrafici; the Monti Riffeser family owned 58% of Editoriale, the family holding. In 1989, the Monti group entered the advertising market by acquiring, through Poligrafici Editoriale, control of SPE (Società Pubblicità Editoriale, now SpeeD). In 1996, Editoriale adopted the name Monrif. In 1999, Monrif Net was created for digital activities, later renamed Robin. In 2007, Poligrafici Printing, the company that groups all printing and graphics activities, was listed. Since March 2010, 9.7% of Poligrafici Printing has been listed on the FTSE AIM Italia, with Monrif holding 90.3%. The company operates in the European markets of industrial printing and graphics, through a dedicated sales network and production capacity based on roto-offset presses (with and without oven), operating up to 24 hours a day and located in the printing centres of Bologna, Florence and Milan. The Group is present in advertising through SpeeD, in the internet and multimedia sector through Robin S.r.l., in industrial printing with Poligrafici Printing S.p.A. and Centro Stampa Poligrafici S.r.l., and in the hotel sector through Monrif Hotels of EGA Emiliana Grandi Alberghi S.r.l. Poligrafici Printing operates through Grafica Editoriale Printing S.r.l. (which handles printing for the Group after selling its third-party printing business in December 2017), CSP Centro Stampa Poligrafici and GCP Grafica Commerciale Printing S.r.l. On 17 October 2019, the merger by incorporation of Poligrafici Editoriale into the parent company Monrif was approved, with an exchange ratio of 1.27 Monrif shares for each Poligrafici share, effective on 22 June 2020, with the simultaneous delisting of the incorporated company. With the merger, the publishing business unit was transferred to Superprint Editoriale S.r.l., which changed its name to Editoriale Nazionale S.r.l., and certain properties of Monrif were transferred, along with some financial debts, to the subsidiary Poligrafici Real Estate S.r.l., which changed its name to Editoriale Immobiliare S.r.l. In December 2025, Leonardo Maria Del Vecchio, son of the founder of Luxottica, began negotiations to acquire Editoriale Nazionale. On 17 May 2026, the deal closed: Del Vecchio acquired 80% of Editoriale Nazionale. Monrif continues to be a family-controlled holding company listed on the Borsa Italiana.
