Overview

Nielsen is a global measurement and data company whose principal business is measuring what audiences watch and translating that information into insights for media owners, advertisers, agencies, and technology companies. The company is best known for television ratings, but its activities have historically covered radio, digital video, mobile media, advertising effectiveness, consumer research, marketing analytics, sports measurement, and media metadata. The business originated in 1923, when Arthur C. Nielsen Sr. established the AC Nielsen Company. Nielsen initially developed engineering and performance surveys, then expanded into retail measurement. Its retail index, introduced in the 1930s, enabled manufacturers to compare their sales with total category sales and helped make “market share” a practical management concept. During the 1930s and 1940s the company moved into audience measurement, first for radio and later for television. The resulting Nielsen ratings became a central currency for buying and selling advertising and for evaluating the reach of broadcast programming. Nielsen’s traditional portfolio was divided for much of its history between Nielsen Media Research, focused on media audiences, and AC Nielsen, focused on consumer purchasing, retail trends, and related commercial data. The two businesses were separated by Dun & Bradstreet in 1996 and later recombined under VNU, which acquired Nielsen Media Research in 1999 and AC Nielsen in 2001. VNU was acquired by a private-equity consortium in 2006, and the renamed Nielsen Company returned to the public markets in 2011. The company expanded its measurement capabilities through acquisitions and partnerships. These included radio measurement through Arbitron, social television analytics through SocialGuide, advertising and viewer-engagement research through IAG Research, digital and programmatic advertising data through exelate, sports intelligence through Repucom, and media metadata through Gracenote. Nielsen also invested in consumer neuroscience, mobile measurement, marketing decision systems, and innovation research. In 2021 Nielsen sold its Global Connect business, the former AC Nielsen consumer and retail operation, to Advent International. The divested business became NielsenIQ, leaving Nielsen focused primarily on media audience measurement and analytics. In 2022 a consortium led by Evergreen Coast Capital and Brookfield Business Partners completed a transaction to take Nielsen private. The company continues to operate internationally, measuring television, streaming, digital, audio, and other forms of media consumption, while developing cross-platform systems intended to provide comparable audience and advertising metrics across devices and services.

History

Arthur C. Nielsen Sr. founded the AC Nielsen Company in 1923. The original business developed engineering and performance surveys, but the company soon moved toward measuring commercial activity at scale. In 1932 Nielsen introduced a retail index that tracked food and drug purchases. By comparing a manufacturer’s sales with the estimated total market, the index made market share a measurable management tool. Nielsen entered audience measurement after acquiring the Audimeter in 1936. The device recorded which radio stations a receiver was tuned to, and the company used the resulting information to establish a national radio rating service in 1942. Audience data was sold to broadcasters, advertisers, and manufacturers seeking information about program popularity and listener demographics. Television measurement began in 1950. Nielsen used sampled households, measurement devices, and viewer diaries to estimate program audiences and demographic composition. In the 1980s the company introduced the people meter, which asked household members to identify themselves when watching. This was designed to distinguish television sets that were switched on from actual individual viewing. The company’s ownership and structure changed repeatedly. Dun & Bradstreet acquired Nielsen in 1984 and divided it in 1996 into Nielsen Media Research and AC Nielsen. VNU acquired Nielsen Media Research in 1999 and recombined it with AC Nielsen in 2001. In 2006 VNU was acquired by a consortium of private-equity firms. The business was renamed The Nielsen Company, and it expanded through acquisitions in mobile, digital advertising, social media, neuroscience, sports, and media metadata. Nielsen became publicly traded again in 2011 through a New York Stock Exchange initial public offering. It acquired Arbitron in 2013, strengthening its position in radio measurement, and continued adding digital, advertising, consumer, and sports capabilities. The legal parent moved from the Netherlands to England and Wales through a 2015 cross-border merger, without changing the underlying operating business. As media consumption fragmented across television, computers, mobile devices, and streaming services, Nielsen introduced cross-screen reporting and digital content measurement. It also retired paper diaries in local television measurement in favor of electronic methods. The company later simplified its portfolio by selling Global Connect to Advent International in 2021. That transaction separated the former consumer and retail measurement business, which became NielsenIQ, from Nielsen’s media-focused operations. A consortium led by Evergreen Coast Capital and Brookfield Business Partners completed a $16 billion take-private transaction in 2022. Nielsen remains an international media measurement and analytics company.
