Overview

Nutanix is an American enterprise technology company that develops software for data centers, private clouds, hybrid clouds, and multicloud deployments. The company was founded in 2009 by Dheeraj Pandey, Mohit Aron, and Ajeet Singh, initially pursuing a hyper-converged infrastructure model that combined storage, computing, virtualization, and networking capabilities in a more unified system than traditional data-center architectures. Its early products were commonly delivered through integrated appliances, helping organizations consolidate infrastructure and manage it through a software-defined operating layer. The company grew rapidly through venture financing and reached a reported valuation of approximately $1 billion in 2013. It raised a further $140 million in 2014 at an approximate valuation of $2 billion, with investors including Lightspeed Venture Partners, Khosla Ventures, and Blumberg Capital. Nutanix filed for an initial public offering in 2015 and completed its Nasdaq listing on September 30, 2016. The offering raised approximately $230 million through the sale of 14.87 million shares at $16 per share. Nutanix’s technology portfolio expanded beyond core hyper-converged infrastructure. Its software families have included Acropolis, Prism, AHV, Files, Objects, Nutanix Database Service, and Frame. Acropolis provided the infrastructure-services foundation, while Prism supplied centralized management and operations capabilities. AHV, a Linux KVM-based hypervisor, gave customers an alternative to relying exclusively on third-party virtualization software. Other products addressed file and object storage, databases, application monitoring, desktop as a service, networking, and security. The company also broadened its strategy through acquisitions and partnerships. It acquired PernixData in 2016, followed by Minjar, Netsil, and Frame in 2018. Partnerships with IBM and HYCU extended Nutanix’s reach into enterprise applications on IBM Power Systems and data protection for hyper-converged environments. The company’s stated strategic direction increasingly centered on providing a consistent operating model across on-premises infrastructure and public-cloud environments such as Amazon Web Services and Microsoft Azure. Beginning around 2020, Nutanix shifted toward a subscription-oriented software business and, by 2021, emphasized software over the sale of its own hardware appliances. This transition positioned the company as a provider of cloud infrastructure software rather than solely as an appliance vendor. Its Nutanix Cloud Platform is intended to give organizations a common management and operating experience for applications deployed in private data centers, managed-service environments, and public clouds. Leadership changed materially in December 2020, when Rajiv Ramaswami succeeded co-founder Dheeraj Pandey as chief executive officer. Ramaswami joined from VMware, where he had been chief operating officer. The transition occurred during a period of broader industry movement toward hybrid cloud, subscription pricing, and software-defined infrastructure. Nutanix has continued to compete in enterprise infrastructure and cloud-management markets while expanding capabilities around virtualization, Kubernetes, databases, storage, networking, and security. Its principal positioning is simplification: abstracting complex infrastructure components behind an integrated software platform that can be operated across different deployment locations.

History

Nutanix was established on September 23, 2009, by Dheeraj Pandey, Mohit Aron, and Ajeet Singh. The founders pursued a simpler approach to data-center infrastructure by bringing together computing, storage, virtualization, and related management functions in an integrated platform. This approach became associated with hyper-converged infrastructure, a category in which Nutanix became one of the most visible vendors. The company attracted substantial venture investment, reportedly raising $312.2 million across five financing rounds. By 2013 it had reached a valuation of approximately $1 billion, giving it the status commonly described as a technology unicorn. A Series E financing in 2014 raised $140 million and valued the company at roughly $2 billion. Early backers included Lightspeed Venture Partners, Khosla Ventures, and Blumberg Capital. Co-founder Mohit Aron left in early 2013 and later founded Cohesity. Nutanix filed for an initial public offering in December 2015. Its filing described a net loss of $126 million for the fiscal year that ended in July 2015. The company eventually completed its IPO on September 30, 2016, selling 14.87 million shares at $16 per share and raising approximately $230 million. The listing provided capital for continued product development and expansion while placing Nutanix under the reporting obligations of a public company. Product development broadened during the following years. Nutanix developed AHV, a Linux KVM-based hypervisor, as part of its Acropolis infrastructure stack. Prism provided a management and operations interface, while additional products addressed files, objects, databases, application monitoring, and virtual desktops. The company acquired PernixData in 2016, then Minjar, Netsil, and Frame in 2018. These transactions extended its reach into performance optimization, cloud management, monitoring, and desktop-as-a-service. Nutanix also pursued strategic partnerships. In 2017 it announced a relationship with IBM to create data-center appliances based on IBM Power Systems for business applications. In 2018 it partnered with HYCU on data-protection software for hyper-converged infrastructure. These efforts reflected a strategy of making the Nutanix operating model available across a wider range of enterprise applications and deployment environments. Board and executive changes accompanied the company’s expansion. Brian Stevens joined the board in 2019, followed by Sohaib Abbasi and Virginia Gambale in 2020. During the COVID-19 pandemic, Nutanix announced a furlough affecting about 1,500 employees. In December 2020, co-founder and chief executive Dheeraj Pandey was replaced by Rajiv Ramaswami, previously VMware’s chief operating officer. VMware filed a lawsuit related to alleged conflicts of interest surrounding the move, but later dropped the legal action. Around 2020 and 2021, Nutanix changed its commercial emphasis from hardware appliances toward subscription software. The transition aligned the company with broader enterprise-software trends and supported its effort to provide a consistent platform across private data centers, managed environments, and public clouds. Its broader Nutanix Cloud Platform strategy combines infrastructure services, virtualization, management, storage, databases, Kubernetes, networking, and security under a common cloud operating model. In 2022, MinIO accused Nutanix of violating the terms of MinIO’s free-software license in relation to Nutanix Objects. After the dispute failed to resolve through negotiations, MinIO stated that it had revoked Nutanix’s license. Nutanix initially denied wrongdoing but subsequently acknowledged that Nutanix Objects contained omissions in open-source attribution and notices required under the Apache 2.0 license, and apologized. The episode highlighted the compliance obligations associated with incorporating open-source software into enterprise products.
