Overview
O2 is a British telecommunications brand whose principal business is mobile connectivity. It is operated by Telefónica UK Limited and, since June 2021, has formed one half of Virgin Media O2, a 50:50 joint venture between Telefónica and Liberty Global. The brand serves consumer, business and public-sector customers in the United Kingdom through mobile voice, messaging and data services, smartphones and connected devices, mobile broadband, network services, retail stores and related digital products. The business began as Telecom Securicor Cellular Radio Limited, a 60:40 joint venture between British Telecom and Securicor. Its Cellnet network launched on 7 January 1985, making it one of the United Kingdom’s two original cellular operators alongside Vodafone. In 1999, BT acquired Securicor’s interest, and the consumer operation became BT Cellnet. The company was later separated from BT’s wireless businesses as mmO2 plc. In 2002, BT Cellnet and several related European operations adopted the O2 name, derived from the chemical notation for an oxygen molecule. The identity was designed to suggest that communications were as essential to everyday life as oxygen, with bubbles becoming a central visual device. O2’s development has tracked successive generations of mobile technology. BT Cellnet introduced a commercial GPRS service in 2000, and O2 later developed 3G, 4G LTE, voice-over-LTE and Wi-Fi calling services. The company also experimented with public Wi-Fi, near-field communication payments and mobile financial services. It acquired the broadband provider Be Un Limited in 2006, retained the Be brand for a period and launched O2-branded broadband, but sold its fixed-line and broadband customer base to BSkyB in 2013. Telefónica agreed to acquire O2 plc in 2005, with the transaction becoming unconditional in January 2006. Telefónica retained the O2 name and the company’s United Kingdom base. A proposed 2016 sale of O2 to Hutchison 3G UK was blocked by the European Commission on competition grounds. O2 subsequently remained within Telefónica until the combination with Virgin Media created Virgin Media O2 in 2021. The O2 name continues to be used for mobile services, retail, customer propositions, sponsorships and network communications, while Virgin Media O2 positions the combined company as a major competitor to BT and other UK communications providers.
History
O2’s corporate history begins with the formation of Telecom Securicor Cellular Radio Limited in 1983. British Telecom supplied a majority stake and technical expertise, while Securicor provided the remaining investment. The resulting Cellnet network launched commercially on 7 January 1985, shortly after Vodafone’s service. Cellnet used a British adaptation of the Total Access Communication System, based on technology related to the American AMPS standard. Early mobile calling was expensive and the service was initially aimed at business users and affluent consumers. BT acquired Securicor’s 40 percent interest in 1999. The business was subsequently renamed BT Cellnet and became part of BT Wireless, alongside BT’s mobile operations in several European countries. In June 2000, BT Cellnet introduced a commercial GPRS service, an important early step toward packet-based mobile data. BT later decided to separate its wireless assets from the main group. Shareholders approved the demerger in October 2001, and mmO2 plc was created as a separately listed holding company. On 18 June 2002, BT Cellnet adopted the O2 brand. The name referred to an oxygen molecule and was intended to communicate the idea that mobile communication had become an essential part of modern life. The launch used a distinctive blue visual identity, photographic bubbles and an extensive European advertising campaign. The O2 brand was also applied to several former BT wireless businesses in continental Europe and Ireland. In 2005, mmO2 plc changed its corporate name to O2 plc. Telefónica agreed to acquire O2 plc in November 2005 for a cash consideration reported at approximately £17.7 billion. The acquisition became unconditional in January 2006. Telefónica retained the O2 name and the UK headquarters, while reorganising several European telecommunications operations under the O2 corporate structure. In the United Kingdom, O2 expanded beyond mobile telephony into broadband, Wi-Fi, financial-services experiments and emerging mobile-payment technologies. It bought Be Un Limited in 2006 and later offered O2-branded broadband, but Telefónica sold the fixed-line and broadband operation to BSkyB in 2013. The company continued to invest in network evolution. It demonstrated LTE technology in 2009, acquired 800 MHz spectrum in 2013 and launched 4G services in London, Leeds and Bradford in August of that year. VoLTE and Wi-Fi calling were introduced for compatible iPhones in 2017, with support later extended to additional devices. O2 also operated public Wi-Fi initiatives and maintained a large retail presence. The business faced two significant attempted-sale episodes. BT considered acquiring O2 in 2014 and 2015, while Hutchison Whampoa entered negotiations to buy the UK operation in 2015. The proposed Hutchison transaction was ultimately blocked by the European Commission in May 2016 because regulators believed a combination of O2 and Three would harm competition. O2 remained under Telefónica until the May 2020 agreement to combine Telefónica UK with Liberty Global’s Virgin Media. The merger completed on 1 June 2021, creating Virgin Media O2. O2 remains the mobile-facing consumer brand within that joint venture.
