Overview

OSI Systems, Inc. is an American technology and manufacturing company headquartered in Hawthorne, California. Founded in 1987 by Deepak Chopra, the business initially operated under the name Opto Sensors, Inc. before adopting the OSI Systems name in 1997. It developed from an optoelectronics and sensor-focused enterprise into a diversified group supplying equipment and services to security, healthcare, and electronic systems customers. The company’s principal operating activities are organized around several business areas and subsidiaries. Rapiscan Systems supplies security and inspection technologies, including airport and cargo screening equipment, X-ray systems, and metal-detection products. Spacelabs Healthcare provides patient-monitoring and related clinical systems, including equipment used in hospital and critical-care environments, as well as anesthesia and diagnostic monitoring technologies. OSI Optoelectronics and related operations produce optoelectronic components and assemblies, while OSI Electronics provides electronic manufacturing and systems-integration services. OSI Systems expanded through a long series of acquisitions, minority investments, partnerships, and newly formed operating entities. Early transactions strengthened its sensor and optical capabilities, while the acquisition of Rapiscan-related security businesses gave the company a platform in aviation and security inspection. Healthcare expansion accelerated through acquisitions involving medical monitoring, diagnostic cardiology, anesthesia, and other clinical technologies. The company also developed international manufacturing and operating capabilities, including activities in Malaysia and India. The group’s business model combines proprietary equipment development, component manufacturing, systems integration, and service support. This vertical and multi-division structure allows OSI Systems to participate in complete equipment programs as well as in the supply of specialized components. Its customers and end users span airports, border-control and security organizations, hospitals, clinicians, defense-related users, and industrial or commercial electronics manufacturers. The company has remained publicly listed on the Nasdaq under the ticker symbol OSIS. Its portfolio is characterized by technically specialized products, regulatory and procurement requirements, and long sales cycles, particularly in aviation security and healthcare. The company has also continued to invest in production capacity and international operations, including a medical-device manufacturing facility near Rajiv Gandhi International Airport in Hyderabad, India. OSI Systems is therefore best understood as a diversified electronic systems group rather than as a single-product consumer brand.

History

OSI Systems was founded in 1987 as Opto Sensors, Inc., reflecting its original emphasis on optical sensors and related electronic technologies. The company acquired UDT Sensors in 1990, broadening its sensor capabilities. In 1993 it acquired Rapiscan Security Products Limited and Ferson Optics, creating an early foundation for the security-inspection and optical businesses that later became important parts of the group. In 1994, it formed ECIL-Rapiscan Security Products Limited with Electronics Corporation of India Limited and established Opto Sensors (Malaysia) Sdn. Bhd., combining partnership-based expansion with international manufacturing activity. The company continued to expand through acquisitions during the second half of the 1990s. It acquired Advanced Micro Electronics AS in 1997, Osteometer MediTech A/S in 1998, and the security-products business of Metorex International Oy in the same year. It also purchased a minority stake in Square One, Inc.; in 2000, it acquired substantially all of that company’s assets. These transactions added manufacturing, medical, and security-related capabilities. In 1997, the company changed its operating name from Opto Sensors, Inc. to OSI Systems, Inc., marking the transition toward a broader systems-oriented corporate identity. Healthcare became a more prominent business area through a sequence of transactions from the late 1990s into the 2000s. OSI Systems acquired Aristo Medical Products in 1999 and formed OSI Medical in the same year. It later formed RapiTec in 2000 and Dolphin Medical in 2001; OSI Medical was merged into Dolphin Medical in March 2002. Other transactions in 2002 included the acquisition of substantially all assets of Thermo Centro Vision, a minority interest in CXR Limited, and all outstanding capital stock of Ancore Corporation. CXR subsequently became a wholly owned subsidiary in December 2004. OSI Systems also developed businesses serving military, laser-training, engineering, and electronic systems markets. In 2003 it acquired the military laser-based training business of Schwartz Electro-Optics and later that year acquired substantially all remaining assets of the company. It also acquired substantially all assets of J&D Engineering (UK) Limited. These steps complemented the company’s existing sensor and electronic manufacturing activities. A major healthcare milestone came in 2004, when OSI Systems acquired Spacelabs Medical. The transaction established Spacelabs as a central healthcare platform within the group and expanded the company’s presence in patient monitoring and related clinical equipment. In 2005, OSI Systems acquired Blease Medical Holdings Limited, adding anesthesia-related healthcare capabilities. In 2006, it acquired Del Mar Reynolds, a British diagnostic-cardiology company, and added that business to its healthcare organization. The company maintained international expansion after the acquisition period. In 2011 it established a new office in Hitech City in Hyderabad, India. In 2016, OSI Systems offered approximately $269 million to acquire American Science and Engineering, a United States producer of X-ray equipment. The proposal reflected the strategic importance of inspection and imaging technologies to the company’s security business. In 2022, OSI Systems established a new approximately 50,000-square-foot factory near Rajiv Gandhi International Airport in Hyderabad, specializing in medical-device manufacturing. Today, OSI Systems operates as a diversified provider of security inspection systems, medical monitoring and anesthesia technologies, optoelectronic products, and electronics manufacturing services. Its principal branded platforms include Rapiscan Systems in security and inspection and Spacelabs Healthcare in medical technology. The company’s historical development has been defined by technical specialization, vertical integration, international expansion, and the use of acquisitions to assemble complementary operating businesses.
