Overview
Patni Computer Systems Limited was an Indian information-technology services and business-solutions company founded by Narendra Patni. It developed from an India-based technology enterprise into an international provider of application services, infrastructure management, engineering, consulting, and industry-specific technology solutions. Its work supported clients in sectors including financial services, telecommunications, life sciences, manufacturing, and other large-enterprise markets. The company operated through a multinational delivery model. At its height, Patni employed more than 18,000 people, maintained 23 international offices across the Americas, Europe, and the Asia-Pacific region, and operated offshore development centres in eight Indian cities. Its customer base included more than 360 Fortune 1000 companies. This combination of offshore delivery, international account management, and specialized vertical expertise was central to its competitive positioning in the global IT-services market. Patni expanded both organically and through acquisitions. In 2003 it acquired The Reference Inc., a Massachusetts company with financial-services expertise. In 2004 it acquired Cymbal Corporation, strengthening its telecommunications capabilities, and entered an original-equipment-manufacturer agreement with InteQ Corporation to broaden its infrastructure-management-services offering. Further acquisitions followed in semiconductor and embedded design, telecommunications consulting, and life-sciences consulting: ZAiQ Technologies in 2006, Logan-Orviss International in 2007, and Taratec Development Corp. in 2007. These transactions broadened Patni beyond general application development into specialized engineering, telecom, infrastructure, regulatory, and industry consulting work. In 2009, after a two-year international search, Patni appointed Jeya Kumar as chief executive officer. Kumar travelled extensively to meet customers and led a period described by the company as “Patni 2.0,” a strategic effort to define the company’s next phase and sharpen its future direction. The initiative took place as Indian IT-services companies faced increasing pressure to expand higher-value services, deepen client relationships, and compete globally on both scale and specialization. Patni’s independent corporate history ended with its combination with iGATE Corporation. On 10 January 2011, iGATE announced a definitive agreement to acquire shares held by Patni’s major shareholders, representing 63 percent of Patni’s outstanding shares. The transaction brought the two businesses together under iGATE ownership. Patni subsequently operated under the name IGATE Patni until 2012, after which the separate Patni identity was no longer used as the principal operating brand. The company is therefore best understood as a defunct corporate brand whose capabilities, employees, customer relationships, and operations were absorbed into the enlarged iGATE organization.
History
Patni Computer Systems was established in India by Narendra Patni as a technology-services business. Over time, it adopted the delivery model associated with Indian IT-services companies: a combination of domestic development capacity, offshore centres, and client-facing offices in major international markets. Its services addressed application development, business systems, infrastructure, consulting, engineering, and sector-specific technology requirements. The company’s expansion was supported by a sequence of acquisitions. In April 2003, Patni acquired The Reference Inc., a Massachusetts-based company whose capabilities were concentrated in financial-services skills and domain expertise. The transaction strengthened Patni’s ability to serve financial institutions and other clients requiring specialized sector knowledge. In August 2004, Patni and InteQ Corporation announced an original-equipment-manufacturer agreement. The arrangement was intended to let Patni offer a broader range of infrastructure management services and participate more fully in the expanding infrastructure-management market. Later in 2004, Patni acquired Cymbal Corporation. Cymbal brought telecommunications expertise and helped Patni enter or deepen its position in IT services for telecom clients. In June 2006, Patni acquired ZAiQ Technologies in Woburn, Massachusetts. ZAiQ contributed application-specific integrated-circuit design and intellectual property, together with experience in field-programmable-gate-array and system-on-chip technologies. This broadened Patni’s engineering and product-development capabilities beyond enterprise software and conventional IT outsourcing. The acquisition program continued in 2007. Patni bought Logan-Orviss International, a Europe-based telecommunications consulting specialist, in July. The consideration included an upfront payment and performance-related payments tied to financial objectives over a three-year period. During the same month, Patni’s wholly owned US subsidiary acquired Taratec Development Corp. of New Jersey. Taratec was known for consulting and integrated information-technology and regulatory-compliance services for the life-sciences industry. Together, the 2007 transactions expanded Patni’s telecommunications consulting and life-sciences capabilities. By the late 2000s, Patni had become a substantial international provider. It reported a workforce of more than 18,000 people, 23 offices in the Americas, Europe, and the Asia-Pacific region, and offshore development centres in eight Indian cities. Its clients included more than 360 Fortune 1000 companies. The company’s operating model combined scale with vertical expertise, allowing it to address large-enterprise technology projects and specialized sector requirements. In 2009, Patni appointed Jeya Kumar chief executive officer following a two-year global search. Kumar spent considerable time visiting customers and used those discussions to shape the company’s next phase, referred to as Patni 2.0. The program represented an attempt to clarify the company’s future direction and strengthen its market position during a period of intense competition among international IT-services providers. Patni’s independent existence came to an end through its combination with iGATE Corporation. On 10 January 2011, iGATE announced a definitive agreement to acquire shares owned by Patni’s major shareholders. Those shares represented 63 percent of Patni’s total outstanding shares. Following the transaction, the business operated under the IGATE Patni name until 2012. The Patni corporate brand was subsequently absorbed into the broader iGATE organization, making Patni Computer Systems a defunct standalone brand rather than an active independent service provider.
