Overview
Qiagen is a biotechnology and life-science company founded in Germany in 1984 and headquartered corporately in Venlo, the Netherlands. It develops and sells technologies used to collect, purify, amplify, analyze and interpret biological molecules, particularly nucleic acids such as DNA and RNA. Its customers include clinical laboratories, hospitals, pharmaceutical and biotechnology companies, universities, government agencies, forensic laboratories and other testing organizations. The company’s business is organized around sample technologies, molecular diagnostics, applied testing and products for pharmaceutical and academic research. Its sample-preparation portfolio includes manual and automated systems for extracting DNA and RNA from blood, tissue, saliva, microbial cultures, environmental samples and other materials. These technologies are used as upstream steps in workflows such as polymerase chain reaction, sequencing, genotyping, mutation analysis and infectious-disease testing. Qiagen also supplies enzymes, assay components, consumables, instruments and software that support complete laboratory workflows rather than isolated reagents. Qiagen became known early for making nucleic-acid purification more standardized and accessible. Its first product, introduced in 1986, was a kit for purifying plasmid DNA from bacterial cells. The company subsequently expanded through internal development and acquisitions into molecular diagnostics, quantitative PCR, digital PCR, next-generation sequencing, bioinformatics and clinical interpretation. Important additions included Digene’s human papillomavirus testing business, DxS’s personalized-healthcare technologies, Cellestis’s QuantiFERON tuberculosis testing platform, Ingenuity Systems, CLC bio, STAT-Dx, NeuMoDx and other specialized businesses. Its diagnostics portfolio includes tests and platforms for infectious diseases, oncology, women’s health, gastrointestinal disease and other clinical applications. QIAGEN’s QuantiFERON products are used in tuberculosis infection testing, while QIAstat-Dx provides multiplex syndromic testing through an automated molecular-diagnostics platform. The company has also developed QIAcuity digital PCR systems, QIAamp and related sample-preparation products, GeneReader sequencing technologies, and Qiagen Clinical Insights software for interpreting complex genomic information. Qiagen serves customers through a multinational operating structure with offices and regional organizations in Europe, the United States, China and the Asia-Pacific region. Its corporate headquarters are in Venlo, the main operational headquarters are in Hilden, and regional headquarters include locations in the United States, Shanghai and Singapore. The company operates in more than 25 countries and sells into a substantially broader global customer base. In 2020, Qiagen became the subject of a proposed acquisition by Thermo Fisher Scientific. The offer was increased after shareholder criticism but failed to reach the required acceptance threshold and was terminated in August 2020. Qiagen remained independent and subsequently consolidated its ownership of NeuMoDx. In later years it continued to build capabilities in enzymes, automated molecular testing, digital PCR, clinical interpretation and forensic or genetic-identification applications. Today, the brand is positioned as an integrated molecular-workflow provider combining consumables, instruments, assays and data analysis for both research and clinical use.
History
Qiagen was established on November 29, 1984, by scientists associated with Heinrich Heine University Düsseldorf in Germany. The company initially concentrated on making molecular-biology procedures more practical and reproducible. In 1986 it introduced its first product, a kit for purifying plasmid DNA from bacterial cells. This type of sample-preparation technology became the foundation for a broader business supplying reagents and systems used before amplification, sequencing and other forms of molecular analysis. The company expanded internationally and entered public markets during the 1990s. In 1996, Qiagen became the first German company to complete an initial public offering on the technology-oriented Nasdaq exchange. It followed with a Frankfurt Stock Exchange listing in 1997. These listings supported the company’s development from a specialist laboratory supplier into a multinational provider of molecular workflows. During the 2000s, Qiagen broadened its portfolio through acquisitions and geographic expansion. It acquired assets of Molecular Staging in 2004 and established an Asia regional headquarters in Shanghai in 2006. The 2007 acquisition of Digene for approximately $1.6 billion significantly increased Qiagen’s presence in molecular diagnostics, particularly testing associated with human papillomavirus and disease prevention. By 2007, the company reported sales of approximately $649.8 million and employed more than 2,600 people. Qiagen accelerated its move into personalized healthcare and clinical testing in 2009 through the acquisitions of DxS and SABiosciences. DxS brought technologies relevant to mutation testing and targeted therapies, while SABiosciences added gene-expression and pathway-analysis capabilities. Qiagen also released a clinically validated test for the H1N1 influenza virus during the global swine-flu outbreak. The company reported more than $1 billion in revenue and over 3,500 employees during that period. Further acquisitions added near-patient testing, hematological oncology, tuberculosis testing and bioinformatics. ESE GmbH was acquired in 2010 for point-of-need testing capabilities. In 2011, Qiagen bought Ipsogen, strengthening its blood-cancer diagnostics portfolio, and Cellestis, which provided the QuantiFERON tuberculosis testing technology. That year the company also announced a restructuring program aimed at concentrating resources on personalized medicine and emerging markets; the plan affected approximately 10% of its workforce at the time. In 2013 Qiagen acquired Ingenuity Systems and CLC bio, expanding its capabilities in biological-data interpretation and sequencing analysis. In 2015 it added circulating-tumor-cell technology from AdnaGen, enzyme capabilities and Mo Bio Laboratories. It also divested its Marseille operation through a management buyout that led to the formation of HalioDx. The GeneReader next-generation sequencing system was launched later in 2015. Exiqon, a Danish molecular-diagnostics company, was acquired in 2016, followed by OmicSoft in 2017, adding curated datasets and research-analysis tools. Qiagen transferred its United States listing from Nasdaq to the New York Stock Exchange in 2018. That year it acquired STAT-Dx of Spain and launched the QIAstat-Dx platform, an automated system for multiplex molecular testing. In 2019 the company announced an agreement involving Formulatrix assets to support digital PCR development and acquired N-of-One, a company specializing in clinical interpretation of complex genomic data. It also entered a non-exclusive agreement with Illumina to develop and commercialize in-vitro diagnostic kits for use with Illumina diagnostic instruments. In 2020 Thermo Fisher Scientific proposed acquiring Qiagen. The original offer was criticized by a major shareholder as too low and was subsequently increased. The transaction nevertheless failed to obtain the required shareholder acceptance and was terminated on August 13, 2020. Qiagen was required to reimburse Thermo Fisher for specified transaction expenses. Following the failed transaction, Qiagen acquired the remaining 80.1% of NeuMoDx Molecular that it did not already own, strengthening its automated PCR platform portfolio. In 2022 Qiagen acquired a majority stake in BLIRT, adding research and manufacturing capabilities for recombinant enzymes and molecular-biology reagents. In January 2023 it announced plans to acquire Verogen for approximately $150 million, a transaction that included the GEDmatch genetic-genealogy service and expanded the company’s exposure to forensic and human-identification applications. Across these stages, Qiagen evolved from a sample-preparation specialist into an integrated provider of molecular diagnostics, life-science research tools, applied testing systems and genomic interpretation software.
