Overview

RailAmerica, Inc. was a North American railroad holding company based in Jacksonville, Florida. Rather than operating as a single nationwide railway under one unified route brand, it assembled and managed a portfolio of short-line and regional freight railroads in the United States and Canada. These subsidiaries generally served as local or connecting carriers, moving commodities between industrial customers, agricultural facilities, ports, interchange points, and larger Class I railroads. The company was founded in 1986 by Gary O. Marino and John H. Marino. Its business model centered on acquiring, operating, and developing smaller rail systems that could provide local freight service on routes that were not central to the networks of major railroads. RailAmerica expanded both organically and through acquisitions of railroad groups and individual rail properties. Important additions included RailLink Canada in July 1999, RailTex in February 2000, ParkSierra and StatesRail in January 2002, and rail properties formerly owned by Alcoa in September 2005. These transactions broadened the company's geographic coverage and increased the number of short-line operations under its control. Before its acquisition by Fortress Investment Group, RailAmerica was listed on the New York Stock Exchange under the ticker RRA. Fortress acquired the company in 2007. RailAmerica subsequently returned to the public market in October 2009 under the ticker RA. The Fortress period also placed RailAmerica within a broader investment strategy involving transportation infrastructure. Fortress separately acquired Florida East Coast Railway in 2007, but that railway was not formally included in the RailAmerica family or in the later RailAmerica transaction. During the final phase of its independent existence, RailAmerica expanded beyond direct railroad ownership and operation into related infrastructure services. On June 30, 2010, it announced the acquisition of Atlas Railroad Construction, a company providing railroad construction and maintenance services in the northeastern and Midwestern United States, for $24 million. In April 2011, RailAmerica initiated its first short-line railroad purchase in more than five years by agreeing to acquire three Alabama short lines from Gulf and Ohio Railways for $12.7 million. These moves reflected an effort to combine freight-rail operations with maintenance and construction capabilities while continuing to build a regional network of local carriers. On July 23, 2012, Genesee & Wyoming Inc. announced an agreement to purchase RailAmerica in a transaction valued at $1.39 billion. The U.S. Surface Transportation Board approved the transaction on December 19, 2012. While regulatory review was pending, control of RailAmerica was placed in a trust. Genesee & Wyoming assumed control on December 28, 2012, and began integrating the business. RailAmerica therefore ceased to operate as an independent publicly traded railroad holding company. Its former railroads and related operations became part of Genesee & Wyoming's broader short-line railroad portfolio.

History

RailAmerica was established in 1986 by Gary O. Marino and John H. Marino as a company focused on owning and operating short-line and regional railroads. Its role in the rail industry was primarily that of a holding company: it assembled a network of smaller freight carriers rather than building a single integrated main-line system. Short-line railroads can provide important local connections for shippers and can feed traffic into the networks of larger railroads, making them a distinct but complementary part of the North American freight system. The company grew through a combination of acquisitions and portfolio management. It acquired RailLink Canada in July 1999 and RailTex in February 2000, substantially expanding its presence in Canada and the United States. In January 2002, it acquired ParkSierra and StatesRail. In September 2005, it acquired rail properties from Alcoa. These transactions brought additional short-line and regional operations under common ownership and helped create one of the larger portfolios of local freight railroads in North America. RailAmerica was publicly traded on the New York Stock Exchange before Fortress Investment Group acquired it in 2007. Fortress also acquired Florida East Coast Railway in September 2007, but Florida East Coast Railway remained outside the formal RailAmerica group. RailAmerica returned to the stock market in October 2009, trading under the symbol RA. Its publicly traded period after the Fortress acquisition was relatively brief, as the company soon became the subject of a strategic sale. In 2010, RailAmerica expanded into railroad infrastructure services by acquiring Atlas Railroad Construction for $24 million. Atlas operated in the northeastern and Midwestern United States and provided construction and maintenance services. The acquisition complemented RailAmerica's railroad portfolio by adding capabilities related to track and rail infrastructure. In April 2011, RailAmerica agreed to acquire three Alabama short-line railroads from Gulf and Ohio Railways for $12.7 million. The transaction was described as the company's first short-line purchase in more than five years and represented a renewed effort to expand its operating portfolio. The Alabama properties fit the company's established strategy of managing local freight routes serving regional industries and connecting with larger rail systems. The decisive change came in July 2012, when Genesee & Wyoming announced an agreement to purchase RailAmerica for $1.39 billion. The U.S. Surface Transportation Board approved the acquisition on December 19, 2012. During the regulatory process, RailAmerica's control was placed in a trust. Genesee & Wyoming assumed control on December 28, 2012, and began integrating the business. RailAmerica consequently ceased to exist as an independent listed railroad holding company, while its rail assets and operations were absorbed into Genesee & Wyoming's international short-line railroad platform.

  • Freight rail transportation · 1986

    Short-line freight railroads

RailAmerica's principal business was the ownership and operation of short-line railroads. These carriers provided local freight service, served industrial and agricultural customers, moved traffic to and from interchange points, and connected smaller communities or facilities with larger railroad networks. The operations were managed as a portfolio of separate regional and local rail businesses rather than as one single branded railway.

  • Rail transportation · 1986

    Regional freight railroad operations

The company controlled regional railroad properties across the United States and Canada. These operations supported freight movement over routes that were generally smaller in scale than the systems of major Class I railroads, while providing essential access to shippers and interline connections.

  • Rail infrastructure services · 2010

    Railroad construction and maintenance

Through its 2010 acquisition of Atlas Railroad Construction, RailAmerica added construction and maintenance services in the northeastern and Midwestern United States. This business broadened the company's activities beyond railroad operation into supporting infrastructure work.
