Overview

Religare Enterprises Limited, commonly known as Religare, is an Indian investment and financial-services holding company headquartered in New Delhi. The group developed from Religare Securities Limited, a stockbroking business established in 1982, and expanded over time into a broad set of financial activities. Its historical portfolio has included securities and derivatives broking, portfolio management, merchant banking, commodities trading, non-banking finance, housing finance, health insurance, life insurance, mutual funds, wealth management and global asset management. The company’s early development was closely associated with the Singh family, including Malvinder Mohan Singh and Shivinder Mohan Singh, who had been connected with the Ranbaxy Group. Religare Securities joined the National Stock Exchange in 1994, added futures and options capabilities in 2000, and built depository, portfolio-management and exchange memberships during the following years. The business also entered commodities broking through Religare Commodities and began international expansion with a London office in 2006. Religare became a public company in 2007. Around the same period, it pursued partnerships to broaden its wealth-management activities, including a joint venture with Macquarie Bank. The group subsequently entered insurance through Aegon Religare Life Insurance and developed a health-insurance business that later became Care Health Insurance. It also attracted institutional capital, including investment associated with the International Finance Corporation, and expanded its financial-services footprint through Religare Finvest, a non-banking finance subsidiary. The group later reduced or exited several businesses. Religare acquired Macquarie’s interest in its wealth-management operation in 2013, but sold the wealth-management business in 2017. Its global asset-management activities were also exited, and its life-insurance joint venture was sold in 2015. These transactions reflected a shift away from the earlier multi-line international expansion model. Religare’s later history has been dominated by regulatory, lending and legal issues. In 2018, the Reserve Bank of India placed Religare Finvest under a Corrective Action Plan after concerns relating to alleged siphoning and misappropriation of funds by former promoters and associated parties. The restrictions limited the subsidiary’s ability to expand its credit portfolio outside specified investments. Investigations by Indian law-enforcement authorities followed, including a Delhi Police case and an Enforcement Directorate investigation involving former promoters and senior executives. Religare Finvest subsequently experienced stress in its debt obligations, including a reported default on interest payable to bondholders in February 2022. The company attributed the situation to an asset-liability mismatch associated with the alleged diversion and misappropriation issues. Religare and Religare Finvest later reached a settlement with a group of lenders, completing a one-time settlement in March 2023. In December 2023, the Delhi High Court directed the removal of the fraud classification from Religare Finvest by lenders. Religare remains a listed Indian financial-services group, although its business profile is narrower and more closely shaped by regulatory oversight and the resolution of legacy financial issues than during its earlier expansion period.

History

Religare originated in 1982 as Religare Securities Limited, a stockbroking firm. Its early growth focused on building access to India’s organized securities markets. The company joined the National Stock Exchange in 1994, obtained futures-and-options membership in 2000 and registered as a depository participant with the National Securities Depository Limited in the same year. Religare Finvest was established in 2001 as a private non-banking financial institution. Religare Securities received portfolio-manager registration from the Securities and Exchange Board of India in 2002, joined the Central Depository Services depository system in 2003 and became a Bombay Stock Exchange broker in 2004. Religare Commodities began operations in 2004 as a trading and clearing member of MCX and NCDEX. The company broadened its activities in the middle of the 2000s. It opened a London office in 2006 and obtained Category I merchant-banking registration from SEBI. In 2007, it added BSE derivatives membership, announced a wealth-management joint venture with Macquarie Bank and completed a public offering. The IPO was reported to have attracted very strong demand. Religare then entered insurance, forming Aegon Religare Life Insurance in 2008 with Aegon and Bennett, Coleman & Company. The group’s lending arm also raised capital through non-convertible debentures in 2011, while Avigo Capital and Jacob Ballas invested in Religare Finvest in 2011 and 2012. The International Finance Corporation invested in Religare in 2012. Religare expanded further into health insurance in 2012 and developed banking partnerships for that business. In 2013, it acquired Macquarie’s interest in the wealth-management operation. The group also changed the name of its mutual-fund business to Religare Invesco Mutual Fund and announced a 26% investment in YourNest Angel Fund through its global asset-management arm. These moves reflected the company’s strategy of assembling a diversified financial-services platform rather than remaining solely a securities broker. The expansion was later reversed in several areas. Religare sold its interest in Aegon Religare Life Insurance in 2015. It exited its global asset-management business, sold its wealth-management business to Anand Rathi Wealth Management in February 2017 and announced the sale of its stake to a True North consortium in April 2017. Kavi Arora served as managing director and chief executive officer from November 2011 through 2017. From 2018 onward, regulatory and legal matters became central to the company’s history. The Reserve Bank of India placed Religare Finvest under a Corrective Action Plan in January 2018 after issues involving alleged siphoning and misappropriation of funds by former promoters and related parties. The subsidiary was restricted from expanding its credit portfolio except through investments in government securities. A Delhi Police case filed in 2019 led to arrests of former promoters Malvinder and Shivinder Mohan Singh and former Religare chairman and managing director Sunil Godhwani. The Enforcement Directorate took custody of the individuals and filed a charge sheet in January 2020. Religare Finvest later faced liquidity and debt-servicing pressure. It defaulted on interest payable to bondholders in February 2022, with the reported explanation centering on an asset-liability mismatch connected to the legacy alleged diversion of funds. Religare and Religare Finvest negotiated with lenders and entered into a settlement with 16 institutions in December 2022. The associated one-time settlement was completed in March 2023. In December 2023, the Delhi High Court directed lenders to remove the fraud classification from Religare Finvest. The group remains an Indian listed financial-services enterprise, with its current identity shaped by capital-markets and financial-services operations as well as the continuing consequences of its restructuring and regulatory history.
