Overview
Semcon is a Swedish technology and professional-services company that helps industrial customers develop, manufacture, document and improve complex products and production systems. Its work spans the full product-development cycle, from early strategy, requirements analysis and technology studies through design, engineering, prototyping, testing, production development, serviceability and user information. The company has worked particularly closely with the automotive, energy and life-sciences sectors, while also serving broader industrial and technology customers. The company was established in Västerås in 1980 by Arvid Hansen. It expanded to Gothenburg in 1983, and its head office moved there in 1985. Semcon subsequently passed through ownership by VIAK and the VBB Group before a management buyout preceded its introduction on the Swedish stock exchange in 1997. During the following years, the company expanded its Swedish engineering presence and built a portfolio of specialist activities, including a group of information-technology-oriented Z-branded businesses. Most of those units were later sold, with Zooma remaining associated with Semcon for a period. Semcon’s international expansion began with the acquisition of Pentech in the United Kingdom in 2005. It also opened operations in China and Hungary. In 2007, the acquisition of the German automotive engineering company IVM Automotive broadened the group’s international engineering footprint, including activities in Brazil, India and Germany. The same year, Semcon acquired the Swedish company Caran. In 2015, Norwegian product-development company Kongsberg Devotek became wholly owned by Semcon and formed the basis of a Norwegian division. Semcon later sold its German Engineering Services business to Valmet Automotive in February 2017, while retaining its German product-information operation. Semcon has historically organized its services around engineering and product information. Engineering capabilities include automotive engineering, mechanical and industrial design, electrical and electronic systems, embedded systems, automation, plant design, production and process development, quality, simulation, testing and verification, project management and user experience. Product-information work includes information strategy, technical writing and illustration, service and aftermarket information, parts and accessories documentation, training, information management, online marketing communication and digital distribution. The company uses both individual consultants and multidisciplinary project teams. Its projects have included work on automotive products, industrial equipment, production systems and digital information environments. Semcon has also undertaken internal research and demonstration projects, including Sonic Movement, which explored adaptive warning sounds for electric vehicles from a user-experience perspective rather than simply reproducing combustion-engine noise. In 2022, investment company Ratos acquired Semcon. Following the transaction, Semcon’s shares were delisted from Nasdaq Stockholm on 22 November 2022. The ownership change marked the transition of Semcon from a publicly traded company to a privately owned portfolio business. Semcon remains positioned as a specialist partner for companies developing physical and digital products, with capabilities that combine engineering execution, production knowledge, design and communication of product information.
History
Semcon was founded in Västerås, Sweden, in 1980 by Arvid Hansen. The company initially operated as an engineering and consulting business and expanded to Gothenburg in 1983. Its head office was transferred to Gothenburg in 1985, establishing the city as the central base for the group. In 1990, Semcon was sold to VIAK. VIAK was subsequently sold to the VBB Group. A later management buyout restored independent ownership, and Semcon was introduced on the Swedish stock exchange in 1997. The listing supported a period of expansion in Sweden as the company developed a broader portfolio of engineering and product-information capabilities. At the beginning of the 2000s, Semcon created several information-technology-oriented sub-brands, including Zipper, Zuite, Zystems, Zooma, Zingle and Zetup. These businesses were commonly described as the Z-companies. Over time, Semcon sold most of them, with Zooma remaining within or associated with the group for a period. The company’s internationalization accelerated in 2005, when it acquired Pentech in the United Kingdom, its first operation outside Sweden. Semcon also opened offices in China and Hungary. Two significant acquisitions followed in 2007. German automotive engineering company IVM Automotive expanded Semcon’s automotive and international engineering activities and brought operations in Germany, Brazil and India into the group. Semcon also acquired Swedish company Caran, strengthening its domestic product-development presence. These transactions helped establish the company’s combination of engineering services and product-information services across multiple markets. Semcon continued to develop its Nordic and international organization. In 2015, Norwegian product-development company Kongsberg Devotek became wholly owned by Semcon and formed the group’s Norwegian division. Around the same period, Semcon described its business through three principal areas: Engineering Services Nordic, Engineering Services International and Product Information. The engineering divisions covered automotive, mechanical, electrical, electronic, embedded, automation, industrial-design and production-related work. Product Information addressed technical, service, aftermarket, training, marketing and digital-information requirements. Semcon also used internal projects to demonstrate its capabilities beyond conventional consulting assignments. Projects mentioned in connection with the company included Smart Bike Engine, The Smiling Car, Re-Search and an autonomous snow-removal vehicle. Its Sonic Movement project, presented in 2013, investigated sound systems for electric vehicles. Rather than simply reproducing the sound of an internal-combustion engine, the project considered adaptive sound as a user-experience, communication and safety problem. In February 2017, Semcon sold its Engineering Services Germany business to Valmet Automotive. The German product-information business remained with Semcon. This transaction narrowed the group’s German engineering activities while preserving its product-information presence there. Ratos acquired Semcon in 2022. After the acquisition, Semcon’s shares were delisted from Nasdaq Stockholm on 22 November 2022. The delisting ended Semcon’s period as a publicly traded company and placed it under the ownership of Ratos. The company’s documented business model remains centered on helping industrial customers move from product strategy and engineering through production, verification, support and communication.
