Overview
SoftM Software und Beratung AG was a German IT provider headquartered in Munich that specialized in integrated commercial standard software (ERP) and accompanying services for mid-sized enterprises. Its roots go back to 1973, when the civil-law partnership Sedlmayr & Partner was founded in Munich to develop software. The business was converted into a GmbH in 1978, renamed SoftM Software und Beratung München GmbH in 1986, and converted into a stock corporation (AG) in 1995. SoftM expanded through branch offices in Münster and Hamburg (1986), Stuttgart (1987), and its first foreign subsidiary in Switzerland (1991). It was listed on the Frankfurt Stock Exchange on 21 July 1998. Before its renaming, SoftM served roughly 4,000 customers according to its own figures and offered ERP standard software for mid-sized companies, accounting software (financial accounting, fixed-asset accounting, controlling, reporting and BI), and IT infrastructure systems such as server systems, network design, database systems, high-availability solutions and document management. In 2008 it reported about 420 employees across 20 locations in Germany, Austria, Switzerland, the Czech Republic, Poland and France. Revenue grew from EUR 31.4 million in 1998 to EUR 87.5 million in 2004, then declined to about EUR 56 million by 2008. In 2008 the Polish IT group Comarch (Kraków) acquired an additional 35 percent of shares through its subsidiary Comarch Software AG (Dresden) as part of a EUR 1.5 million capital increase, becoming majority shareholder. By February 2009 Comarch had raised its stake to over 80 percent. In June 2010 SoftM Software und Beratung AG was renamed Comarch Software und Beratung AG, and the SoftM brand was retired in favor of the Comarch brand. The former SoftM business now forms part of Comarch's German-speaking operations, which today offer ERP, financials, loyalty marketing, e-invoicing, document exchange, BPM/DMS, ICT and telecommunications solutions.
History
SoftM's origins lie in the civil-law partnership Sedlmayr & Partner, founded in Munich in 1973 to develop software. In 1978 the business was converted into a GmbH and continued software development. In 1986 it was renamed SoftM Software und Beratung München GmbH and expanded its market reach with branch offices in Münster and Hamburg; Stuttgart followed in 1987 and the first foreign subsidiary in Switzerland in 1991. In 1995 the company was converted into SoftM Software und Beratung AG with a share capital of 1 million Deutsche Mark. It continued to expand and was listed on the Frankfurt Stock Exchange on 21 July 1998. From 1998 to 2004 revenue rose from EUR 31.4 million to EUR 87.5 million, but by 2008 it had fallen to EUR 56.6 million. In 2008, as part of a EUR 1.5 million capital increase, the Polish IT group Comarch (Kraków) acquired an additional 35 percent of shares through its subsidiary Comarch Software AG (Dresden), becoming majority shareholder. In February 2009 Comarch increased its stake to over 80 percent by acquiring further share packages. In June 2010 the company was renamed Comarch Software und Beratung AG, ending the SoftM brand. Before the renaming, SoftM reported serving about 4,000 customers and employed around 420 people at 20 locations in Germany, Austria, Switzerland, the Czech Republic, Poland and France in 2008.
