Overview
Stifel is an American multinational financial-services company whose activities span investment banking, securities brokerage, equity and fixed-income research, wealth management, asset management, commercial banking, lending, trust services and related capital-markets businesses. The company is headquartered in St. Louis, Missouri, with major capital-markets operations in Baltimore and London. In the United States, its principal operating broker-dealer is Stifel, Nicolaus & Company, Incorporated; its international activities include Stifel Nicolaus Canada Inc. and Stifel Nicolaus Europe Limited in the United Kingdom and Europe. The firm's roots reach back to 1890, when its predecessor, the Altheimer and Rawlings Investment Company, was established in St. Louis. The modern Stifel name and corporate structure emerged in July 1983, and Stifel Financial became a New York Stock Exchange-listed company in November 1986. For much of its earlier history, the business was associated with regional securities distribution and brokerage. A sustained acquisition program later transformed it into a national and then international platform. A key turning point came in 2005, when Stifel acquired Legg Mason's Capital Markets business from Citigroup. The transaction added investment banking, equity and fixed-income research, sales and trading capabilities, approximately 22 offices and hundreds of employees, materially expanding Stifel's research and institutional-business scale. Subsequent acquisitions broadened its geographic reach and specialties. These included Miller Johnson Steichen Kinnard, Ryan Beck, Butler Wick, selected UBS Wealth Management Americas branches, Thomas Weisel Partners, Stone & Youngberg, Keefe, Bruyette & Woods, Miller Buckfire, Oriel Securities, ISM Capital, Sterne Agee, Eaton Partners, Ziegler Wealth Management, MainFirst Bank, First Empire Securities and Vining Sparks. Stifel's wealth-management business serves individual and institutional clients through financial advisers, brokerage offices and related banking and trust services. Its capital-markets platform provides public and private-company advisory work, mergers and acquisitions advice, equity and debt underwriting, restructuring advice, sales and trading, and research. The firm has described its equity-research operation as one of the largest providers of United States equity research. Stifel Bank & Trust and related banking subsidiaries provide consumer and commercial lending, while the company has also developed services for venture-backed companies and venture-capital investors, including operating accounts, treasury management and lending. The company operates through a collection of wholly owned subsidiaries and specialist businesses rather than as a single-product investment bank. Its acquisition strategy has therefore been central to its positioning: Stifel combines a broad retail and institutional distribution network with sector-focused research, investment banking, wealth management and banking capabilities. The firm remains active, although its scale, business mix and geographic footprint have changed repeatedly through acquisitions, divestitures and expansion into new financial-services niches.
History
Stifel's history combines a nineteenth-century St. Louis securities business with a modern expansion strategy built around acquisitions. Its predecessor was founded in 1890 as the Altheimer and Rawlings Investment Company. Over time, the enterprise developed from a regional securities firm into a broad financial-services organization serving retail investors, institutions, corporations, municipalities, financial institutions and emerging companies. The present Stifel identity and corporate organization date from July 1983. The company became publicly traded on the New York Stock Exchange in November 1986. Its early business was centered on securities brokerage and related investment services, but the firm gradually added the research, underwriting, advisory and distribution capabilities required to compete nationally. The most consequential early expansion was the 2005 acquisition of Legg Mason Capital Markets from Citigroup. The transaction brought investment banking, equity and fixed-income research, equity sales and trading, taxable fixed-income sales and trading, a substantial employee base and offices in the United States and Europe. It shifted Stifel from primarily regional operations toward a national capital-markets model. In 2006, Stifel added the private-client group of Miller Johnson Steichen Kinnard. The 2007 acquisition of Ryan Beck added a large eastern United States branch network and further increased the scale of private-client services. That year, Stifel also acquired First Service Financial Company and FirstService Bank, becoming a bank holding company and financial holding company. During the financial crisis era, Stifel continued selective expansion. It bought Butler Wick in 2008 and acquired 56 UBS Wealth Management Americas branches in 2009. The UBS transaction enlarged its adviser network and geographic reach. In 2010, Stifel completed the acquisition of Thomas Weisel Partners, creating a larger equity-research and institutional-equity platform. It subsequently agreed to acquire Stone & Youngberg, a specialist in municipal finance and fixed-income securities, and merged strategically with Keefe, Bruyette & Woods in 2012. The latter combination enhanced Stifel's position in financial-institutions research and investment banking. Stifel also acquired restructuring adviser Miller Buckfire in 2012. International and specialist growth continued in the middle of the 2010s. Oriel Securities added a London stockbroking operation in 2014. Stifel acquired ISM Capital, a debt-capital-markets and convertible-securities specialist, in 2015. It also acquired Sterne Agee Group, a Birmingham, Alabama-based investment bank, brokerage and wealth manager, although that business was later sold to INTL FCStone, now known as StoneX Group. In 2016, Eaton Partners added placement-agent expertise. The company broadened its banking and wealth capabilities from 2018 onward. It acquired Business Bancshares and The Business Bank of St. Louis, launched a venture-banking and lending business, and bought Ziegler Wealth Management. MainFirst Bank, acquired in 2018, strengthened the European platform. First Empire Holding and its subsidiaries, including First Empire Securities, joined Stifel in 2019. In 2021, Stifel acquired Vining Sparks, adding further fixed-income brokerage capacity. Stifel's operating model now links wealth management, institutional securities, investment banking, research, trading, banking and trust services. The company serves clients through Stifel Nicolaus in the United States, Stifel Nicolaus Canada in Canada and Stifel Nicolaus Europe in the United Kingdom and Europe. Stifel Bank & Trust provides consumer and commercial banking, while Stifel Trust Company provides trust-related services. After disruption in the United States venture-banking market in 2023, Stifel expanded services for venture-backed companies and venture-capital funds, integrating operating accounts, treasury services and lending with its existing advisory and capital-markets platform. The firm's development has therefore been marked by diversification, geographic expansion and the repeated integration of specialist financial businesses.
