Overview

Synlait is a New Zealand dairy-processing and nutritional-products company headquartered at Dunsandel in Canterbury. Established in 2000 by dairy farmers and entrepreneurs Ben Dingle, Juliet Maclean and John Penno, the business initially combined farming with an ambition to create a more sophisticated dairy-manufacturing operation. It later shifted its emphasis from owning farms to processing milk and producing higher-value dairy products for multinational customers. The company’s main activities include the manufacture of milk powders, infant formula, early-life nutrition products, adult nutritional powders, dairy ingredients and foodservice products. Its ingredient portfolio includes products such as lactoferrin and anhydrous milk fat, while its foodservice activities include UHT cream and other liquid dairy products. Synlait also has capabilities for blending, consumer packaging and the manufacture of some plant-based nutritional products. Rather than operating primarily as a mass-market consumer brand, Synlait has historically operated largely as a business-to-business manufacturer and contract producer whose products may be sold under customer brands. Synlait’s principal manufacturing base is in Dunsandel, supported by facilities in Auckland and Pōkeno. The company has a research and development centre in Palmerston North and offices in Beijing and Shanghai. Milk is sourced from more than 280 suppliers in Canterbury and the Waikato, with additional supply associated with Synlait Farms near Dunsandel. The company has also owned consumer-oriented dairy businesses, including Dairyworks and Talbot Forest Cheese, although it announced plans in 2023 to sell those businesses as part of a strategy focused more tightly on advanced nutrition powders and foodservice products. A major turning point came in 2010, when Bright Dairy, a subsidiary of Bright Food in China, invested in Synlait and acquired a majority stake. The funding supported construction of a second dryer capable of producing high-specification infant-formula powders. Synlait subsequently developed a close manufacturing relationship with The a2 Milk Company, beginning production and supply of a2 Platinum infant formula under an agreement signed in 2012. These relationships helped establish Synlait as a significant New Zealand producer for international nutrition companies and strengthened its exposure to the Chinese market. Synlait listed on the New Zealand Exchange in 2013 and later listed on the Australian Securities Exchange in 2016. During the following decade it expanded its drying, packaging, research and liquid-dairy capabilities. It commissioned a dedicated infant-formula dryer, acquired The New Zealand Dairy Company, opened or expanded blending and packaging operations, developed the Pōkeno site and built an advanced liquid dairy packaging facility at Dunsandel. Its sustainability initiatives included the Lead With Pride farm-assurance programme, emissions-reduction targets and a large-scale electrode boiler. In 2020, Synlait became the first New Zealand-headquartered dairy company to achieve Certified B Corporation status. The company has faced increasing competitive and financial pressure in the 2020s. Publicly described challenges have included excess processing capacity, high debt, rising interest costs and weak results. Bright Dairy increased its ownership during a 2024 capital-raising process, while The a2 Milk Company remained a significant shareholder. Synlait’s current strategic direction is centred on advanced nutrition powders, ingredients, foodservice and selected plant-based applications, while reducing emphasis on non-core consumer dairy assets.

History

Synlait was established in 2000 when Ben Dingle, Juliet Maclean and John Penno acquired Robindale Dairy Farm in Canterbury. The early business owned and operated farms, reaching eight farms by 2005, but its strategic direction soon moved toward dairy manufacturing and value-added processing. This shift reflected the founders’ objective of participating in higher-value nutrition and ingredients markets rather than remaining principally a commodity milk producer. The company developed its first major processing infrastructure at Dunsandel. A spray dryer was commissioned in 2007, and an anhydrous milk fat facility followed in September of that year. Full-time milk processing began at Dunsandel in August 2008. Synlait’s growth was recognised through regional and national business awards, and the company increasingly presented itself as a specialist manufacturer for international food and nutrition customers. In 2010, Bright Dairy announced an investment of NZ$82 million and acquired a 51 percent stake. The funds were used to build Dryer 2, a sophisticated facility designed to produce high-specification infant-formula powders. Around the same period, Synlait separated its farming operations, which became Synlait Farms, from its processing business, Synlait Milk. The partnership with Bright Dairy gave Synlait additional capital and a stronger connection to the Chinese dairy market. Synlait’s position in infant nutrition strengthened in 2012 when it entered an agreement with A2 Corporation, later The a2 Milk Company, to manufacture and supply a2 Platinum infant formula. In 2013 it introduced Lead With Pride, an independently accredited farm-assurance programme intended to recognise supplier performance in farming practice and sustainability. The company also invested in an upgrade to produce lactoferrin and listed on the NZX under the SML code. Expansion continued through the middle and late 2010s. Dryer 3, a dedicated infant-formula-grade spray dryer, was commissioned at Dunsandel in 2015. Synlait listed on the ASX in 2016 and completed a capital raise. In 2017 it acquired The New Zealand Dairy Company and commissioned an Auckland blending and consumer-packaging facility. In 2018 it bought land at Pōkeno in the North Waikato for a second nutritional-powder manufacturing site, opened a research and development centre in Palmerston North in collaboration with Massey University and FoodHQ, and began construction of an advanced liquid dairy packaging facility at Dunsandel. The company’s environmental and manufacturing programme expanded in 2019. Synlait commissioned a large-scale electrode boiler at Dunsandel and opened the Whakapuawai plant nursery, designed to support farmer efforts involving carbon capture and nitrogen-runoff reduction. It also acquired Talbot Forest Cheese and Dairyworks, while the Pōkeno facility began full-time production. Synlait’s revenue exceeded NZ$1 billion for the first time in fiscal 2020. In June 2020, it became the first New Zealand-headquartered dairy company to become a Certified B Corporation. It also agreed to manufacture, blend and package nutritional products, including plant-based products, for a major multinational customer. During the 2020s, Synlait encountered a more difficult operating environment. Competitive pressure, high debt, excess processing capacity and higher interest rates weakened its financial position. In 2023 the company announced that it planned to sell Dairyworks and Talbot Forest Cheese and concentrate on advanced nutrition powders and foodservice. In 2024, a recapitalisation increased Bright Dairy’s ownership and included participation by The a2 Milk Company. The restructuring reflected an effort to support the company while it addressed losses, leverage and capacity utilisation. Synlait remains an active listed dairy processor with a business model centred on international nutrition manufacturing, dairy ingredients, foodservice and selected plant-based products.
