Overview

Telenet Group is a Belgian telecommunications and media company whose principal activities are concentrated in cable broadband, television, fixed-line telephony, mobile communications, and business connectivity. Its residential operations are centered on Flanders and part of Brussels, where the company operates a two-way hybrid fibre-coaxial network serving approximately 2.4 million homes. Telenet sells bundled communications services to households under the Telenet brand, including internet access, digital television, voice services, and mobile plans. It also supplies business customers throughout Belgium and in Luxembourg through Telenet Business, historically branded Telenet Solutions, using fibre infrastructure and related managed services. The company was established in 1996 and began offering residential internet service in 1997. Fixed telephony followed in 1998, while its later expansion combined network investment with acquisitions. In 2000, Telenet was acquired by Callahan Associates International, a telecommunications investment company associated with Dick Callahan. The company subsequently became a public company, listing on Euronext Brussels in October 2005 under the symbol TNET. Liberty Global became its controlling shareholder and ultimately acquired the shares it did not already own, completing the take-private transaction on 16 October 2023. Telenet expanded beyond its original Flemish cable footprint through acquisitions and partnerships. Its business-services portfolio was strengthened by the purchase of Codenet, which provided national and Luxembourg coverage, and by the acquisition of hosting provider Hostbasket in 2008. Sinfilo added a large Wi-Fi hotspot network. In consumer mobile, Telenet initially operated as a mobile virtual network operator and later acquired BASE from KPN in 2015 for €1.325 billion, giving it greater control over mobile operations. The company also obtained a fourth-generation mobile licence through a joint venture with VOO, although the reference material does not establish the subsequent operating structure in detail. Telenet's television business evolved from analogue cable distribution to interactive digital television, high-definition services, cloud-connected set-top boxes, premium channel packages, and streaming. It launched interactive digital television in 2005, acquired the cable television customer base associated with Interkabel's INDI activities in 2008, and introduced a 4K TV-box in 2019. In content, Telenet acquired interests in De Vijver Media and later took full control of SBS Belgium, whose channels were rebranded as Play4, Play5, Play6, and Play7. SBS Belgium was renamed Play Media in 2023. Telenet and DPG Media also launched Streamz in 2020 as a Belgian streaming service combining local and international programming. The group has periodically tested new distribution formats. Its Teletenne pay-TV service used digital terrestrial television but closed in 2014 after limited market success. Telenet also partnered with Vice Media on a Belgian version of Viceland, which operated from 2017 until 2020. In Luxembourg, Telenet announced the acquisition of Eltrona in 2022, marking its first full takeover of a telecommunications operator outside Belgium. Telenet remains a major Belgian connectivity and media group under Liberty Global ownership, with activities spanning fixed networks, mobile services, television, streaming, digital content, hosting, and enterprise communications.

History

Telenet was founded in Belgium in 1996 as a cable and telecommunications venture focused initially on developing broadband and communications services in Flanders and Brussels. Residential internet service began in 1997 under the Telenet Internet name, using the company's cable infrastructure. Fixed telephony was introduced in 1998 under the Freephone brand, enabling Telenet to compete with the established national telecommunications provider. A major ownership change occurred in 2000, when Telenet was acquired by Callahan Associates International in a transaction reported at approximately $969 million at the time. The company continued to expand its cable network and service portfolio, eventually upgrading its residential infrastructure to a two-way digital hybrid fibre-coaxial standard. This supported broadband internet, interactive television, and voice services over the same access network. Telenet entered the public markets on Euronext Brussels on 11 October 2005, trading under the symbol TNET. During the 2000s, Telenet broadened its enterprise and digital-services activities. The acquisition of Codenet provided a fibre-based business network covering Belgium and Luxembourg, while the purchase of Sinfilo added Wi-Fi hotspots. Hostbasket, acquired in 2008, brought domain registration, web hosting, online backup, security, dedicated servers, colocation, and hosted business applications into the company's business-services portfolio. Telenet also acquired the Belgian retail store network of BelCompany in 2009. Television became a central part of the consumer proposition. Telenet introduced interactive digital television on 3 September 2005 and expanded into high-definition broadcasting in 2008. In the same year, it reached an agreement concerning Interkabel's INDI cable television customer base, adding approximately 800,000 customers. The company later transitioned from early Digibox and Digicorder equipment to newer high-definition devices and, in 2019, to a 4K TV-box connected to Liberty Global's Horizon 4 platform. Unlike the earlier hard-drive-based recorder, the newer system relied substantially on cloud recording and internet-delivered content. Telenet developed its mobile business in stages. Telenet Mobile began in 2006 as a full mobile virtual network operator using the Mobistar network, now associated with Orange Belgium. In 2011, Telenet and VOO created Telenet Tecteo BidCo to bid for a fourth Belgian 3G licence; the licence was obtained for €71.5 million. In 2015, Telenet bought BASE from KPN for €1.325 billion, substantially deepening its mobile presence. The group also introduced additional fixed-to-mobile calling options, including FreePhone Mobile in 2011. The company expanded into media ownership through De Vijver Media. Telenet acquired a 50 percent stake in 2014 and purchased the remaining interests in 2018, taking full control of SBS Belgium. SBS launched the ZES channel in 2016, while its main channels were later rebranded as Play4, Play5, Play6, and Play7. SBS Belgium was renamed Play Media in 2023 and became associated with additional radio activity. Telenet also entered streaming with DPG Media: Streamz launched in September 2020, offering Belgian and international series and films through both Telenet distribution and a direct-to-consumer platform. Not every television initiative succeeded. Teletenne, a pay-TV service delivered through DVB-T digital terrestrial television, launched in 2012 and closed in 2014 because of weak uptake. A Telenet and Vice Media partnership brought a Belgian Viceland channel to viewers in 2017, but the channel ceased operations in August 2020. In December 2022, Telenet announced its acquisition of Luxembourg telecommunications company Eltrona. This represented a significant geographic step because it was the first time Telenet took full control of a telecommunications operator outside Belgium. Liberty Global ultimately acquired full ownership of Telenet, with the transaction completed on 16 October 2023. Telenet therefore ceased to be a publicly traded Euronext Brussels company while continuing to operate as a Belgian connectivity and media group within the Liberty Global portfolio.
