Overview

Valora is a Swiss retail and food-service holding company whose network is concentrated in high-traffic locations such as railway stations, transport hubs, city centers and service stations. Its business combines convenience retail with quick-service food formats, allowing the group to serve customers seeking newspapers, tobacco products, packaged groceries, beverages, snacks, coffee, baked goods and ready-to-eat meals. The company operates through a portfolio of distinct retail and food-service brands rather than presenting every outlet under the Valora name. The group's origins reach back to Schweizer Chocoladen & Colonialhaus, established in Olten in 1905 to sell coffee and chocolate. The business later became Merkur AG. In 1986, Merkur AG was reorganized as a holding company, Merkur Holding AG, and in 1996 it adopted the Valora Holding AG name. This restructuring helped establish the corporate platform that would later assemble a broader portfolio of kiosk, convenience, bakery and food-service activities. Valora expanded both organically and through acquisitions. It entered additional consumer-product distribution markets through Valora Trade, including cosmetics distribution in Norway and Sweden, before selling the trade division in 2015. The group strengthened its food-service presence with the 2012 acquisition of the Ditsch and Brezelkönig businesses, gaining major pretzel and bakery operations in Germany and Switzerland. It subsequently acquired the German franchise bakery concept BackWerk in 2017, the United States pretzel producer Pretzel Baron in the same year, the German snack chain Back-Factory in 2021 and the German fries concept Frittenwerk in 2022. Valora's Retail division includes formats such as k kiosk, avec, Press & Books, cigo, ServiceStore DB and U-Store. These outlets generally emphasize compact footprints, long opening hours, accessible locations and a mix of daily necessities and impulse purchases. The Food Service division includes BackWerk, Ditsch, Brezelkönig, Frittenwerk, Caffè Spettacolo and SuperGuud. The group also develops or owns brands and services including the ok.– consumer brand and bob Finance, as well as internal pretzel-production capabilities. Technology and partnerships have been part of Valora's convenience strategy. In 2019, the company introduced avec box at Zurich main station, an autonomous store concept designed to operate without a conventional cashier. Valora also collaborated with Moveri and Oel-Pool to place its avec format in service-station locations, and announced further conversions of service-station stores. The group planned a large rollout of k kiosk vending machines in Switzerland, extending its presence beyond conventional staffed stores. Before its acquisition, Valora operated approximately 2,700 small-format points of sale across several European markets and employed about 15,000 people across its network, according to the referenced company description. Its bakery operations produced hundreds of millions of baked goods annually through production lines operated by Brezelbäckerei Ditsch in Germany and the United States and by Brezelkönig in Switzerland. FEMSA announced an acquisition valued at up to US$1.2 billion in 2022, and the transaction was completed on 7 October 2022. Valora therefore continues as an active European retail and food-service platform within the FEMSA group, with its identity centered on convenience, mobility-oriented locations, bakery products and quick-service food.

History

Valora traces its history to Schweizer Chocoladen & Colonialhaus, founded in Olten in 1905 as a seller of coffee and chocolate. The enterprise later became Merkur AG. In 1986, Merkur AG was converted into a holding company named Merkur Holding AG, and in 1996 the company adopted the Valora Holding AG name. These changes marked the development of a corporate structure that could manage a growing collection of retail, distribution and food-service businesses. During the 2000s, Valora remained associated with small-format retail and high-frequency consumer locations. By 2009, the group was reported to have generated turnover of approximately 3 billion Swiss francs and employed about 6,500 full-time-equivalent staff. It subsequently pursued international expansion in product distribution. Valora Trade acquired Engelschiøn Marwell Hauge in 2010, opening access to cosmetics distribution in Norway, and acquired Scandinavian Cosmetics in 2011, expanding that activity into Sweden. Valora sold Valora Services in 2014 and disposed of its Trade division to Aurelius Group in 2015, concentrating its portfolio more strongly on retail and food service. The group made a decisive move into bakery and quick-service food in 2012 by acquiring the Ditsch and Brezelkönig group for approximately €100 million. Ditsch and Brezelkönig gave Valora production and retail capabilities in the pretzel and baked-goods category. In 2014, Valora acquired Naville, a small-format retailer in French-speaking Switzerland. In 2017, it acquired BackWerk, a German bakery franchise business, and Pretzel Baron, a pretzel producer in the United States. These transactions broadened the group beyond traditional kiosks and increased its presence in prepared food and bakery products. Valora continued to experiment with new retail formats and distribution channels. In 2019, it launched the avec box at Zurich main station, an autonomous convenience store that used a cashier-free operating model. The company later developed its avec format through cooperation with Moveri and Oel-Pool, including the operation and conversion of service-station stores. In 2021, Valora acquired Back-Factory in Germany and announced plans to deploy approximately 300 k kiosk vending machines in Switzerland by the end of 2022. In 2022, it announced the conversion of additional service-station shops into avec outlets and acquired Frittenwerk, a German food-service concept. By the early 2020s, Valora's activities were organized around Retail and Food Service. Retail included k kiosk, avec, Press & Books, cigo, ServiceStore DB and U-Store, while Food Service included BackWerk, Ditsch, Brezelkönig, Frittenwerk, Caffè Spettacolo and SuperGuud. The group also owned or developed the ok.– consumer brand, bob Finance services and internal pretzel-production operations. Its outlets were concentrated in Switzerland, Germany, Austria, Luxembourg and the Netherlands, with locations selected for high pedestrian traffic. FEMSA announced an agreement to acquire Valora for a transaction valued at up to US$1.2 billion. Completion took place on 7 October 2022. The acquisition ended Valora's status as an independently listed Swiss company and placed its European convenience and food-service operations within FEMSA's international corporate group. Valora remains an active operating platform with a portfolio of retail and food-service formats.
