Overview
Visibilia Editore S.p.A. was an Italian publishing company based in Milan. It was founded in 1999 under the name PMS S.p.A. by Patrizio Maria Surace as a firm active in strategic consulting, corporate communication and press-review services, and it was listed on the AIM Italia market of the Borsa Italiana (later Euronext Growth Milan) in 2010. After the death of its founder in 2012, the company changed direction: through a capital increase it absorbed the publishing business of Visibilia Editore S.r.l., controlled by the entrepreneur Daniela Santanchè, which owned the magazines Ciak, PC Professionale and VilleGiardini that had previously been acquired from the Mondadori group. On that occasion PMS changed its corporate name to Visibilia Editore. From that point Visibilia Editore operated as a publisher of periodicals, handling editorial production, publication and distribution. Its portfolio grew through acquisitions: VilleGiardini was acquired from Mondadori in July 2013, followed in March 2014 by the monthly magazines PC Professionale and Ciak. In 2017 the company acquired the historic weekly magazine brands Visto and Novella 2000, and in August 2019 it signed a rental contract with option to purchase for those titles with Visibilia Magazine S.r.l., allowing it to publish Novella 2000 from August 2019. In December 2020 the company exercised the purchase option for the titles and their related domains. Between 2021 and 2022 Visibilia Editore reorganised itself as a holding company, transferring its entire operating publishing business to a wholly controlled new company, Visibilia Editrice S.r.l. Daniela Santanchè, who had been chair and chief executive, resigned from her corporate positions in 2021 after being appointed Minister of Tourism in the Meloni government, while retaining indirect control through Visibilia Editore Holding and Visibilia Concessionaria. Her stake was gradually acquired by SIF Italia of Luca Giuseppe Reale Ruffino, who became chairman, chief executive and majority shareholder; Ruffino died in August 2023. In 2024 the Civil Court of Milan placed Visibilia Editore under judicial administration because of serious problems in its accounts and management, revoking the board and appointing a judicial administrator, and trading in the shares was suspended in March 2024. From August to December 2024 Athena Pubblicità, linked to Daniela Santanchè and Immobiliare Dani S.r.l., acquired 90% of the company. In July 2025 Athena Pubblicità transferred 75% of its shares free of charge to Giorgio Armaroli, who announced a relaunch. On 30 January 2026 the company was renamed Omenia Editore S.p.A., controlled 90% by Athena Pubblicità, and in April 2026 Athena Pubblicità presented a relaunch of the magazines Novella 2000 and Ciak. On 27 July 2026 the company began its dissolution and liquidation procedure.
History
Visibilia Editore S.p.A. was founded in 1999 as PMS S.p.A. by Patrizio Maria Surace. In its early years the company operated in strategic consulting for corporate communication and in press-review activities. It was listed on the AIM Italia market of the Borsa Italiana in 2010. Its founder died in 2012. Two years after Surace's death, PMS signed an agreement that increased its capital through the contribution of the publishing company Visibilia Editore S.r.l., controlled by the entrepreneur Daniela Santanchè and publisher of the magazines Ciak, PC Professionale and VilleGiardini, which had previously been acquired from the Mondadori group. On that occasion PMS changed its corporate name to Visibilia Editore. The company had officially become a publisher in July 2013 by acquiring the magazine VilleGiardini from Mondadori, followed in March 2014 by the acquisition of the two monthly magazines PC Professionale and Ciak. In 2014, following the contribution of the publishing business concerning VilleGiardini, Ciak and PC Professionale and the sale of the consulting division, the company repositioned its business model in the field of editing, publishing and distribution of periodicals. In 2015 Visibilia Editore bought the historic magazine brands Novella 2000 and Visto from PRS Editore for 10,000 euros (plus an estimated 167,000 euros of liabilities related to personnel), signing a rental contract for the two titles with an option to purchase with its subsidiary Visibilia Magazine S.r.l., which then operated as publisher of the two weeklies; that company was later placed in liquidation in 2017 and the two magazines passed directly to Visibilia Editore. In 2017 Visibilia took the opportunity to acquire the brands VISTO and NOVELLA, historic brands in the weekly periodicals segment. In August 2019 a rental contract for the titles VISTO and NOVELLA with option to purchase was signed with Visibilia Magazine S.r.l., thanks to which the company was able to publish NOVELLA 2000 from August 2019. In December 2020 the company exercised the purchase option for those titles and all domains linked to them owned by Visibilia Magazine S.r.l. On 16 December 2021 the board of directors resolved to approve the contribution, in favour of a wholly controlled S.r.l., of the operating business branch relating to all the company's publishing activities. On 23 December 2021 Visibilia carried out the contribution act in favour of Visibilia Editrice S.r.l., wholly controlled by the company. Between 2021 and 2022 the company thus resolved its transformation into a holding company, contributing the publishing business branch to the wholly controlled new company Visibilia Editrice S.r.l. Also in 2021, following her appointment as Minister of Tourism in the Meloni government, Daniela Santanchè resigned from her positions as chair of the board of directors and chief executive, while maintaining indirect control of the company through the holdings held by Visibilia Editore Holding (40.87%) and Visibilia Concessionaria (7.77%). After Santanchè's resignation her shareholdings were gradually acquired by SIF Italia of Luca Giuseppe Reale Ruffino, who became chairman, chief executive and majority shareholder of the company; Ruffino later in 2023 arranged the purchase, in a personal capacity, of more than 40,000 shares of the company. The entrepreneur took his own life in the night between 5 and 6 August 2023 in Milan. Following a CONSOB investigation it emerged that Ruffino had already exceeded the 30% threshold of share capital in October 2022, beyond which the obligation to present a public purchase offer (OPA) is triggered. In 2024 the Civil Court of Milan ordered the judicial administration of Visibilia Editore following the emergence of "serious critical issues in the accounts and management of the company", revoking the board of directors, the chief executive and the board of statutory auditors and appointing the lawyer Maurizio Irrera as judicial administrator; that procedure was extended several times until 31 January 2025. Subsequently the stock exchange listing was also suspended from trading in March 2024. From August to December 2024, Athena Pubblicità, the company of Daniela Santanchè and Immobiliare Dani S.r.l., acquired 90% of the company. In July 2025 Athena Pubblicità transferred 75% of its shares free of charge to Giorgio Armaroli, who announced a corporate relaunch, returning the capital to the company in the following September. On 30 January 2026 Visibilia Editore S.p.A. was renamed Omenia Editore S.p.A., 90% controlled by Athena Pubblicità. In April 2026 Athena Pubblicità presented a relaunch of the magazines Novella 2000 and Ciak. On 27 July 2026 the company began its dissolution and liquidation procedure.
