Overview

Wind Telecomunicazioni S.p.A., generally marketed as Wind, was an Italian telecommunications company that operated mobile and fixed-line communications services. It entered the Italian market in December 1997, becoming the country’s third mobile operator after TIM and Vodafone. Its founding shareholders were Enel, France Télécom and Deutsche Telekom, reflecting an effort to introduce additional competition into a market historically dominated by the incumbent telephone operator. Wind’s consumer business grew around mobile voice, messaging, data and broadband services. Its network evolved from GSM and GPRS to EDGE, UMTS, HSPA and LTE, allowing the company to compete across successive generations of mobile technology. Wind also became Italy’s exclusive provider of the i-mode mobile internet service for a period. The company’s retail presence included company-owned stores, exclusive franchised outlets and distribution through electronics chains. A major part of Wind’s fixed-line business came from Infostrada. Founded in 1996 through an agreement involving Olivetti Telemedia and Bell Atlantic, Infostrada was created to challenge Telecom Italia in fixed telephony. It developed fixed-line voice, xDSL and optical-fiber offerings, and obtained rights to use parts of the Italian railway infrastructure for telecommunications cables and optical fiber. After changes in ownership, Infostrada came under Enel and was incorporated into Wind in 2002, while continuing to operate as a recognizable commercial brand. Wind’s ownership changed substantially in 2005, when it was sold to Weather Investments. In 2011, following the combination of the Russian VimpelCom group and Egypt-based Orascom Telecom, Wind became part of the enlarged VimpelCom group. This period included changes in senior management and further investment in the Italian network. In April 2013, Wind announced a planned investment of approximately $1.3 billion in fourth-generation mobile broadband infrastructure, intended to improve its ability to compete with TIM and Vodafone. Between 2015 and 2016, VimpelCom and CK Hutchison Holdings negotiated the combination of Wind and 3 Italy. The equal joint venture was completed on 31 December 2016, creating Wind Tre. Although the corporate combination took place at that time, Wind, 3 and Infostrada continued to be used as separate consumer-facing brands for several years. Wind Business was combined with 3 Business in May 2017 to form Wind Tre Business, serving companies and VAT-registered customers. Wind’s historical scale included approximately 21.6 million mobile customers and 2.8 million fixed-line customers, with reported Italian market shares of 22.9% in mobile and 13.2% in fixed lines at the time described by the reference material. These figures are historical rather than current. The company also pursued corporate social responsibility through its 10decimi project and sponsored A.S. Roma football club from 2007 to 2013. After the technical integration of the Wind and 3 mobile networks was completed toward the end of 2019, Wind Tre carried out a unified rebranding on 16 March 2020. The Wind and 3 Italy brands were replaced by the single Wind Tre brand for mobile and fixed-line services. Wind Telecomunicazioni therefore ceased to operate as a standalone consumer brand, although its assets, customer relationships and commercial history remain part of the Wind Tre business.

History

Wind Telecomunicazioni was established in Italy on 1 December 1997 by Enel, France Télécom and Deutsche Telekom. Its creation added a new competitor to the Italian mobile market, where TIM and Vodafone were already established. Wind developed a nationwide telecommunications business combining mobile services with fixed-line and internet operations. The fixed-line component was built substantially around Infostrada. Infostrada had been created in 1996 by Olivetti Telemedia and Bell Atlantic to compete with Telecom Italia. In 1997 Mannesmann replaced Bell Atlantic as a partner, and Infostrada later became controlled by Mannesmann. The business also reached an agreement with Ferrovie dello Stato in 1998 concerning access to railway infrastructure and the use of part of the Rete Ferroviaria Italiana optical-fiber network. Olivetti sold Infostrada to Mannesmann in 1999; Enel subsequently acquired it, and the business was incorporated into Wind in 2002. The Infostrada name continued to be used for fixed telephony, DSL and fiber services. Wind changed ownership in 2005 when Weather Investments acquired the company. In 2006, Khaled Bichara was appointed chief operating officer. In 2011, Wind became part of the enlarged VimpelCom group after VimpelCom merged with Orascom Telecom. The new group appointed Bichara as Wind’s chairman and Ossama Bessada as chief executive officer after Luigi Gubitosi’s departure. Technologically, Wind operated GSM networks at 900 and 1800 MHz, as well as E900, GPRS, EDGE, UMTS, HSPA and LTE services. Its network supported traditional voice and messaging, video calling and mobile broadband. In 2013 the company announced a substantial fourth-generation investment, aimed at expanding LTE coverage and narrowing the technological gap with larger rivals. Wind also built a broad distribution system through owned stores, exclusive franchises and electronics retailers. Its historical customer base included both mobile and fixed-line subscribers. The company served approximately 21.6 million mobile customers and 2.8 million fixed-line customers in the period documented by the reference material, making it a significant Italian communications operator. From 2015 to 2016, VimpelCom and CK Hutchison Holdings pursued a transaction combining Wind with 3 Italy. The equal joint venture was completed on 31 December 2016, creating Wind Tre. Wind and Infostrada were retained as consumer brands during a transition period, while Wind Business and 3 Business were consolidated into Wind Tre Business in May 2017. Wind’s independent brand life ended on 16 March 2020. After the Wind and 3 mobile networks had been integrated, Wind Tre launched a unified brand identity replacing Wind and 3 Italy in both mobile and fixed-line markets. Wind Telecomunicazioni consequently became a historical operating company and former brand within the Wind Tre structure rather than a standalone active operator.
