Overview

Jubilant Bhartia Group is an Indian conglomerate headquartered in Noida, Uttar Pradesh. Its activities span pharmaceuticals, contract research and manufacturing, specialty and life-science chemicals, food service franchising, agribusiness, energy, automotive retail and consumer businesses. The group was established in 1978 by brothers Shyam Sundar Bhartia and Hari Bhartia through Vam Organics Limited, a company whose name referred to vinyl acetate monomer, the principal product it initially manufactured. The business was seeded with funds provided by their father, Mohan Lal Bhartia, who had been involved in steel-wire and Rolex-watch trading in Kolkata. The group’s development accelerated during India’s economic liberalisation in the 1990s. Vam Organics moved into higher-value activities serving the pharmaceutical and chemical industries, while the Bhartias also expanded into consumer-facing businesses. In 1996, following a recommendation from a friend with foreign pizza-licensing interests, the family entered a master-franchise arrangement for Domino’s Pizza in India and established Domino’s Pizza India Private Limited. That operation later became Jubilant FoodWorks Limited, a major listed food-service company and one of the group’s best-known businesses. The name Jubilant became associated with the wider group after Vam Organics was renamed Jubilant Organosys in 2001. The original life-sciences business subsequently underwent several corporate transformations. It became Jubilant Life Sciences Limited in 2010, and in 2021 its pharmaceutical and life-sciences activities were separated into Jubilant Pharmova Limited and Jubilant Ingrevia Limited. Jubilant Pharmova focuses on pharmaceuticals, contract research and development, contract manufacturing and proprietary novel drugs. Its activities include sterile injectables, ophthalmic and otic products, ointments, creams and liquids, as well as commercial radio-pharmacy services and allergenic extracts in the United States. Jubilant Ingrevia is the group’s diversified ingredients and life-sciences chemicals company. Its portfolio covers specialty chemicals, nutrition and health solutions, and life-science chemicals. Products and capabilities include pyridine and pyridine derivatives, vitamin B3, vitamin B4, acetic anhydride, ethyl acetate and specialty ethanol made from sugarcane molasses. The company also provides contract development and manufacturing services to pharmaceutical and agrochemical companies. In 2021, it was separately listed on the Bombay Stock Exchange after the demerger from Jubilant Life Sciences. Jubilant FoodWorks operates an international food-service franchise portfolio. It holds master-franchise rights for Domino’s Pizza in India, Nepal, Sri Lanka and Bangladesh; Popeyes in India, Bangladesh, Nepal and Bhutan; and Dunkin’ in India. Jubilant Industries, another listed group company, manufactures specialty chemicals and related products including agrichemicals, polymers, adhesives and latex. Other group businesses include Jubilant Enpro, which has operated in energy and infrastructure-related areas; Jubilant MotorWorks, an automotive dealership and retail business associated with Audi, MG Motor India and Porsche in India; and Jubilant Consumer, established in 2013. The group therefore combines industrial and science-based businesses with branded consumer services. Its public-company structure gives separate operating identities to the main pharmaceutical, chemicals, food-service and industrial businesses, while privately held entities extend the group into energy, automotive retail and other services. The group was reported to have generated revenue of more than US$3 billion in 2012, although the available reference material does not provide a current consolidated figure.

History

Jubilant Bhartia Group traces its origin to Vam Organics Limited, founded on 21 June 1978 by brothers Shyam Sundar Bhartia and Hari Bhartia. The company was created with financial support from their father, Mohan Lal Bhartia, a Kolkata-based trader whose businesses included steel wire and Rolex watches. Vam was named after vinyl acetate monomer, the product around which the initial business was built. During the economic liberalisation of the 1990s, Vam Organics gained opportunities to undertake more sophisticated work for pharmaceutical and chemical customers. This shift from a focused chemicals operation toward broader life-sciences and specialty-manufacturing activities became central to the group’s later development. In 2001, Vam Organics changed its name to Jubilant Organosys, establishing “Jubilant” as the principal identity for the emerging business group. The Bhartias also pursued consumer services. In 1996, after a recommendation from a friend who held foreign pizza licences, they formed a master-franchise partnership with Domino’s Pizza and established Domino’s Pizza India Private Limited. This business developed into a large food-service platform and was renamed Jubilant FoodWorks in 2009. It later expanded beyond Domino’s through franchise relationships for Popeyes and Dunkin’ in specified South Asian markets. The group’s life-sciences company changed names and structure several times. Jubilant Organosys became Jubilant Life Sciences Limited in July 2010. On 1 February 2021, the business was demerged into two principal entities: Jubilant Pharmova, retaining pharmaceutical, radiopharmacy, contract research and proprietary-drug activities, and Jubilant Ingrevia, focused on specialty chemicals, nutrition and health solutions, and life-science chemicals. Jubilant Ingrevia was listed on the Bombay Stock Exchange on 19 March 2021. The restructuring created more distinct operating platforms for the group’s pharmaceutical and chemical businesses. Jubilant Ingrevia’s portfolio includes pyridine and its derivatives, vitamins, acetic anhydride, ethyl acetate and specialty ethanol. The company has also developed contract development and manufacturing capabilities for pharmaceutical and agrochemical customers. Jubilant Pharmova operates across pharmaceutical manufacturing, contract research and development, commercial radio-pharmacy and proprietary novel drugs, with products and services including sterile injectables, ophthalmic and otic preparations, ointments, creams, liquids and allergenic extracts. Additional diversification took place through Jubilant Industries, founded in 2007 and listed in 2010, which manufactures agrichemicals, polymers, adhesives and latex. Jubilant Enpro, established in 1992, pursued energy and related activities; its subsidiary Jubilant Energy received a 10% interest in the KG Deendayal gas-discovery block in 2003. Jubilant MotorWorks was established in 2009 as an automotive dealership and partner business associated with Audi, MG Motor India and Porsche in India. Jubilant Consumer was established in 2013. By 2012, the group was reported to have revenue exceeding US$3 billion. Its present structure consists of four principal publicly listed flagship companies—Jubilant Pharmova, Jubilant Ingrevia, Jubilant FoodWorks and Jubilant Industries—alongside privately held businesses. The resulting group spans industrial chemicals, pharmaceuticals, food service, agribusiness, energy, automotive retail and other services.
