Overview

LifeWorks was the final operating identity of a Canadian professional-services and technology company whose roots extended to the actuarial and employee-benefits practice founded by Frank Morneau in 1966. Based in Toronto, the business developed from pension and benefits consulting into a broad provider of outsourced administration, employee assistance, mental-health and wellness programs, workplace training, rewards and recognition, human-resources communications, and related digital services. The company operated through several corporate identities. W. F. Morneau & Associates expanded into the United States in 1987 and began administrative outsourcing in 1996. Its 1997 merger with Sobeco created Morneau Sobeco. After a series of acquisitions and a conversion from an income-trust structure to a public corporation, the business adopted the name Morneau Shepell following its 2008 acquisition of Shepell.fgi, a Canadian provider of employee health management, workplace training, and education services. Morneau Shepell pursued an acquisition-led expansion strategy. It added benefits-administration technology through SBC Systems, pension and benefits administration operations from Mercer Canada, the U.S. health and welfare administration business of Ceridian, employee-assistance and wellness providers including Solareh and Longpré, and other specialist businesses in health, therapy, workers' compensation, and pension administration. The 2018 acquisition of LifeWorks added a recognizable digital workplace platform focused on employee assistance, engagement, rewards, recognition, and human-resources communication. In 2019, the company further expanded its U.S. administration capabilities through the acquisition of Mercer's standalone large-market health and defined-benefit pension administration business. Shareholders approved the corporate name change to LifeWorks in May 2021. Under that identity, the company positioned itself as an integrated provider combining human-resources consulting, benefits administration, employee support, mental-health resources, and digital workplace tools. It served approximately 24,000 clients and maintained operations in North America and selected international markets. TELUS announced an agreement to acquire LifeWorks in June 2022 for approximately C$2.9 billion, comprising equity consideration and assumed debt. The transaction closed on September 1, 2022, after which LifeWorks was combined with TELUS Health. The standalone LifeWorks corporate and public-market identity therefore ceased to operate as an independent company, although its services and capabilities became part of the TELUS Health portfolio.

History

LifeWorks originated in 1966 when Frank Morneau established W. F. Morneau & Associates as an actuarial and employee-benefits consulting firm. The business gradually broadened beyond traditional actuarial work. It opened its first U.S. office in 1987 and introduced an administrative-outsourcing practice in 1996. A strategic alliance with Coopers & Lybrand followed in 1992, while the acquisition of Deloitte & Touche's Canadian pension consulting practice in 1998 strengthened its retirement-services base. In 1997, W. F. Morneau & Associates merged with Sobeco to form Morneau Sobeco, with Bill Morneau serving as president and chief executive officer. The company became an income trust in 2005 under the name Morneau Sobeco Income Fund. During this period it expanded through acquisitions involving health-benefits consulting, defined-benefit pension work, and actuarial services. In 2008, the acquisition of Shepell.fgi from Clairvest Group created the Morneau Shepell identity. Shepell.fgi brought employee health management, workplace training, and education services, giving the company a larger workplace-health offering alongside its pension and benefits businesses. The company continued consolidating specialist capabilities after reorganizing as a public corporation in 2011. Acquisitions included Jacques Lamarre & Associates, Parcours d'enfant, SBC Systems, Mercer Canada's Canadian pension and benefits administration practice, and several providers in workers' compensation, pediatric therapy, health services, employee assistance, and wellness. In 2015 it acquired Ceridian's U.S. health and welfare benefits administration business and Bensinger, Dupont & Associates. Solareh and Longpré expanded employee-assistance and wellness services in 2016 and 2017, while Pro Health Group and Chestnut Global Partners added further health and international capabilities. Morneau Shepell acquired the LifeWorks platform in July 2018. The transaction added technology and services centered on employee assistance, engagement, rewards and recognition, and human-resources communications. In 2019, the company purchased Mercer's standalone large-market health and defined-benefit pension administration business in the United States and later acquired MorningStar Health. These transactions reinforced its position as a multi-service provider to employers rather than a narrowly focused actuarial consultancy. The company also developed corporate-responsibility initiatives. It opened the Morneau Shepell Secondary School for Girls in Kenya's Kakuma Refugee Camp in 2014 and pledged more than $1 million over five years in 2016 for operating costs. In 2019 it published its first corporate social-responsibility report, adopted a board-diversity policy targeting at least 30 percent women and 30 percent men, joined the 30% Club, and created a diversity and inclusion council. In May 2021, shareholders approved the name LifeWorks, aligning the corporate identity with the employee-support platform acquired in 2018. The company continued serving employers through benefits administration, pension services, employee assistance, mental-health and wellness programs, engagement tools, and workplace communications. In June 2022, TELUS announced an agreement to acquire LifeWorks for approximately C$2.9 billion, including equity consideration and assumed debt. The transaction closed on September 1, 2022, and LifeWorks was merged into TELUS Health. Its independent listing, corporate structure, and standalone brand operation consequently ended.

Ethics scrutiny over Bill Morneau's company holdings

Bill Morneau, then Canada's finance minister and a former executive chair of Morneau Shepell, faced criticism over his ownership of company shares and whether his interests created a conflict during debate over proposed small-business tax changes. Morneau said he had followed advice from the federal Conflict of Interest and Ethics Commissioner regarding the handling of the holdings. He later sold his remaining shares and stated that gains associated with the increase in value were donated to charity. Morneau Shepell said individual pension plans represented only a very small portion of its revenue.
