Overview

Leyou Technologies Holdings Limited was a Hong Kong-based video-game holding company whose corporate history combined food production, public-market restructuring, game development, publishing, and strategic investment. The company was incorporated in the Cayman Islands in 2010 as Sumpo Food Holdings Limited and initially served as the holding vehicle for Fujian Sumpo Foods, a Chinese poultry and animal-feed business. It completed an initial public offering on the Hong Kong Stock Exchange in January 2011. The poultry business came under pressure from increased competition and began recording continuing losses from 2013. Leyou’s management consequently sought diversification through the video-game industry. Its decisive move came in October 2014, when Sumpo agreed to acquire a majority stake in Canadian developer Digital Extremes. The company changed its name to Leyou Technologies Holdings Limited in January 2015 and completed the Digital Extremes acquisition in July of that year. It bought the remaining stake in Digital Extremes in 2016, making the developer the central asset in its games portfolio. Digital Extremes was known for online titles including Warframe, which became Leyou’s principal flagship offering. Leyou expanded beyond Digital Extremes through a series of acquisitions and investments. In July 2016, its subsidiary Radius Maxima acquired UK developer Splash Damage together with Fireteam, an online back-end technology company, and WarChest, an online multiplayer publisher. In 2017, Leyou acquired a majority position in Chinese developer Radiance Games and invested in US developer Certain Affinity. These transactions gave the group exposure to development capabilities in Canada, the United Kingdom, China, and the United States. Leyou also exited its original poultry operations in 2016, selling that business and thereby completing its transformation into a games-focused holding company. In 2018, Leyou established Athlon Games in California as a publishing and development vehicle. Athlon pursued international licensing and publishing opportunities, including a planned free-to-play online game based on The Lord of the Rings. Amazon Game Studios joined that project as co-developer and worldwide publisher in 2019, while Leyou was expected to handle publication in China and Taiwan. Athlon also published Samurai Shodown and became involved with LCG Entertainment after that company acquired the assets of Telltale Games. Leyou became the subject of acquisition discussions from 2019 onward. Potential transactions involving iDreamSky, CVC Capital Partners, Zhejiang Century Huatong, Sony, and Tencent were reported or announced at different stages. Tencent ultimately agreed to acquire Leyou for approximately US$1.5 billion through Image Frame Investment. Shareholders approved the transaction on 11 December 2020, and completion followed on 23 December 2020. Leyou therefore ceased to operate as an independent publicly traded group. The acquisition was followed by employee departures, including the departure of chief executive Alex Xu in 2021. A contractual dispute between Tencent and Amazon also contributed to the cancellation of the planned Lord of the Rings game in April 2021.

History

Leyou’s corporate predecessor was rooted in Chinese poultry and food processing rather than entertainment. Fujian Sumpo developed from businesses established by Lin Qinglin during the 1990s, including chicken processing, animal feed, and chicken-seedling operations. Its customers reportedly included major fast-food chains operating in mainland China. Sumpo Food Holdings Limited was incorporated in the Cayman Islands in February 2010 to serve as the group’s holding company and acquired the outstanding interest in Fujian Sumpo. The holding company listed on the Hong Kong Stock Exchange in January 2011. The agricultural business weakened as competition intensified. From 2013, Sumpo Food Holdings recorded continuing losses and began looking for a new growth area. The group explored entry into video games and ultimately used an arrangement involving Perfect World to acquire a majority stake in Canadian developer Digital Extremes. The proposed transaction was announced in October 2014. Sumpo changed its name to Leyou Technologies Holdings Limited in January 2015, and the Digital Extremes acquisition was completed in July. By the end of 2015, games generated most of Leyou’s gross profit even though poultry still accounted for most revenue. Leyou consolidated its games strategy in 2016 by acquiring the remaining interest in Digital Extremes. In July, its UK subsidiary Radius Maxima acquired Splash Damage, Fireteam, and WarChest. Splash Damage added an established development studio, while Fireteam and WarChest contributed online technology and publishing capabilities. In August, Leyou sold its poultry business to an entity associated with Lin Qinglin’s family. The poultry company was subsequently majority-acquired by CP Pokphand. This disposal left Leyou focused on games. The company expanded its investment portfolio in 2017. It acquired 51 percent of Chinese developer Radiance Games and invested in US studio Certain Affinity. Alex Xu, who had previously worked at Perfect World and later Qihoo 360, became Leyou’s chief executive in July 2017. In 2018, Leyou created Athlon Games in California. Athlon was intended to support international development and publishing, including licensed and free-to-play projects. A major Athlon initiative was a planned online free-to-play game based on The Lord of the Rings. Athlon reached an agreement with Middle-earth Enterprises in 2018. Amazon Game Studios joined the project in 2019 as co-developer and worldwide publisher, with Leyou retaining a planned publishing role in China and Taiwan. Athlon also published Samurai Shodown and partnered with LCG Entertainment after that company acquired the assets of Telltale Games. From 2019, Leyou explored a sale of the group. Discussions and bids involved iDreamSky, CVC Capital Partners, Zhejiang Century Huatong, Sony, and Tencent at different points. The process was affected by the COVID-19 pandemic and competing proposals. Tencent ultimately emerged as the buyer. Its subsidiary Image Frame Investment agreed to acquire Leyou for approximately US$1.5 billion. Shareholders approved the transaction on 11 December 2020, and completion occurred on 23 December. Leyou consequently stopped operating as an independent listed group. The post-acquisition period included employee departures, including Xu’s departure in April 2021. Amazon later cancelled the planned Lord of the Rings game in April 2021 after a contractual dispute with Tencent.
